MONITORING \VELL PERMIT AGREEMENT

fhat the City of Corpus Christi (heremafter the "City"), acting by and through its duly authorized City
Manager, George K. Noe, for and in consideration of the sum of Two Hundred and Fifty Dollars ($250.00)
to be paId In hand by APT/SSP Partners. (hereinafter the "Pennittee") of2935 Cactus Road, Corpus Christi,
Texas, does grant, upon the conditions heremafter stated, unto said Permittee, a monitoring well permit for the
right to mstall, operate, maintain, and remove a monitoring well, approximately 2-inches in diameter, 20-
feet in depth, with a lO-inch sealed metal manhole cover, with a 2-foot square flushed mounted traffic-
rated well vault, for approximately a 24 month period, to be located on the south side of the Alameda
Street right-of-way and on the southwest corner of the Alameda Street and Airline Road intersection, in
association with APT ISSP Partners. 111 the City of C ()rpus Christi, Texas as shown on the attached drawings

fO HA VE AND TO HOLD the same unto Permittee, its successors and assigns, together with the
right and pnvilege under the conditions and tem1S hereof, at any and all times to enter upon the above
described nght-of-way for the purpose of constructing, operating, maintaining, and removing of said
monitorIng wells, and it IS futher understood that the foregoing monitoring well permit is granted upon the
following condItions.
.; This monitoring well permIt may be revoked at any time upon the giving of60 days notice in
writing by the City of Corpu" Christi's City Manager, or designee ("City Manager").
B. PERMITTEE, ITS OFFICERS, MEMBERS, PARTNERS, EMPLOYEES, AGENTS,
AND LICENSEES (HEREINAFTER CALLED "PERMITTEE") SHALL FULLY INDEMNIFY,
SAVE A.ND HOLD HARMLESS THE CITY OF CORPUS CHRISTI, ITS OFFICERS, EMPLOYEES,
AGENTS, LICENSEES, AND I~VITEES ("INDEMNITEES") AGAINST ANY AND ALL
LIABILITY, DAMAGE, LOSS, CLAIMS, DEMANDS AND ACTIONS OF ANY NATURE
WHATSOEVER ON ACCOUNT OF PERSONAL INJURIES (INCLUDING, WITHOUT
LIMIT A TION ON THE FOREGOING WORKERS' COMPENSATION AND DEATH CLAIMS), OR
PROPERTY LOSS OR DAMAGE OF ANY KIND WHATSOEVER, WHICH ARISE OUT OF OR IS
IN ANY MANNER CONNECTED WITH, OR IS CLAIMED TO ARISE OUT OF OR BE IN ANY
WA Y CONNECTED WI rH, THE PERFORMANCE OF THIS PERMIT, INCLUDING SAID
INJURY, LOSS OR DAMAGE CAUSED BY THE SOLE OR CONTRIBUTORY NEGLIGENCE OF
THE INDEMNITEES OR ANY OF THEM. PERMITTEE SHALL, AT ITS OWN EXPENSE,
INVESTIGA TE ALL OF SAID CLAIMS AND DEMANDS, ATTEND TO THEIR SETTLEMENT OR
OTHER DISPOSITION, DEFEND ALL ACTIONS BASED THEREON WITH COUNSEL
SATISFACTORY TO INDEMNITEES AND PAY ALL CHARGES OF ATTORNEYS AND ALL
OTHER COSTS AND EXPENSES OF ANY KIND ARISING FROM ANY OF SAID LIABILITY,
DAMAGE. LOSS, CLAIMS, DEMANDS AND ACTIONS.

Monitonng Well Pellllit Agreement and the activities authorized by this Agreement, in the minimum amounts

additional msured. The insurance policies may not be canceled, renewed, or materially changed without 30
days advance written notice to the City's DIrector of Deve]opment Services, or the Director's designee. The
Pennittee, or a representati\ e or contractor of the Permittee, may not perform any work authorized by this
permit until the Pennittee i1as presented eVidence of the insurance coverage specified in Exhibit "B",
sufficient to satisfy the Citys Risk Manager Upon request of the City's Risk Manager, the Permittee shall
provide copies of all insurance policies to the Risk Manager.
D Except as l,therwise proVIded herein, all work proposed will equal or exceed the Texas
CommIssion on Envlronmenta] Quality (TCEQ) and the Texas Water Well Drillers Board rules, regulations,
and requirements for the installation, monitoring, and removal of monitoring wells.
EAt the time of removal, the Permittee is required to backfill the monitoring well. At a
mimmum, d" the well falls lOside eXisting asphalt pavement, the top ] O-feet will be filled with 3000 psi
concrete and remainmg depth with bentonite The City may elect, however, to fill the top 2-3 feet with soil, the
next 10-feet with 3000 psi (()llcrete and any remaining depth with bentonite. The alternate elective applies
primanly to those monitor wells which fall outside of existing asphalt pavement.
r' All applicable FederaL State. County, and City laws and ordinances shall be complied with
and all necessary permits shall be secured from the appropriate agencies prior to obtaining this permit. Copies
of said permits shall be pro\ Ided to the City and attached hereto for all purposes as Exhibit "C".
(j No public street, or any portion thereo1~ shall be closed or barricaded to use by the public for
the purpose of installing, repairing, or mamtaining the monitoring wells until after the Permittee or its
contractor has filed WIth this office an approved traffic control plan from the City Traffic Engineering Office.
II All City utility departments, AEP (American Electric Power), SBC (Southwestern Bell
Company I Time Warner, and Grande Communications and any other companies that may be affected by the
monitonng wells must be notified 48-hours prior to construction. 1-800-DIG-TESS, Lone Star Notification
Center 1-SOO-669-~344) and Southwestern Bell Te]ephone (1-800-828-5127) numbers must be notified 48
hours prior to construction tor existing utilIty locations.
1. Construction plans and specifications for all work proposed will be submitted to the
Department of Engineering (or approval pnor to beginning construction. The plans must show the depth and
location of the proposed construction and distance from the existing water, storm, wastewater, and gas lines.
I Permittee wil] repair or cause to be repaired any damage to any landscaping, sidewalks, curb
and gutter, driveway, street, sanitary sewer. stonn sewer, drainage facility, underground lines, wires or pipes
owned by the City of Corpus Christi or holders of any franchise from the City, resulting from or caused by
reason of construction, operation. mall1tenance andior removal of said monitoring wells.

All backfill and repairs of any kind will be made according to City standards and/or City Inspector's request.
All work ;.md repairs will be at Permittee's or its contractor's expense.
L I f a City Inspector is required at the job site, the Permittee shall pay a daily rate of$30 1.31 for
each day spent inspecting ~~onstruction. maintenance, repair, replacement, relocation or removal of the
monitOring wells pursuant Ii) the monitoring well pennit. Any time in excess of eight hours per day and any

time on Saturday, Sunday or Holiday~ shall be calculated at a daily rate of$56.49 per hour. These funds shall
be paid to the appropriate City department within the City of Corpus Christi. These amounts will be adjusted
annuallv 011 August 1 to reflect any pay increase.

and/or damage to plumbing In pnvate structures, Pennittee shall have sole responsibility for resolution with
mdividual owner~, including all costs associated with resolution.

No equipment or material may be stored or left overnight in City right-of-way.

The Permittee and/or Its Contractor will not clean equipment or material on site.
P Monitoring wells will not protrude above the existing natural ground elevation, and a sealed
covering wi II be provIded tc prevent surface water from entering into said monitoring wells.
Q Permittee shall adjust or relocate the above described monitoring wells at its own expense, if
necessary for the present or future constructIOn of any public utilities, or change in street grade or pattern on
the streets or for any other reason of the City stated in writing to Permittee.
R The construction of the mOllltoring wells and the use of said area hereby granted shall in no
way interfere with the construction or operation by the City or any of its franchisees of any existing or future
proposed sidewalks. utility lines, or other uses, or the maintenance thereof. If City (or any company with
existing utilities located m said right-of-wayl needs access to the right-of-way containing the monitoring wells,
Pem1ittee shall be responsible for either repairing the monitoring wells to their original condition orremoving
the monitormg wells at whil'h time this Momtoring Well Permit shall terminate immediately.

written consent of the CIty of Corpus Christl
1 The Monitoring Well Pennit remains in effect during the Permittee's investigation and
assessment of possible petroleum contamination. However, the Monitoring Well Permit expires 24 months
from the date of issuance. l pon completion of the investigation and assessment the monitoring wells will be
removed 1I1 accordance Wilh the then current requirements of the City of Corpus Christi and the Texas
CommIssIon on Environmental Quality, or its successor agency in Austin, Texas. Provided, however, that ifat
the end of said 24-month penod, the TCEQ requires additional monitoring of the well, then the City shall grant
to Pemnttee an additional 1.. -month period in which to perform the work under this permit provided Permittee
pays an additional $ ] 00.00 i $1 OO/per yr. I to the City for the 12-month extension. The Permittee shall notify

INSURANCE REQUIREMENTS
I. PliRMITTEE'S LIABILITY INSURANCE
A Permittee must not commence work under this agreement until all insurance required herein
has been obtained and such insurance has been approved by the City. The Permittee must
not allow any subcontractor to commence work until all similar insurance required of the
subcontractor has been so obtained.
B Permittee must furnish to the City's Risk Manager, two (2) copies of Certificates of Insurance,
showing the following minimum coverage by insurance company(s) acceptable to the City's
Risk Manager. The City must be named as an additional insured for the General liability
policy. A blanket waiver of subrogation is required on all applicable policies.

II. ADDITIONAL REQUIREMENTS
6" Permittee must obtain workers' compensation coverage through a licensed insurance
company in accordance with Texas law. The contract for coverage must be written on a
policy with endorsements approved by the Texas Department of Insurance. The coverage
must be amounts sufficient to assure that all workers' compensation obligations incurred by
the Permittee will be promptly met

The City of Corpus Christi must be named as an additional insured on the
General liability coverage, and a blanket waiver of subrogation is required on all
applicable policies
If your insurance company uses the standard ACORD form, the cancellation clause
(bottom right) must be amended by adding the wording "changed or" between "be"
and "canceled", and deleting the words, "endeavor to", and deleting the wording after
"Ieft" In lieu of modification of the ACORD form, separate policy endorsements
addressing the same substantive requirements are mandatory.
The name of the project must be listed under "Description of Operations".
At a minimum, a 30-day written notice to the City's Risk Manager of material
change, cancellation non-renewal or termination is required.
C If the Certificate of Insurance on its face does not show the existence of the coverage
required by items 1.8 (1 )-(8), an authorized representative of the insurance company must
include a letter specifically stating whether items 1.8. (1 )-(8) are included or excluded.
