Noe, for and in consideration of the sLIm of Five Hundred Dollars ($500.00) to be paid in hand by Texas Star lnvestmen!:', lnc. (hereinatter the "Permittee") of2728 Agnes Street, Corpus Christi Texas, does grant. upon the conditions hereinafter slated, unto said Pemlittee, a monitoring well permit for the right to il1stail, operate, maintain, and remove t\vO 11lOnltoring wells. approximately 2-inches in diameter, 16-feet in depth, with a locking cap and 12-mch concrete pad and steel cover mounted with a 12-inch square flushed mounted traffic-rated well vault, for approxnnately a 24 month period, both to be located on the east side of dnd within the Aquarius Drive right-ofwav. 111 the Cit:v of Corpus Christi, Texas as shown on the attached drawings marked Exhibit" A". TO HAVE AND TO HOLD the same unto Permittee, its successors and assigns, together with the nght and pnvilege under the conditions and lerms hereof. at any and all times to enter upon the above described right-of-way for tbe purpose of constructing, operating, maintaining, and removing of said monitoring wells, and it is further understood that the foregoing monitoring well permit is granted upon the following conditions' A This monitonng well penl1it may be revoked at any time upon the giving of60 days notice in writing by the City of Corpus Christi's City Manager. or designee ("City Manager"). B. PERMITTEE, ITS OFFICERS, MEMBERS, PARTNERS, EMPLOYEES, AGENTS, ANI) LICENSEES (HEREINAFTER CALLED "PERMITTEE") SHALL FULLY INDEMNIFY, SA VE A..ND HOLD HARMLESS THE CITY OF CORPUS CHRISTI, ITS OFFICERS, EMPLOYEES, AGENTS, LICENSEES, AND INVITEES ("INDEMNITEES") AGAINST ANY AND ALL LIABILITY, DAMAGE, LOSS, CLAIMS, DEMANDS AND ACTIONS OF ANY NATURE WI:IA TSOEVER ON ACCOUNT OF PERSONAL INJURIES (INCLUDING, WITHOUT LIMITATION ON THE FOREGOIl\G 'VORKERS' COMPENSATION AND DEATH CLAIMS), OR PROPERTY LOSS OR DAMAGE OF ANY KIND \VHA TSOEVER, WHICH ARISE OUT OF OR IS IN ANY MANNER CONNECTED WITH. OR IS CLAIMED TO ARISE OUT OF OR BE IN ANY WAY CONNECTED WITH, THE PERFORMANCE OF THIS PERMIT, INCLUDING SAID INJURY, LOSS OR DAMAGE CAUSED BY THE SOLE OR CONTRIBUTORY NEGLIGENCE OF THE INDEMNITEES OR ANY OF THK~1. PERMITTEE SHALL, AT ITS OWN EXPENSE, INVESTIGATE ALL OF SAID CLAIMS AND DEMANDS, ATTEND TO THEIR SETTLEMENT OR OTHER DISPOSITION, DEFEND ALL ACTIONS BASED THEREON WITH COUNSEL SATISFACTORY TO INDEMNITEES AND PAY ALL CHARGES OF ATTORNEYS AND ALL OTHER COSTS AND EXPENSES OF ANY KIND ARISING FROM ANY OF SAID LIABILITY, DAMAGE, LOSS, CLAIMS, DEMANDS AND ACTIONS. At a mmimum II the well falls m,lde existing asphalt pavement, the top 10-feet will be filled with 3000 psi -:oncrete and remaining depthvith bentonite, The City may elect, however, to fill the top 2-3 feet with soil, the next IO-teet \vith 3000 pSI COlicrete and any remaining depth with bentonite. I f a City lnspl'ctor IS required at the job site, the Permittee shall pay a daily rate of$301.31 for each day spent Inspecting construction, mamtenance, repair, replacement, relocation or removal of the monitoring wells pursuant to the monitoring well pernlit. Any time in excess of eight hours per day and any time on Saturday, Sunday or Holidays shall be calculated at a daily rate of$56.49 per hour. These funds shall be paid to the appropnale City department Within the City of Corpus Christi. R The constructIon of the mOllltoring wells and the use of said area hereby granted shall in no way interfere with the construction or operatIon by the City or any of its franchisees of any existing or future proposed sidewalks, utility lines, or other uses, or the maintenance thereof. If City (or any company with existing utilities located in said right-of-way) needs access to the right-of-way containing the monitoring wells, Permittee shall be responsible for either repairing the monitoring wells to their original condition or removing the monitoring wells at which time this Monitoring Well Permit shall terminate immediately. S The nghts of \.:onstructlon con ferred herein shall not be assigned by Permittee without the prior \vritten consent of the City of Corpus Christi 1 The Monitonng Well Pennit remains in effect during the Permittee's investigation and assessment of possible petroleum contamination. However, the Monitoring Well Permit expires 24 months from the date of issuance. Upon completion of the investigation and assessment the monitoring wells will be removed In accordance with the then current requirements of the City of Corpus Christi and the Texas CommiSSIon on Environmental Quality. or Its successor agency in Austin, Texas. Provided, however, that ifat the end of saId 24-month period, the TCEQ requires additional monitoring of the well, then the City shall grant to Permittee an additional 24-rnonth period in which to perform the work under this permit provided Permittee pays an addItIOnal $250.00 for each monitoring well to the City for the 24-month extension. ADDITIONAL REQUIREMENTS <\. Permittee must obtain workers' ,,:ompensation coverage through a licensed insurance company in accordance with Texas law. The l'ontract for co\erage must be written on a policy with endorsements approved by the Texas Department of Insurance The coverage must be amounts sufficient to assure that ali workers' compensation obligallOns incurred by the PermIttee will be promptly met. B. Certificate of Insurance: * The City of Corpus Christi must be named as an additional insured on the General liability coverage, and a blanket waiver of subrogation is required on all applicable policies. * If your insurance l~ompany uses the standard ACORD form, the cancellation clause (bottom nght) must be amended by adding the wording "changed or" between "be" and "canceled", and deleting the words, "endeavor to' and deleting the wording after "left", In lieu of modificatIOn of the ACORD form, separate policy endorsements addressing the same substantive reqUIrements are mandatory * The name of the project must be listed under "Description of Operations". * A t a mmimum, a 30-day written notice to the City's Risk Manager of material change, cancellation, non-renewal or tennination is required. C. lfthe Certificate of Insurance on its face does not show the existence of the coverage required by items I.B (1 H 8), an authorized representative of the insurance company must include a letter specifically stating whether items 1.8.
