Amendment No. I to Managed Services Agreement between City of Corpus
Christi and Layer One Networks

A. Layer One Networks and City of Corpus Christi:E-Govemment Services (the "Parties")
entered into a Managed Services Agreement (the "Contract") dated April 1 st, 2006, for the
purpose of outsourcing IT services
B. fhe PartIes desire to amend the Contract on the terms and conditions set forth in this
Amend ing Agreement (the" Agreement" ).
C. fhis Agreement is the first amendment to the Contract.
IN CONSIDERATION OF the Parties agreeing to amend their obligations in the existing
Contract, and other valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, both Parties agree to keep. perform, and fulfill the promises, conditions and
agreements below:
1. fhe Contract is amended as follows:
a. Exhihit B, section "Fee Schedule for Managed Services", premium support for
two additional servers (currently know as EGOVBSCOI and EGOVBSC02) will
be added to the Agreement.
2. Except as otherwise expressly provided in this Agreement, all of the terms and conditions
of the Contract remain unchanged and in full force and effect.
3. Miscellaneous Term. Capitalized terms not otherwise defmed in this Agreement will
have the meanings ascribed to them in the Contract.
4. Governing Law. Subject to the terms of the Contract, it is the intention of the parties
that this Agreement. and all suits and special proceedings under this Agreement, be construed in
accordance with and governed, to the exclusion of the law of any other forum, by the laws of the
State of Texas, without regard to the jurisdiction in which any action or special proceeding may
be instltuted.
5. This Amendment '\10. I takes effect on September I, 2006.
IN WITNESS WHEREOF, the Parties have duly affixed their signatures under hand and seal
on this 28 day of August, 2006.
