HomeMy WebLinkAboutC2006-401 - 9/12/2006 - Approved Corpus Christi International Airport Terminal Chiller Replacement - Proiect 10008 CONTRACT FOR ARCHITECTURAL/ENGINEERING SERVICES The City of Corpus Christl, Texas. hereinafter called "City" and Bath Engineering Group, Inc. hereinafter called "Consultant" hereby agree as follows I. SERVICES TO BE PERFORMED The Consultant hereby agrees, at his/her own expense, to perform all architectural/engineenng services necessary to research, document, design and prepare plans, speCifications, bid and contract documents to complete the project described as follows II. SCOPE OF SERVICES The Consultant's services will include basic research, documentation and design necessary for the preparation of plans and specifications required for the: · replacement of the eXisting chillers that supply chilled water to the Corpus Christi International Airport Terminal Including piping modifications, electrical and control systems and schemes for a variable flow system to save energy by reducing the electncal demand to the existing pumping system; and rhe project scope will include all elements necessary to provide a fully functioning Heating \/entilation and ,A,lr Conditioning (HVAC) system including demolition, installation, reconstruction and construction to fully integrate the system with existing distribution system. The Consultant will work closely to design and phase the construction program so as to minimize any disruptions and allow continued occupancy and use of the Corpus Christi international Airport Terminal bUilding. The Consultant, in the performance of this contract, Nill exercise usual and customary professional care in Consultant's efforts to comply with the applicable codes and regulations of City. State, and other Federal authorities having Junsdiction including applicable fire codes, life safety codes, health regulations, Texas Department of Insurance Windstorm Protection requirements, the Americans with Disabilities Act the Texas Department of Licensing and Regulation, Elimination of Architectural Barriers Program (Article 9102), the Texas Trench Safety Act, and the Storm Water Retention Act. The Consultant will Include In the technical specifications a section entitled Trench Safety which will Incorporate by reference the legislation relating to the Texas Trench Safety Act The City will address any asbestos or other hazardous materials through a separate contract Preliminary Phase - The Consultant will: a Confirm evaluate, and field-verify existing site conditions. City will provide record information and data as available from City Engineering files. b Meet as needed with City staff and other Agencies to define the project concept and identify any permitting c. Design Phase - The Consultant will a. Develop and submit for review a 60% complete set of plans, with layout of the plans in the City of Corpus Christi's preferred format · Furnish the desired quantity of plan sets to the City of Corpus Christi for review and comment Cost of reproduction services shall be assumed by the City as part of the authorized fee · Develop and submit an opinion of probable construction cost for the project Improvements · Assimilate all review comments, modifications, additions/deletions and proceed to next phase, upon Notice to Proceed b Complete and submit a 100% complete set of construction drawings, plans, details, contract documents, technical specifications and bid documents in accordance with the City of Corpus Christi's preferred standard format. · Provide the marked-up 60% review set so the City may determine that the comments were Incorporated into the 100% set . Provide the final opinion of probable construction cost · Furnish the City with both a reproducible set of plans with specifications and bid documents for the bidding process, as well as the full documents in electronic format 3. Bid Phase - The Consultant will a. attend on-site(s) pre-bid conference noting Inconsistencies (if any) in the bid documents; b prepare for the City Engineer any addenda necessary to inform contractors of other revisions to the bid documents identified prior to bidding Addenda will be prepared by Consultant and reproduced and distributed by the City Engineer c; assist the City Engineer in securing bids, analyze bids, prepare a bid tabulation, and make a written recommendation concerning award of the contract; and d in the event the bid received by the lowest responsible bidder exceeds the established project budget for construction the Consultant will, at his/her expense, confer with City Engineer and make reviSions as necessary and satisfactory to the City Engineerto permit the re-advertising of the project for bids. The City Engineer has or will: a reproduce all documents and addenda to be distributed to prospective bidders; b deliver (with the assistance of the Consultant) documents to all regulatory authorities as required for review; ~ advertise the project for bidding maintain the list of prospective bidders, receive and process depOSits for bid documents, Issue (with the assistance of the Consultant) any addenda, prepare and supply bid tabulation forms, and conduct the bid opening; d receive the Consultant s recommendation concerning bid evaluation and award and prepare agenda memorandum for the City Council concerning contract award; and e prepare review and pr'ovide copies of the contract for execution by the contractor. 4. Construction Phase -- The Consultant will: a attend and assist the City Engineer with a pre-construction meeting between the contractor, City Engineer, and other interested parties b. review and check for approval, materials and other submittals customarily provided by the Contractor or required by contract documents during the course of construction by the contractor and ensure that two f!eld copies and one record of submittal data is provided to the City Engineer Gage 2 01 '~'\HOME\i< E\ i NS\GEN\AI R restorej\Ch i1!erReo!acerT1ent2006\AEcontract.doc .....,.....,.....,''''''''- c provide Interpretations and clarifications of the plans and specifications for the contractor and authorize minor changes which do not affect the contractor's price or the duration of the construction contract, and are not contrary to the general Interest of the City under the contract; d review and evaluate any change order proposals that may be necessary during the progress of the work including a recommendation to accept or reject; e consult with the City Engineer and advise during construction and confer with City staff and other governmental authorities as needed make necessary Visits to the site(s) of the project, work in cooperation with the City Engineer and contractor to observe the general progress and quality of work, and determine, in general, if the work IS being done in accordance with the contract documents and in accordance with the quantities of work represented In current contractor requests for payment. Site visits will include minimum inspections to ensure compliance With contract documents. Record Drawings - The consultant will review the Contractor's field set of construction drawings and speCifications. On the basis of "red-line" drawings and marked-up specifications provided by Contractor, and based upon known deviations, change orders, mark-ups, and changes reported by the City project inspector, the Consultant shall prepare "as-built" record drawings and specifications of the project as constructed and deliver to the City Engineer a reproducible set and electroniC file (AutoCAD r 4 or later) of the record drawings and a marked up set of specifications. 6. POST-CONSTRUCTION SERVICES The Consultant will: a conduct a preliminary Inspection and prepare a punch list of items for correction, repair or installation by the contractor to be delivered to the City Engineer and contractor prior to final inspection b conduct a final inspection with the City representative and contractor which shall include a familiarization walk-through With City personnel (if applicable) of mechanical and control systems, emergency procedures, and maintenance procedures; c review of the following materials submitted by the contractor for completeness: operation manuals. maintenance manuals. technical information, approved submittal sheets, parts lists, manufacturer mamtenance guaranties and warranties and/or other guaranties or warranties and forward the matenal to the City s designated representative for copying, collating, and distribution and d assist the City Engineer in completion of the final Certificate of Occupancy if required by the Building OffiCial 7. ADDITIONAL SERVICES - The Consultant Will provide such additional services as directed by the City Engineer If such additional services require an increase in the authorized fee, the additional services will be evidenced In writing as an amendment to this contract. 8. POINT OF CONTACT - The City Engineer will designate a single point of contact for all communications. information and documents to pass through. COST CONTROL - ~he Consultant will provide an opinion of probable costs with each submission of plans and contract documents. The Consultant will recommend changes in project scope or In the structure of bid alternates necessary to maintain project within budget as a result of each cost estimate and reconciliation 10. ORDER OF SERVICES - Consultant agrees to begin work immediately after written authorization from the City Engineer The anticipated duration of tasks is attached as the Schedule of Services Exhibit 'A") The City Engineer will provide a prompt response to the Consultant for guidance, direction or approval of all work submitted in the various phases. III. FEES AUTHORIZED The City will pay the Consultant a total not to exceed fee of $60,000.00. This fee will be full and total compensation for all services provided and expenses incurred in performing the tasks specified as basIc construction and post-construction phase services specified in Section II. The table "Summary of Fees" shall be used when calculating the fee due for the proportion of services completed The City shall make prompt payments in response to Consultant's statements for Professional Services Bilting for services provided in Section 111 2,3, and 5 will be based on the Consultant's estimate of the percent of services complete at the time of billing. However, in no case will the billing exceed 90% of the fee for each phase until the delivery of documents associated with each phase has been reviewed and accepted by the City Billing for services provided in Section 11.4 will be based on the amount of construction completed Billing for services provided in Section II.C.2 shall be payable upon delivery of the record drawings to the City Engineer Billing for services provided in Section IIC will be payable upon performance of inspections and delivery of all materials to the City. Consultant will submit monthly statements for work authorized by the City Engineer and performed by the Consultant. The statement will be based upon Consultant's estimate and concurrence by the City of the proportion of the total services actually completed at the time of billing. The City will make prompt monthly payrnents in response to Consultant's monthly invoices. All invoices shall be accompanied by a cover letter summarizing the fee in accordance with the Summary Schedule of Fees. Invoices will be sequentially numbered for each project and state the project name. The letter shall state the number of the current invoice, the contract fee for each task, the amount previously invoiced for each task, and the current amount due. Invoices will be organized to accommodate funding sources. During the construction phase, the Architect/Engineer wiU also submit a brief letter/memo summarizing observations during the site visit, the work of the contractor construction progress for the billing period, and any pending items. LOCAL PARTICIPATION The City Council's stated policy IS that City expenditures on contracts for professional services be of maximum benefit to the iocal economy The Consultant agrees that local architectural and engineering liaisons will be used to the extent practical VII. OWNERSHIP OF DOCUMENTS All documents Including contract documents (plans and specifications), record drawings, contractor's field data, and submittal data shall upon payment of all fees and reimbursable expenses owed under this agreement, be the sole property of the City. Those documents may be used by the City Engineer for other City projects, and with the exception of standard details that are not specific to this project may not be used again by the Consultant without the express written consent of the City Engineer The City Will assume sole liability for arising out of any reuse or modification of the Consultant's documents. except where the Consultant is found to be liable by a court or forum of competent Jurisdiction VIII. CORRECTING MATTERS Any extra cost and expense necessary to correct matters caused by failure of the Consultant or hislher sub-consultants to exercise a reasonable degree of professional care will be paid by the Consultant and not reimbursed by the City IX. ASSIGNABILITY The Consultant shall not assign, transfer or delegate any of its obligations or duties under this contract to any other person without the prior written consent of the City, except for routine duties delegated to personnel of the Consultant's staff. No part of the Consultant's fee may be assigned in advance of receipt by the Consultant without written consent of the City. The City shall not pay the fees of expert or technical assistance and consultants unless such employment, including the rate of compensation, has been approved in writing by the City. INSURANCE The Consultant will submit to the City Engineer a certificate of insurance, with the City named as additionally Insured showing the minimum coverage set forth in Exhibit "B" by an insurance company acceptable to the City XI. DISCLOSURE OF INTEREST In compliance with City of Corpus Christl Ordinance No. 17112, Consultant agrees to complete the City of Corpus Christl Disclosure of Interests form which is incorporated in the contract.
