AGREEMENT
BETWEEN
TECHNOV A TIONS INTEGRATION GROUP, LLC AND
CITY OF CORPUS CHRISTI, TEXAS
This Agreement is effective as of this 1 th day of September, 2006 between Technovations
Integration Group, LLC. a Texas limited liability corporation with its principal office at 4868
Research Drive, San Antolllo, Texas (hereinafter referred to as "Technovations") and City of
Corpus Christi, Texas (heremafter referred to as "City").
Whereas. the City and Technovations acknowledge that the City's purpose in authorizing this
agreement is to obtain good quality electronic recording devices for use in each of City's
municipal courtrooms to be used by the City to establish Municipal Court of record in
accordance with Chapter 30 of the Texas Government Code;
Whereas. T echnovations has offered in its Proposal dated August 24, 2006 ("Proposal") attached
as Exhibits A, B, and C, to provide the City with good quality electronic recording devices
mcluding hardware, software, and services (collectively hereafter referred to as the "SYSTEM"),
which are identified in Exhibit A ProposaL which Technovations represents and warrants shall
meet the City's needs in obtaining up to turnkey courtroom audio courtroom recording systems
for up to five (5) separate C(lurtrooms:
NO\V THEREFORE, for the considerations hereinafter written, the parties agree to the
following:
1.0 INDEPENDENT CONTRACTOR
T echnovations shall at all times act as an independent contractor in the performance of this
:\greement. N"either Technovations nor its employees or agents shall represent themselves to be,
or be deemed to be, employees of City and City shall have no control over the detail, manner, or
methods of T echnovations' performance under this Agreement.
2.0 SERVICES TO BE PERFORMED
T echnovations agrees to provide professional audio recording products and services to provide
the City with a turnkey solution.
3.0 CONTRACT ADMINISTATOR FOR CITY
The Contract Administrator designated by the City is responsible for approval of all phases of
performance and operations under this Contract including authorizations to proceed, and
authorizations for payment. All of lechnovations' notices or communications regarding this
Contract must be directed to the Contract Administrator, who is the Director of Municipal
Co... Operations, or designee.

6.0 PRODUCTS AND SERVICES PROVIDED
T echnovations is providing products and services described in Exhibit A, B, and C, to install
courtroom audio recording equipment for four courtrooms of the Municipal Court, for not to
exceed prices listed on Exhibit C. items A. B, C, and D. The parties anticipate that installation
of all products will occur during second or third week in 1\0vember. The City Contract
Administrator may also request Technovations to install products and services for additional
Environmental Courtroom. for not to exceed prices listed on Exhibit C, item E.
lechnovations' staff shall be experienced and qualified to fulfill their respective duties
under this Agreement.
Technovations shall comply with all applicable Local. State, and Federal ordinances,
codes, laws. and regulations. Technovations shall obtain all required permits and
approvals necessary prior to installation of equipment.

7.0 FORCE MAJEURE
'\ieither party shall be deemed to be in default of any provision ofthis Agreement or be liable for
any delay failure m performance. or interruption of service resulting from acts of war, acts of
1.errorism. acts of God. acts ,}f civil or military authority. civil disturbance, or any other cause
beyond its reasonable control.
8.0 INDEMNIFICATION

los., claims. demands and actions of anv kind on account of personal iniuries (includine:.

~mae:e of anv kind. which is caused bv reason of Technovations' nee:lie:ent acts.
o......sions. or willful misconduct. Technovations must. at its own expense. investie:ate all
thole claims and demands. attend to their settlement or other disposition. defend all actions
based on those claims and demands with counsel of their choice. and pav all chare:es of
att.-nevs and all other cost and expenses of anv kind arisine: from the liabilitv. damae:e.
losl. claims. demands. or actions deemed appropriate bv a court of competent iurisdiction.
The Citv ae:rees to cooperate with Technovations and Technovations' counsel.
In ~ event shall either pam be liable to the other for anv incidental. conseauential. or
special damae:es. Neither partv's totalliabilitv for anv and all damae:es whatsoever arisine:
ou.of or in anv wav related to this Ae:reement from anv cause shall exceed the value of this
Aseement.

9.0 WARRANTY
9.1 Fitness for Particular Purposes Warranty
Technovations services and products are warranted when properly installed, to operate in
accordance with product specifications during the initial one year warranty period and for any
additional extended \varranty or maintenance periods that may be purchased thereafter.
fechnovations also warrants that all features and capabilities of the products provided under this
~greement are tit for their mtended purposes.
Technovations also warrants that if the products or services provided fail to perform to meet the
City's requirements. then Technovations shall be responsible for taking such corrective actions,
and paying the costs associated therewith that are necessary to arrive at the solution which meets
the City' s requirements. The warranties described in this section shall be described collectively
as the "Fitness for Particular Purposes Warranty", The Fitness for Particular Purposes Warranty
shall be effective up to and including one (1) year after the products are accepted by the City.

()ne of the mtended consequences of the Fitness for Particular Purposes Warranty is that
[echnovations shall be bound under this warranty even if there has been no violation of
manufacturers' \varranties. It shall be no defense for Technovations to assert that the products
are operating in acwrdance with manufaclUrers' \\ arranties. This Section shall survive
termination or expiration ot this AgreemeJ1l with respect to those products purchased by the City.
J'his SectIon shall survive termination or expiration of this Agreement with respect to those
products purchased by the ( . ity.
9.2 Service Contract
Technovations products are provided vvith a one year service contract for one-year after the date
the SYSTEM is being operated in a live environment. The cost ofthis service contract is
included in the price of the SYSTEM. The features of this warranty are described in Exhibits E
andF
9.3 Extended Maintenance
In addition to purchasing the FTR Ruby Service Contract. the City may purchase extended
maintenance for the System. The cost of the maintenance is reflected in Exhibit C. Description
of services provided under Extended Maintenance are listed in Exhibit F.
10 SINGLE POINT OF C'ONTACT STATUS
10.1 As part of its responsibilities. and m the event of any problems with any component or
element of the System, Technovations agrees to serve as the single point of contact to resolve
any System Issues. Technovations agrees to serve as the City's resource for identifying and
assessing System problems and recommending solutions. If corrective action involves the
retention of third parties. then T echnovations shall assist the City in contacting such service
providers. These services shall be provided by Technovations for as long as the City utilizes the
products provided by Technovations and procures maintenance services from Technovations.
11.8 DELIVERY AND INSTALLATION
11.1 Scope of Work
Technovations shall provide and deliver all services and products in accordance with its Scope of
Work and Proposal attached as Exhibits A. B, and C. It is the intent of both parties that the
SYSTEr-.1 will be in productive use by the City as defined in the project schedule.
11.2 Shipment, Title and Risk of Loss.
Items shipped via commercial carrier are FOB destination at the price stated herein. The title
and risk of loss of the goods shall not pass to City until City actually receives and takes
pOll5ession of the goods at the point or points of delivery. The place of delivery shall be that set
foI1h in the block of the purchase order entitled "Receiving Agency." The terms of this
agreement are "no arrival, no sale'"

11.3 Site Preparation.
City is responsible for facility preparation (such as appropriate and adequate power, janitorial
services. air conditioning, space, all electncal drops, cabling, City furnished items, security, etc.)

11.4 Site Access
City agrees to allow Technovations personnel reasonable access to City's site and facilities
(telephone, facsimile, parking, etc.) during normal business hours and at other times as agreed.
City understands and agrees that on-site T echnovations personnel may need to work Saturdays,
Sundays, and after hours during the installation period and will have the work areas accessible to
them on those days as reqUlred.
11.5 Installation Dates
The parties acknowledge that installation shall occur in accordance with installation schedule to
be mutually developed and approved by the parties.
12.' TAXES
The SYSTEM purchase price is exclusive of all Federal, State, or Local taxes. Any taxes
applied to this sale by Federal, State or Local Taxing Authority will be the responsibility of the
City. If the City is claiming a tax -exempt status, it must submit the proper certificates to
T echnovations.
13.' TOTAL AMOUNT AND TERMS OF PAYMENT
The total of payments to be made by City to Technovations under this Agreement shall not
exceed $93,016.34, which 1S the total indicated on the Pricing Detail and Summary, Exhibit C,
and is inclusive of the SYSTEM and one year of Ruby Service Contract and Extended
Maintenance ("total purchase price"). City is providing no additional funding to
Technovations for any other expenses. such as travel expenses. The City is not responsible
tor any pricing mistakes made by T echnovations on Exhibit C.
Prior to invoicing, Techno\ations will obtain acceptance from the City for each milestone listed
below. The City shall have ten (10) City business days to either certifY that the milestone
objectives have been achieved. or provide Technovations a detailed statement ofthe City's
position as to why approval is denied. Lpon approval to be invoiced, Technovations shall
submit invoices to the Cit) Director of Municipal Court. City agrees to pay the invoices within
thirty (30) days of receipt.
A. Twenty-five percent (25%) of the total purchase price to be invoiced upon contract

14.0 INFRINGEMENT
[n the event of any proceedmg (suit claim or action) against City arising from allegations that
the SYSTEM, or a portion thereof furnished by Technovations infringes U.S. patent, copyright,
trade secret. or other proprietary right of any third-party. Technovations will, if such suit does
not result from modifications made by City. defend City, at Technovations' expense, provided
City promptly notifies Technovations in V\Titing of the allegation. Technovations shall make
such defense by counsel of Its own choosing and City shall cooperate with said counsel. This
section shall survive termination or expiration of this Agreement with respect to those products
purchased by the Cit~
15.0 TERMINATION
City may terminate this Agreement for any reason by providing the other party with thirty (30)
days written notice. In the event of termination under this provision, City agrees to pay
rechnovations for work performed up to the effective date of termination. Each party shall take
steps to bring the work to a close and to reduce its expenditures to a minimum. Each party shall
also, upon request and in a timely manner. return all documents supplied to it by the other party
and shall hand over to other party all documentation prepared by it for purposes of the work.

16.0 INSURANCE
Technovations shall maintam, during the performance of this Agreement, the insurance
coverages indicated in the Certificate of Insurance attached hereto as Exhibit D.
17.0 CHANGES
Either party may request a change to the scope of work required under this Agreement on any
task including but not limited to. alterations, additions, deviations, and omissions from or to the
scope of work. Technovations shall provide City with a written assessment within a reasonable
rime identifying the price and schedule impact of implementing the change. Neither party shall
be obligated to commence work on the requested change until they have agreed in writing to an
equitable adjustment

i'he waiver by either party ,)f any of its rights or remedies in enforcing any action for breach
under th1s :\greement in a particular instance shall not be considered as a waiver of the same or
different rights. remedies, (,r actions for breach in subsequent instances.
] 9.8 SEVERABILITY
If any provision of this Agreement IS void. voidable. unenforceable, or illegal in its terms, but
would not be so if it were rewritten to eliminate such terms that were found to be voidable,
unenforceable, or illegal and such rewrite would not effect the intent of the provision, then the
provision must be rewTitten to be enforceable and legal.
20.8 ASSIGNMENT
"\;either party shall assign or transfer this Agreement nor any rights or obligations thereunder
without the express written consent of the other party. Such written consent shall not be
unreasonably withheld.
21.8 APPROPRIATION OF FU~DS
All parties recognize that the continuation of any contract after the close of any fiscal year of
City, which fiscal year ends on Jul) 31 of each year. shall be subject to appropriations and
budget approval providing for covering such contract item as an expenditure in said budget. City
does not represent that the budget item wi 11 be actually adopted, said determination being within
the sole discretion of the Clty Council at the time of adoption of such budget. Upon non-
appropriations, the City wii! provide written termination notice to Technovations, Technovations
will cease \\fork, and the City will pay Technovations for work performed up to the effective date
of termination.
22.'. SUBCONTRACTORS
Technovations may use subcontractors in connection with the work performed under this
Contract \X/hen using subcontractors, however, Technovations must obtain prior written
approval from the City. In using subcontractors. Technovations agrees to be responsible to the
City for all their acts and omissions to the same extent as if the subcontractor and its employees
were employees of Technovations. All performance requirements set forth as part of this
Contract shall be applicable to all subcontractors and their employees to the same extent as if the
rechnovations and its employees had pertormed the services.
23.8 VENUE AND APPLICABLE LAW
The parties agree that for all purposes. this Agreement shall be governed and interpreted in
accordance with the laws of the Cnited States and the State of Texas. The venue for any legal
disJmtes shall be the appropriate court in Nueces County, Texas.

25.9 WHOLE AGREEMENT
This Agreement sets forth the entire agreement and understanding between the parties relating to
the subject matter contained herein and supersedes all other agreements, oral or written,
heretofore made between the parties relating to the subject matter. This Agreement supersedes
any conflicting terms in purchase order authored by Technovations.

F. Optional Maintenance
Technovatlons can provide scheduled on-site quarterly maintenance which will include cleaning,
adjusting, fine tuning and reconfiguring the systems. This coverage On-Site repair and or replacement
Within 48 hours and includes ai' freight and labor for diagnostics and repairs to warranty and non
warranty items alike

G. Special Notes
Customer will supply power to the devices including Starboards, FTRGold, and racks where needed.
No electrical cabling or LAN cabling has been quoted.
No coring, trenching, or drilling of the floors has been quoted
Some hard walls may require panduit as the only alternative to getting cables from floor to the ceiling.

CONTRACTOR'S LIABILITY INSURANCE
A Contractor must not commence work under this agreement until Contractor has
obtained all insurance required herein and such insurance has been approved by
the City. Contractor must not allow any subcontractor to commence work until all
similar insurance required of the subcontractor has been so obtained.
R Contractor must furnish to the Citys Risk Manager 2 copies of Certificates of Insurance, showing
the following minimum coverage by Insurance company(s) acceptable to the City's Risk Manager.
The City must be named as an additional insured for all liability policies, and a blanket waiver of

A. Contractor must obtain workers' compensation coverage through a licensed insurance company in
accordance with Texas law The contract for coverage must be written on a policy and endorsements approved
oy the Texas Department of Insurance The coverage provided must be in amounts sufficient to assure that all
workers compensation obligations incurred will be promptly met
B Certificate of Insurance
. The City of Corpus Christi must be named as an additional insured on the liability
coverage, except for the Workers' Compensation coverage and a blanket waiver
of subrogation on all applicable policies
. If your insurance company uses the standard ACORD form, the cancellation
clause (bottom right) must be amended by adding the wording "changed or
between "be" and 'canceled", and deleting the words, "endeavor to", and deleting
the wording after 'left". In lieu of modifications of the ACORD form, separate
policy endorsements addressing the same substantive requirements are
mandatory
. The name of the project must be listed under "Description of Operations".
. At a minimum, a 3D-day written notice of material change, non-renewal,
termination or cancellation is required.
. If the Certificate of Insurance on its face does not show the existence of the
coverage required by items 1.8 (1)-(6), an authorized representative of the
insurance company must include a letter specifically stating whether items 1.8.
