WHE.REAS, the parties hereto, C.C.1~. Navigation-Cameron, LP, a Texas limited
partnership (the "Partnership"), and the City of Corpus Christi, Texas, a Texas home-rule
municipality (the "City"), on August 19, 2005, entered into an Infrastructure
Development Agreement (the "Agreement") relating to improvements to Bates Drive and
extended the Agreement until September 30, 2006; and
WHEREAS, the extended Agreement provides for an automatic expiration date of
September 30, 2006, if certain conditions precedent are not met; and
WHEREAS, the conditions precedent have not been met and the parties desire to
continue in force and effect the terms and conditions of the Agreement, as originally
stated and as may be amended by the First Amendment Agreement, until at least October
31, 2006;
NOW, THEREFORE, in consideration of the benefits anticipated by the terms of the
Agreement, of the mutual promises of the parties, and of other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, the parties
agree as follows:
The automatic expiration date of September 30, 2006, as set forth in paragraph 5(c) is
hereby amended and extended to October 31, 2006.
All other terms, conditions, duties, and obligations of the parties under the Agreement
and under the First Amendment to the Agreement, upon its approval, shall remain in full
farce and effect.
