(DTown Streetscape and DTown Wayfinding Assessment Project)
This Interlocal Agreement is made among the Regional Transportation Authority in
C'orpus C'l~isti, Texas (the ``RTA"), a metropolitan transit authority, the City of Corpus Christi,
'I'exas (the "City'~), a municipal corporation, and the Corpus Christi Downtown Management
District (the "DMD"). a municipal management district.
WHEREAS, the RTA, the City, and the DMD desire to enter into an agreement pursuant
to the Interlocal Cooperation Act to provide funding for the DTown Streetscape and DTown
Wayfinding Assessment Project (the '`Project"); and
WHEREAS, the Project ~~ill develop a standardized "branding" design to improve the
physical ap~earance of downtown Corpus Christi particularly related to bus shelters, kiosks, and
other streetscapes:
NOW, THEREFORE, BE IT AGREED BY THE REGIONAL TRANSPORTATION
AUTHORITY AND THF. CITY OF CORPUS CHRISTI, TEXAS:
l. Project. The Project shall consist of the development of a theme or "branding" for
streetscapes in downtown Corpus Christi that reflect our coastal community. The Project also
cc~nsists of the development of streetseape hierarchy diagrams, street sections and streetscape
treatment;. Streetscape treatments will be developed for: site furnishings, lighting, pavements,
plantings and signage. The Project has been identified by the RTA, the City, and the DMD as
the DTown Streetscape and DTown Wayfinding Assessment Project.
?. Costs. The R7~A agrees to pay not more than $24,000.00 for the costs of the Project,
representing the combination of funding from all sources obtained by the RTA. The DMD
agrees to pay not more than $24,000.00 for the costs of the Project, representing the combination
of funding from all sources obtained by the DMD. The RTA and the DMD certify that their
financial obligations pursuant to this Agreement shall be made out of current revenues available

~. Desi~n. The City agrees to engage the firms Gignac & Associates and Sasaki
Associates, Inc. (the "Architects") to complete the design work for the Project.
4. Automatic Renewal. This Agreement shall be for a term of one year as required by
the Interlocal Cooperation Act, and is subject to automatic renewal until the completion of the
Project unless terminated as provided herein. Notice of termination shall be given no later than
one year prior to termination. Such notice of termination shall be given to each other party to
this Agreement.
~. Severabilitv. If any portion of this Agreement, or the application thereof to any
person or circumstance, shall ever be held to be invalid or unconstitutional by any court of
com~tent jurisdiction, the remainder of~ this Agreement shall not be affected thereby and shall
continue to he enforceable in accordance with its terms.

must be made by (a) depositing the same in the United States mail, postage prepaid, addressed as
follows. or (b) delivering the same to the other party. Any notice given in aecordance with (a)

7. Entire ~~reement. This Agreement expresses the entire agreement between the
parties. Any priar or contemporaneous oral representation shall have no effect. No amendments
shall be effeetive unless in writing and signed by both parties.
