Box 9277, Corpus Christi, Texas, 78469- 9277, and Richard Guerra-Prats, 10102 South Padre Island Drive, Corpus Christi, Texas 78~418 (hereinafter "Deveioper"). WH~EA3, Developeir in compliance with the City Pla#ting Ordinance, developing a tract of land of approxim~ely 2.11 aares called Padre Island, Blodc 30, Lots 4A, 5A, 6A, 7A s~d B~A, located eaa~ of South Padre Island Drive (Park Road 22) and north of Verdsmar €kive, as shown in the attached Exhibit 1; WHEREAS, Deveioper, will s~oon be c~mmencing constrv~tion on ir~frastructure and relat~d site improvements in accordance with City approved construction plans and speci~ications; WHEREA3, under the Platting Ordinance, the Developer is responsible for cxmstruction of a~anitaityy sewer collection line extension; WH~tEA3, under the P~tting Ordinance, the Developer is eligible for reimbursement of the De~veloper's costs for the constructiai of a ssinitary sewer collection line extension; WH~EA3, it is essential that the sanitary sewer collection line extension be con~ructed in connection with the developmerrt for service to be provided upon comp~etion of the development; WH~EAS, it is in the irrterest of the City and the Developer for the 8-inch oolleation line ~ be c~nstructed along with the Deveioper's projec:t at this time; NOW, TH~REFORE, for the consideratio~ set forth hereinefter, the City and Developer agre~ as fc~ows: 1 R~QU~D CONSTRUCTION The ~evebper shall cor~ruct the 8-inch PVC sanitary sewer collection line needed for Padrr~ Island, Blodc 30, Lots 4A, 5A, 6A, 7A and 8A in compliance with the City's Platt~g 4rdinance and under the plans and speafications approved by the Devebprrt~nt Services Engineer. 2006-542 12/12/06 M2006-393 ~ ~g Guerra-Prats, Richard _ ~., . ~ ~ _d .,., a. _,~.,~.. _ . . ,. ~ . ,~,. _ .~ _ . ~ .. __ .~ ..., __...~.~e r.~ ....~._~._. _ _ ~ ._ ~. _ __ e-.,R 2. PLANS AND SPECIFICATIONS a. The Developer shall contrxt with a professional engineer, accept~le to the City's Development Services Engineer, to prepare plans and specifications for the 8-inch PVC sanitary sewer collection line, as shown in Exhibit 2, with the following basic design: (1) Install 379 linear feet of 8-inch PVC sanitary sewer collection line (4' - 6' ~P)• (2) Install 169 linear feet of S-irxh PVC sa~itary sewer collection line (6' - 8' ~P)~ (3) Instail 10~4 linear feet of 8-inch PVC sanitary sewer cofle~tion line (8'-10' daep). (4) Install 1(one) 4foot diameter manholes (4'-6' deep). (5) Rehabilitste 1 (one) existing manhole. (6} Install 1(one) 8-inch stub-out and plug. (7) Instail 1(one) 8'x 6A service tee. (8) Insta11500 linear feet of trench Safety. (9) Install 5001inear feet of Dewatering. (10) Traffic Control (11) Pavemerrt repairs The sanitary ~ewer collection line extends south along South Padre Island Drive (Park Ra~d 22) to proposed manhole and east atong Verdemar Street e~nding at an existing manhole. b. The plans and specifications shall comply with City Standard Wastewater Detail Sheets and Standard Speafications. c. Before the Developer begins construction, the plans and specifications must be approved by the City's Director of Engineering Servicss. 3. SITE IMPROVEMENTS Priar to car~truction of the S-inch sanitary se~wer collection line, the Developer shalf acquire and t~dicate to the City the required utiiity easement or right-af-way for the inst~Nation of the 8-inch aanitary sewer coliec:tion line. 2of6 4. PLATT~ FEES. De!veloper shali pay to the City of Corpus Christi the required acre~pe fess as required by the Platting Ordinance. 5. DE1/EL(3PER AWARD CONTRACT FOR IMPROVEMENTS. Developer shall award a contract and indude wilhin the oontract that the 8-inch sanitary sewer collection line shall be carustructed, in accordance with the approved plans and specifications, and compieted by December 30, 2007. 6 TNNE IS OF THE ESSENCE. Time is of ~e essence in the performance of this contract. 7 ~FAULT. The ~Ilowir~g events sha~ constitute default: a. L)eveloper fails to engage a professional engineer for the preparation of plans a~d specificaticros for this project by the 10~' calendar day after the date of approval by Cit~r Council. b. Developer's professional engineer fails to submit the construction plans and specfications to the City's Director of Engineering Services by the 40"~' c~lendar day a~ter the date of approval by City Council. c. Ueveloper fails to award a contract for the construction of the~roject, aKxording to the approved plans and ~pecificatia~s, by the 70 calendar day aRer the date a~ approval by City Council. d. Developer's contractor does not reasonably pursue construction of the project according to the approved plans and speafications. e. Developer's cvntractor fails to complete construction of the project, according to the approved plans and speafications, on or before December 30, 2007. In the ever~t of default, the City shall have all its common law remedies in addition to the folloMring: a. Cancella#ion of this reimbursement agreement without notice or cure. b. Refusal to record plat(s) or issue any certificate of occupancy for any structure to be served by the project. 8. T~IIRD-PARTY BENEFICIARY. Deve~bper'a contrads wi~ the professional engineer for the preparation of the plans and • tions for the construction of tt~e project, contracts for testing services, and with ~e cc~tractor for ths construction of the project shall provide that the City shall be a thir~ti party benefiaary af each contract. 3of6 9 RERFORMANCE AND PAYMENT BONDS Devdoper shali require its contractor for the construction of the project, before beginning tfie work, to execute to Deveioper and the City a performance bond if the contr~ct is in excess of ~100,000 and a payment bond if the corrtract is in excess of $25,~00. The performance and payment bond shall comply with Texas Govemment Code, Chapter 2253 and shall be in the form and substance as attached hereto. 10. NOTICE. Should DeMeloper fail to perform any obliga#ion or duty of this agreement, the City shail give notice to Developer, at the address stated above, of the need to perform such oblig~tion or duty, and ~ould Developer fail to perform the required obligation or duty withi~ 15 tlays of receip# of the no~ce, the City may p~rform the obligation or duty, char~ng tMe cost of such perfornnance to Developer. Developer will pay to City the cast of sucF~ performance within 30 days from the date Developer receives notice of the cost of such performance. No#ice required by the paragraph may be by United States Postal Service, First Class Maii, Certified, Retum Receipt Requested, postage prepaid; by a commercia! delivery service that provides proof of delivery, delivery pr~epaid; or by personal delivery. In the altemative, in the event of Developer's failure to cure any such brea~h afl~ notice, the City may terminate this agreement. The provision for notice and cure contairted herein shall not apply to a default under paragraph 7 hereinabove. 11. WARRANTY Dev~loper ahall fully warranry the workmanship of and function of the sanitary sewer grav~y trur~c main and the construction thereaf for a period of one year from and after the date af ~cceptance af the facilities by the City Engineer. 12. REIME~URSEMENT. a. The City will reimburse the Developer the cost of the 8-inch sanitary sewer collection line, not to exc~ed $11,233.64. See Cost Estimate attached hereto as Exhibit 3. b. The City wilt reimburs~ the Developer for expenses incurred for the preparation of plar~s and speafcations ~r the &inch sanitary ~ew~er collection line by the praFessional eng~eer t~ed by the Deareloper. However, the expenses may not exceed 7.596 of the costs of oc~nstruction of the 8-inch sanitary sewer collection line. 13. ~NDt~MN/F/CATION. Devebper shall ind~emnNy and hoJd harmless the City, its age~ts, c~ca~s, and eiuplby+e~s fiom a!/ suits, actions, or c/aims and from al! liab~ity ii~r any and al/ hjuries or damag~es sustatned by any person, including wit/put ll~witation w~orlkws compensation, p~sonal in~ury or death, ~rising from or i~cid e~-t to thls &inch sanltary sew~er coNection line constnuction. 14. This agireement is a covenant running with the land, Padre Island, Blodc 30, Lots 4A, ~1, 6A, 7A and SA, a subdivision in Nueces County, Texas, and shall be recorded in ths Offi+~al Public Records of Nueces County, Texas. 4of6 15. aI~CLOSURE OF Oil1/NERSHiP INTERESTS. Developer further agrees, in complianc~ with the City of Corpus Christi Ordinance No. 17112, to complete, as part of this Agreer~nt, the Disclosure of Ownership interests form attached hereta as Exhibit 4 16. EFFECTIVE. This agreement becomes effective and is binding upon and shall inure #o the benefit of the City and Developer, and their respective heirs, successors, and assigns from and after the date of execution.
