Thai the City of Corpus Christi, a Texas home rule municipai corporation, acting
throvgh its duly authorized Ciry Manager, George K. Noe, in accordance with A~ticle IX,
Sec~on 1, Corpus Christi Gity Charter, in consideration of an initial payment $ 598.00
previously received for issuance of this Use Privilege Agreement, the receipt of which is
acknowled~ed, hereby grants, upon the conditions hereinafter stated, unto First Commerce
Bank, 4211 Ayers, Corpus Christi, Texas 78415, a Texas state financial institution, a~d
Kafogndis and Kalogridis Development, LLC., 2110 Boca Raton Drive, Suite 102, Austin,
Texas 78747, a Texas limited liability corporation, hereinafter "Owner," a use privilege for
the right to install, operate, repair, replace, maintain, relocate, and/or remove a private 2-
inch diameter PVC force (wastewater) main. The private 2-inch diameter force main is to
be lacated within the Palmira Avenue street right-of-way, approximately 448-linear feet in
length, tying into an existing sanitary sewer manhole located in a City utility easement right-
of-way, located north of Elbow Drive; here and after known as "Use Privilege
Improvernents" within the City of Corpus Christi, Nueces County, Texas, as shown on the
attached and incorporated Exhibit 1
TO HAVE ANO TO HO~D the same unto Owner, its successvrs, a~d assigns,
togather with the nght under these conditions, at any time to enter upon the above
described right-of-way to maintain the Use Privilege Improvements, and it is further
und~rstood that the use privilege is granted subject to Owner's compliance with the
following conditions;
A, This Use Privilege Agreement (Agreement) may be revoked upon any default by
"Owner' in the terms and conditions contained herein upon the giving of 60 days written
notice by the City of Co~pus Christi City Manage~, or designee ("City Manager").
B. OWNER, COVENANTS TO FULLY INDEMNIFY, SAVE AND HOLD HARMLESS
THE CITY OF CORPUS CHRISTI, ITS OFFICERS, EMPLOYEES, AND AC3ENTS,
("INtt~EMNiTEES") AGAINST ANY AND ALL LIABILITY, DAMAGE, LOSS, CU41MS,
~EIi~ANDS ANO ACTI~NS OF ANY NATURE WHATSOEVER ON ACCOUNT OF
PEF~SON~L INJURIES (INC~UDING, WITHOUT LIMITATtON ON THE FOREGOING,
WO~tKEli3' COMPENSATION AND DEATH CLAIMS), OR PROPERTY LOSS OR
D~4A#AGE OF ANY KINO WHATSOEVER, WH1CH ARISE OUT OF OR ARE IN ANY
MA~VER CONNECTEO WITH, OR ARE CLAIMED TO ARISE OUT OF OR BE IN ANY

C Owner must acquire and maintain commercial general liability insurance pertaining
to the Use Privilege Improvements and the activities ~elated to the Use Privilege
Improvements authvrized by this Agreement, in the minimum amounts set forth in the
attached and incorporated Exhibit 2. The General Liability policy must name the City as
Additional Insured. Upon City Managers written request, Owner shall provide copies of all
insurance policies to the City Attorney. Such policies may not be canceled, renewed, or
materially changed without 30 days advance wntten notice to the City's Director of
Devslopment Services, o~ designee {"Asst Director/Special Services Enginee~')_
D Owner`s use of the Use Privilege Improvements must not interfere with City°s
con~n,ction, operation, repair, replacement, or maintenance of any eXisting or future
proposed sidewalks, utility lines, or other uses. If City (or any other franchisee with utilities
currently located in said rights-of-way) needs access to the rights~f-way, Owne~ must pay
for r~movir~ or relocating the Use Pnvilege Improvements to allow access to the utility
lines for repair, replacement, or maintenance of the utility lines. The Owner must repairthe
Use Privi~ge Improvements to their original condition or remove the Use Privilege
Improvements at which time this Agreement terminates immediately.
E Owner must not close or barricade a public street, o~ any portion ofthe public street,
to installo repair, or maintain the Use Privilege Improvements until the Permittee or his
contractor has filed an approved tra~c control plan with City's Traffic Engineering Office.
F Owner must pay to maintain or repair the Use Privilege Improvements at all times,
rega~diess of the type of damage that may occur, within 30 calendar days of notice of
damage to Perrnittee Failure tv dv so terminates this Use Privilege Agreement
immediate~y.
G_ Ow~er must comply with all applicable Federal, State, and local laws and
regu~ations, as may be amended.
H Owrrer must not assign this Agreement without City's prior wntten consent.
I Cor~struction of the 2" force main was commenced by the prior property owner in
acco~dan~e with approved construction plans prepared by Urban Engineering, Inc., and
attached as Exhibit A, "~vne~' shall complete the remaining approximately 100 linear feet
of 2" force main in accordance with said construction plans. The plans will tie the
cents~line of the proposed Improvements to the ce~terline of the Use Privilege
Irnprovement Area_ Any centerline improvements will also be tied to the existing utility
centerlines. The Owner must provide the Director of Development Services with a
complete ~pth profile, distance, and location of its Improvements from existing City
utilities, other franchised utilities, and other pipelines, that fall within all affected City right-

of-way crossings. The Uwner is advised that cente~iine of proposed Improvements must
have a minimum cente~fine to centerline horizonta~ distance as shown in the table below:

Storm water - 18" Expedius - 12" Caprock - 12"
Owner must install, repl~ce, repair, and ma~ntain the Improvements so that no portion of
the pipeline will be any shallower than 36-inches from existing ground or roadway
pavement. The Owner must provide the Asst Di~ectoNSpecial Services Engineer with a
24"x36" size reproducible set of as-built drawings of the Improvements within 60 days after
completion of construction; failu~e to do so may result in Owner's Use Privilege Agreement
being forf~ed by the Gity.
J Owner at least 48 hours pnor to beginning wo~lc, must give notice and verify depth
a~d locat~ of all existi~g City Water, Wastewater, Gas, AEP, SBC, TimeWamer, and
Grande Gommunications li~es, as well as Expedius, KMC, CSW, and CAPROCK,
communicartion fiber optic cables. Owner must also call the Texas One Call System
(1-8U0-245-4545), 1-800-DIG-TESS, ~one Star Notification Center (1-800~69-8344), and
SBC (1-8~-828-5127) for locations of existing utilities at least 48 hours prio~to the start of
constructiot~. A City Inspector may request a utility line be uncovered to verify its depth or
locaqan.
K. Owne~ must properly compact backfill around existing utilities in accordance with the
City of Co~pus Christi Standard Specifications, including City Water Distribution System
Standards.
L If d~mage occurs to any gas, storm, water or wastewater line, as determined by the
Ciry's rep~entative, a City Gas, Water, or Wastewater Division crew will be brought in and
allow~ed immediately to make all repairs. All City's costs (labor and matenals) associated
with the repairs must be paid by the Permittee within 30 days of City Manager's invoice
ther~f. City's representatives will determine the extent of damage and amount of repairs
to the utility line(s)
M. Wortc around any existing water main must be done under the inspection of a Water
Divis~on Ir~pector at a daily rate of $301.31 for each day spent inspecting construction,
mair~enance, repair, replacement or relocation of the Use Privilege Improvements
purswant h~eto. A half-day (4 hours) or more of work constitutes a whole working day for
purpose of calculation. Any time in excess of 8 hours a day, or on Saturday, Sunday or
Holidays, must be calculated at a daily rate of $56.49 an hour, Permittee must pay these
funds to the City of Corpus Christi, Water Department. These amounts wil) be adjusted
ann~lly on August 1 to reflect any pay increase.
N. Owner must take every p~ecaution not to disturb the soil surrounding any existing
water or wa5tewater line, including all thrust blocks.

O. Damage to driveways, culverts, head watis and any other structure, public or pnvate,
must be r~paired by the Owner at his expense within 30 days after being notified of
damage to same.
P Owner will be responsible for any damage to all existing City and private utilities
withir~ the constn,ction areas.
Q. Owner must not store or leave any equipment or material in City right~f-way
ovem ight.
R. Owner must notify Street Superintendent (361-857-1940) 24 hours pnorto starting
work, and must have a representative present during backfilling and pavement repairs.
S. The Contractor must p~ovide proper safety and security devices to prevent possible
injuries or accidents. No open trenches o~ pits are ta be left overnight. AII trenches must
be b~ackfil#!ed prornptly, the backfill properly compacted, surface restored, and the work
done in a neat and workmanlike manner.
T If this Agreement terminates for any reason, then Owner shall remove all
obstructions and encroachments from the Right-of-way within 60 days of termination.
W. The Imp~ovements must be constructed within one year from the date of the
ordinance approv~ng the Agreement.
X. Permittee must file and record this Agreement at the ~eed Records of the Nueces
County Courthouse> Nueces County, Texas to ensure that public interests needing to use
the rlght-of-way and any future owner of the property are aware of the agreement.
Y The City reserves the right to construct, maintain, and modify City-owned facilities
for City operations. The Gity will give thirty (30) days' prior written notice to Owner
whee~ver City has determined that removal, relocation, change or alteration to the Owner's
pipe~tne is ~asonably necessary for construction, maintenance, modification, oroperation
of City-ovwted facilities. The amount of notice will provide the Owner an opportunity,
reasc~nabl~ under the circumstances> to design, contract for, and complete the required
work. Upon written notice by the City, the Owner shall temporarily or permanently remove,
relocate, change, or alte~ the position of the affected po~tio~ of the Owne~'s pipeline. The
required v~rk will be at the Owner's expense, unless the Owner shows that the Owner
owns an easement for the pipeline with priority over the City right-of-way, in which case the
reasonable cost of the work will be at the City's expense.
Z. It is understood th~t First Comme~ce Bank has the property located at 15715 South
Pad~e Isla~d Dnve u~der cont~act of sale to Kalogridis and Kalogridis Development, LLC.,
and upon tt~ closing of the sale of said property to Kalogridis and Kalogridis Development,
LLC., the rights, obligations, and duties of First Commerce Bank shall expire and be of no
further effect.

INSURANCE REQUIREMENTS

A. Permittee must not commence work under this agreement until all insurance required herein
ha~ been obtained and such insurance has been approved by the City. Permittee must not
allow any subcontractor to commence work until all similar insurance required of the
subcontractor has been obtained
B. Permittee must furnish to the City's Risk Manager, two (2) copies of Certificates of
{nsurance, showing the following minimum coverage by insurance company(s) acceptable to
the City's Risk Manager. The City must be named as an additional insured for the General
Liability policy and a blanket waiver of subrogation is required on all applicable policies.

II. AD~ITIOI!~-L REQUIR~MENTS
~ Permittee must obtain workers' compensation coverage through a licensed insurance
company in accordance with Texas law The contract for coverage must be written on a
policy and endorsements approved by the Texas Department of Insurance. Workers'
compensation ;.overage must be in amounts sufficient to assure that all wo~kers'
compensation obligations incurred by Permittee are promptly met.
B Gertificate of Insurance
• The City of Corpus Christi must be named as an additional insured on the General
liability coverage and a blanket waiver of subrogation is required on all applicable policies.
f# your insurance cornpany uses the standard ACORD form, the cancellation clause
(bottom right) must be amended by adding the wording "changed or" between "be" and
"canceled" and deleting the words, "endeavor to", and deleting the wording after "left". In
lieu of modification of the ACORD form, separate policy endorsements addressing the same
substantive requirements are mandatory
• The name of the project must be listed under "Description of Operations".
• At a minimum, a 30-day written notice of cancellation, material change, non-renewal or
termination is required on all policies.
: If the Certificate of Insurance on its face does not show the existence of the coverage
re~ired by items 1.B (1)-(7), an authorized representative of the insurance company must
include a letter specifically stating whether items 1.B. (1)-(7) are included or excluded.

USE PRIVILEGE AGREEMENT
That the City of Corpus Christi, a Texas home rule municipal corporation, acting
through its duly authorized City Manager, George K. Noe, in accordance with Article IX,
Section 1, Corpus Christi City Charter, in consideration of an initial payment $ 598.00
previously received for issuance of this Use Privilege Agreement, the receipt of which is
acknowledged, hereby grants, upon the conditions hereinafter stated, unto First Commerce
Bank, 4211 Ayers, Corpus Christi, Texas 78415, a Texas state financial institution, and
Kalogridis and Kalogridis Development, LLC., 2110 Boca Raton Drive, Suite 102, Austin,
Texas 78747, a Texas limited liability corporation, hereinafter "Owner," a use privilege for
the right to install, operate, repair, replace, maintain, relocate, and /or remove a private 2-
inch diameter PVC force (wastewater) main. The private 2 -inch diameter force main is to
be located within the Palmira Avenue street right -of -way, approximately 448 - 111near feet in
length, tying into an existing sanitary sewer manhole located in a City utility easement right -
of -way, located north of Elbow Drive; here and after known as "Use Privilege
Improvements" within the City of Corpus Christi, Nueces County, Texas, as shown on the
attached and incorporated Exhibit 1.
TO HAVE AND TO HOLD the same unto Owner, its successors, and assigns,
together with the right under these conditions, at any time to enter upon the above
described right -of -way to maintain the Use Privilege Improvements, and it is further
understood that the use privilege is granted subject to Owner's compliance with the
-following-,conditions:
A. This Use Privilege Agreement (Agreement) may be revoked upon any default by
"Owner" in the terms and conditions contained herein upon the giving of 60 days written
notice by the City of Corpus Christi City Manager, or designee ( "City Manager").
B. OWNER, COVENANTS TO FULLY INDEMNIFY, SAVE AND HOLD HARMLESS
THE CITY OF CORPUS CHRISTI, ITS OFFICERS, EMPLOYEES, AND AGENTS,.
( "INDEMNITEES ") AGAINST ANY AND ALL LIABILITY, DAMAGE, LOSS, CLAIMS,
DEMANDS AND ACTIONS OF ANY NATURE WHATSOEVER ON ACCOUNT - OF
PERSONAL INJURIES (INCLUDING, WITHOUT LIMITATION ON THE FOREGOING,
WORKERS' COMPENSATION AND DEATH CLAIMS), OR PROPERTY LOSS OR
DAMAGE OF ANY KIND WHATSOEVER, WHICH ARISE OUT OF OR ARE IN ANY
MANNER CONNECTED WITH, OR ARE CLAIMED TO ARISE OUT OF OR BE IN ANY
MANNER CONNECTED WITH THE USE OF THE RIGHT-OF-WAY OR CONSTRUCTION,
INSTALLATION, EXISTENCE, OPERATION, USE, MAINTENANCE, REPAIR,
RESTORATION, OR REMOVAL OF THE USE PRIVILEGE IMPROVEMENTS
PURSUANT TO THIS AGREEMENT, INCLUDING ANY INJURY, LOSS OR DAMAGE
CAUSED BY THE SOLE OR CONTRIBUTORY NEGLIGENCE OF THE INDEMNITEES
OR ANY OF THEM. OWNER MUST, AT ITS OWN EXPENSE, INVESTIGATE ALL
THOSE CLAIMS AND DEMANDS, ATTEND TO THEIR SETTLEMENT OR OTHER
