HomeMy WebLinkAboutC2006-567 - 12/19/2006 - ApprovedARTERIAL TRANSMISSION AND GRID MAIN CONSTRUCTION AND REIMBURSEMENT AGREEMENT THE STATE OF TEXAS COUNTY OF NUECES This Arterfal Transmission and Grid Main Construction and Reimbursement Agreement ("Ag~rn~nt") is entered into between the City of Corpus Christi (hereinafter "City"), a Texas ho~ne-rule municipality, P.O. Box 9277, Corpus Christi, Texas, 78469-9277, and Nue~es County, 901 Leopard Street, Corpus Christi, Texas 78401 (hereinafter "Dev4eloper"). WH~REAS, Deveioper in compliance with the City Platting Ordinance, has filed a plat to sub~vide ~ tract af farxi of approximately 4.79 acres called Rose Acres Subdivision locaied a# the intersedio~ of FM fi65 (Old Brownsvilte Road) and FM 763 (OCL), as shovm in the attached F~hibit 1; WH~REAS, under the Platting Ordinance, the Developer is responsible for oonstruction of a 16-inch PVC grid main; WH~REAS, under the Platting Ordinance, the Developer is eligible for reimbursement of the Dev~eioper's costs for the construction of a 16-inch PVC grid main; WH~RE/~S, it is esserrtial that the 16-inch PVC grid main be construded along FM 665 (Old Brov~sville Road) and FM 763, in connection with Rose Acxes Subdivision for it wilt provide future servir,t to the west on FM 665 and north on FM 763; NOW, TF~REFORE, for the consideration set forth hereinafter, the City and Developer agre~ as ~oilows: 1. I~QUM~ED CONSTRUCTION The Deveikiper shall ccx~struct the 16-inch PVC grid main needed for Rose Acres Subdivision in compliance with the City's Platting Ordin~ce and under the plans and speoi#icatie~ns approved by the City Engineer. 2. PLANS AND SPECIFiCATIONS a_ The Developer shall contract with a professional engineer, accept~le to the City's Diredor of Engineering Senrices, to prep~re plans and specifications for the 16-inch PVC grid main, as shown in Exhibit 2, with the following basic design: (1) Install 4,645 linear f~et of 16-inch PVC grid main. (2) Instal! 9(nine~ 16" Resilient Seated Gate Valve 2006-567 12/ 19/06 ~ ot s M2006-431 Nueces Count~ (3) Instail 10 (nine) Fire Hydrant Assembly (4) Instaii 1(one) 1fi" DIMJ 45 degree Bend with Restrairrts (5) Install 2(iwo) 16" DIMJ 22.5 degree Bend with Restraints {6) Install 1(one) 16" DIMJ 11.25 dec,~ee Bend with Restraints (7) tnstall 2(two) 16"x1fi"x8u DIMJ Reducing Tee with Restraints (8) Install 1 (one) 16" Ptug (9) Install 1(one) 16" DIMJ Long Pattem Sleeve with Restraints (10} lnstatl 2(two) 16°x16"x4" DIMJ Reducing Tee with Restrairrts The 16-inch PYC grid main will be constructed alor~ the north side of FM 665 (Old BrownsviHe Road) from the existing 16-inch water line just west of the irrtersection with Saratoga Boulevard (SH 257) and extend southwest to the irrtersection of FM 665 with FM 763; and northwest along FM 763 to the north-west comer of the Rose Acres Subdivision. b. The plans and specc;ififications shall comply with City Standard Water Detail 3heets and Standard Spea~ications. c. Before the Developer begins construction, the plans and specifications must be approved by the City's Director of Engineering Services. 3. Sf'fE IMPROVEMENTS Priar to cor~truction o# the 1 fi-inch PVC grid main, the Developer shall acquire and dedic~#e to ~e City the r~quired utility easement or right-of-way for the installation of the 16-in~h Pi/~ grid main. 4. PLATTII~IG FEES. Developer shall pay to the City of Corpus Christi the required acreai~e fe~s as required by the Platting Ordinance. 5. D~/ELt)PER AWARD CONTRACT FOR IMPROVEMENTS. Developer shall award a axttract and ir~dude within the contract that the 16-inch grid main sha)I be cons~Pucted in a~ccordanoe with the approved pl~s and specifications ~d completed by December ~, 2007. fi. T~AE IS fJF THE ESSENCE. Time ~ of t#~ essence in the performance of this c~ntract 2ofB 7 DEFAULT. The ~ollov-dng events shail cor~stitute default: a. Developer fails to engage a professional engineer for the preparation of plans ~d specifications for this project by the 10"' calend~ day after the date of ~proval by Cit~r Counal. b. Developer's professional engineer fails to submit the construction plans and ~ec~cations to the City's Director of Engir~eering Services by the 40"' c;alendar day a~ter the date o# approval by City Council. c. Developer fails to award a contract for the construdion of the project, at:cording to the approved plans and specifcations, by the 70~' calendar day a~ter the date oF approval by City Counal. d. ~veloper's c~ntractor does not reasonably pursue c~nstruction of the project according to the approved plans and speafications. e. Develope~'s ccx~tractor fails to complete constru~tion of the projec,t, according to the approved plans and specifications, on or before December 30, 2007. In th~ event of default, the City shail have all its common law remedies in addition to the foll~ing: a. Cancellation o~ this reimbursement agreement without notice or cure. b. Refusaf to reoord plat(s) or issue any certificate of occupancy for any structure to be served by the project. 8 THIRD-PARTY BENEFICIARY Deve~oper's oontrads w~h the professional engineer for the preparation of the plans and lpec~l~tions for the constnaction of the project, corrtracts for testing services, and with ~te cx~ractor for the construc:tion of the project shall provide that the City shall be a third parE~y be~eficiary af each contract. 9. PERFC~i2MANCE ANfl PAYMENT BONDS. Deve#oper shall require its contractor for the construction of the project, before begir~ning the work, to axecute to Developer and the City a performance bond if the contr~t is in excess of ~100,000 and a payment bond if the conh~act is in excess of $25,Q00. The per~ormance and payment bond shail vomply with Texas Govemment Code, Ch~qpter 2253 and shall be in the form and substance as attached hereto. The perfo~mant~e and payment bond shall name Developer and City as joint obligees. 10. WOTICE. Sho~d D~oper fail to perform any obligation or duty of this agreement, the City shall give rrotics to Developer, at the address stated above, o# the need to perForm such oblig~ion or duty, and should Developer faii to perfoRn the required obligation or duty 3 of 6 within 15 dsys of receipt of the notice, the City may perform the obligation or duty, char~ing the cost of such pertormance to Developer by reducing the reimbursement amount due Developer. Deve{oper will pay to City the cost of such performance within 30 ci~pys from the date Developer receives notioe of the cost of such performance. Notioe required by the peragraph may be by United States Postal Service, First Class Mai1, Certi~ed, Retum Receipt Requested, postage prepaid; by a commercial delivery service th~t provides proof of delivery, delivery prepaid; or by personal deiivery. In the altemetive, in the event of Deveioper's failure to cure any such breach after notice, the City may terminate this agreement. The provision for notice and cure contained herein shall not appiy to a default under paragraph 7 hereinabove. 11. WARRANTY. Deveioper ehall have cor~ractor execute a warranty of the workmanship of and function of the arte~iai transmission line and the construction thereof for a period of one ysar ftom and af'ter the date of acceptance of the faalities by the City Engine~. Said warranty v~ri~ be assigned and transferred to the City upon completion of this project. 12. REIMBURSEMENT. a. The C~r wiN reimburse the Developer 100°~6 of the cost of the 16-inch PVC grid main, upon satisfactory oompletion and testing in compti~ce with approved plans and spec~cations, not to exceed $~412,183.89. See Cost Estimate attached hereto as Exh~it 3. b. The Cit~r will reimburse the Developer for expenses incurreci for the preparation of pfans and ~ecifications for the 16-~nch PVC grid mai~ by the prvfessiona! engineer hired by the Developer. However, the expenses may not exceed 7.5q6 of the costs of cons~uctian of the 16-inch grid main. 13. City aprees that it w~! not unreasonably withhofd approval of the plans, progress, evalu~Ntiort~, or reimbursements under this agreement, upon verification of satisfactory inspet~:tion and #esting resul#s. 14• ~-DE~iIFl~CA7l~ON. This ~greement is a covenant running with the land, Rose Acres Subdivision, a subd~rision in Nueces County; Texas, and shall be revorded in the Official Public Rec~ds of Nueces County, Texas. 16. DISCLOSURE OF OWNERSHIP INTERESTS. Developer further agrees, in comp~ance with the City o~f Corpus Christi Ordinence No. 17112, to complete, as part of this ~reert~t~nt, the Disc~osure of Ownership irrterests form attached hereto as Exhibit 4. aors 17. EFFECTIVE.
