this AMENDMENT NO. B TO AIRLINE USE AND LEASE AGREEMENT
(hereinafter referred to as the "Amendment ") is executed by and between the City of Corpus
Christi, Texas, (the "City ") acting for the Corpus Christi International Airport ( "Airport") and
ExpressJet Airlines, Incorporated
WHEREAS, the City and ExpressJet Airlines, Inc. entered into an Airline Use and Lease
Agreement dated October 17. 2004 ("Lease ");
WHEREAS, the parties wish to amend the Lease to waive certain Airport fees for new
nonstop direct passenger air service to a new destination not currently served by the Airport and
to change certain leased premises at Airport, as shown on revised Exhibit B;
NOW, THEREFORE, the parties agree to amend the Lease as follows:
Paragraph 7.14 is added as follows:
7.14 Waiver of Fees The CITY shall waive cetain Airport fees associated with AIRLINE
providing new nonstop direct passenger air service to a new destination not
currently served by the Airport through April 30, 2008. The waiver of fees shall
include all landing fees, terminal rentals, apron fees, and common use charges
normally charged to AIRLINE. In addition, the CITY shall provide advertising
funds to include in -kind services up to $75,000.00 to promote the new nonstop
direct passenger air service. For any additional new nonstop direct passenger air
service, the CITY shall provide up to an additional $50,000.00 in funds and in-
kind services for advertising.
Exhibit B is replaced with revised Exhibit B, attached hereto, to show AIRLINE'S leased
premises.
�. This Amendment shall be effective as of April 1, 2007.
