The 12-inch PVC grid main will be constructed beginning at the existing 12- inch water line previously installed by othe~s and extends south, along U.S. Nighway 77 approximately 1,600 linear feet terminating at the MER Subdivision south property line. b The plans and specifications shall comply with City Standard Water Detail Sheets and St~ndard Specifications. c. Before the Developer begins construction, the plans and specifications must be approved by the Development Services Engineer. 3. S~TE IMPROVEMENTS Prior'to co~rstruction of the 12-inch PVC grid main, the Developer shall acquire and dedit~ate to the City the required utility easement or right-of-way for the installation of the 12-irt~h PVC grid main 4 P~,ATTI~IG FEES. Developer shall pay to the City of Corpus Christi the required acre~ge fe~es and pro-rata fees as required by the Platting Ordinance. 5 Q~VE~tJPER AWARD CONTRACT FOR IMPROVEMENTS. Developer shall awar~ a cc~ttract and incl~de within the contract that the 12-inch grid main shall be cons~ructed in accordance with the approved plans and specifications and completed by April 30, 2048. 6 T~AE IS OF THE ESSENCE. Developer's professional engineer fails to submit the construction plans and specifications to the City's Development Services Engineer by the 40tn calendar day after the date of approval by City Council. c. Developer fails to award a contract for the construction of the ~roject, according to tMe approved plans and specifications, by the 70t calendar day after the date of approval by City Council. d. Developer's contractor does not reasonably pursue construction of the project according to the approved plans and specifications. e. Developer's ccmtractor fails to complete construction of the project, according to the approved plans and specifications, on or before April 30, 2008. In th~e event of default, the City shall have all its common law remedies in addition to the follcc~wing: a Cancellation ~ this reimbursement agreement without notice or cure. b. Refusal to record plat(s) or issue any certificate of occupancy for any structure to be served by the project. 8. ~'HIRD-PARTY BENEFICIARY. Dev~oper's contracts with the professional engineer for the preparation of the plans and Specil~cations for the construction of the project, contracts for testing services, and with ~e contractor for the construction of the project shall provide that the City shall be a thitd par#y beneficiary of each contract. 9. pERFf}RMANCE AND PAYMENT BONDS. Dev~oper shall requir~ its contractor for the construction of the project, before beg~ning the work, to execute to Developer and the City a performance bond if the cont~ct i~ in excess of $100,000 and a payment bond if the contract is in excess of $25,000. The perform~ce and payment bond shall comply with Texas Government Cod~, ChBipter 2253 and shall be in the form and substance as attached hereto. The perfc~rmar~e and payment bond shall name Developer and City as joint obligees. ~ o ~aTieE. Shoc~ld D~veloper fail to pertorm any obligation or duty of this agreement, the City shall give notice to Developer, at the address stated above, af the need to pertorm such obli~tion or duty, and ~ould Developer fail to perform the required obiigation or duty withi~ 15 days of receipt of the notice, the City may perform the obligation or duty, char~ing ~he cost of such performance to Developer by reducing the reimbursement amo~nt due Developer Developer will pay to City the cost of such pertormance within 30 ~ys from the date Developer receives notice of the cost of such performance. Notic~e rec~ired by the ~aragraph may be by United States Postal Service, First Class Mail, Certified, Retum Receipt Requested, postage prepaid; by a commercial delivery serv~re th~t prov~des proof of delivery, delivery prepaid; or by personal delivery. WARRANTY Deve~oper ~ttall have contractor execute a warranty of the workma~ship of and f~ction of th~ arteri~l transmission line and the construction thereof for a period of one year from and a~er the da#e af acceptance of the facifities by the City Engineer. Said warra~nty wiN be assigned and transferred to the City upon completion of this project. 12. REIMBURSEMENT a. Tt~s City will reimburse the Developer 100°~ of the cost of the 12-inch PVC grid main, upon ~ati~ory comple~on and testing in compliance with approved plans and spec~catiains, and final acc;eptance not to exceed $173,472.75. See Cost Estimate attac~d hsreto as Exhibit 3. b. Tt~e Cit~r will reimburse the Developer for expenses incurred for the preparation of p{an~and ~fications for the 12-inch PVC grid main by the professional engineer hired ~y th~ Developer. However, the expenses may not exceed 7.5°~ of the costs of const~uction of the 12-inch grid main. 13. l~10~A~1/FICaTJON. Developer sha!l indemnify and hold harm/ess the Cfty, its age~s, o~cers, and en~p/oyees from a1! suits, actions, or claims and from all liabi~y fio~ any and al/ i~juries or damages sustained by any person, includi~g with~ut lir~ation w~ork+~rs compensation, personal injury or death, arising from or in~dent to this 92 in~h PVC grid main construction. 14. T`~is a~reement is a covenant running with the land, MER Subdivision, Block 1, Lot 1, a s~bdiv~on in Nuecea County, Texas, and shall be recorded in the Official Public Rec~ds of Mueces County, Texas. 15_ C~lSCLflSURE OF OWNERSHIP INTERESTS. Developer further agrees, in comp~ance with the City of Corpus Christi Ordinance No. 17112, to complete, as part of this A~reen~eent, the Disclc~sure of Ownership interests form attached hereto as Exhibit 4. 16. ~FECTIVE.
