Box 9277, Corpus Christi, Texas, 78469-9277, (here~after "City"), and Fence Lake Investments, Ltd., a Texas limited partnership, P.O. Box'3~5, Cotpus Christi, Texas 78403, (hereinafter "Developer"). WHE-~'tEA3, Deveioper, in compliance with the City Platting Ordinance, filed a plat to devebp a~'act of land of approximately 7.416 acres called Hill Country Estates, located on th~ eas~ side of McKinzie Road, as shown in the attached Exhibit 1, which ptat was appr~!ved by the Pianning Commission on January 24, 2007; WHE~tEAS, the City's W~ter Distribution Master Plan, 1997, requires the construction of a 12-~nch F~lC arterial transmission grid main in order for Hili Country Estates, to have wate~ servroe; WHF~tEA3, Developer, wii! soon be commencing construction on infrastructure and relat~d site improvemer~ts in accordance with City approved construction plans and spec~icatic~ns: WH~tEAS, under the P~tting Ordinance, the Deveioper is responsible for construction of a 12-inc~ PVC arterial transmission and grid main; WH~2EA~, under the Platting Ordinance, the Developer is eligible for reimbursement of thi Dev~per's costs for the construdion of a 12-inch PVC arterial transmission and grid main; WHE~tEAS, it is essentia! that the 12-inch PVC arterial transmission and grid main be cons~ucted aiong McKinzie Road in conne~tion with Hill Country Estates to serve th'ss area In tt~ future, this main will extend ta the existing 12» water main on McKinzie Road near Pioneer Drive and complete the water grid in the area. PL,dANS ie11VD SPECIF~ATIONS a. The Developer shall +contr~t with a professional engin~r, acceptable to the C~y's Develc~pmerrt S~vio~ Engineer, to prepare plans and spec~c~tions for the 12-inc:h PVV~CC arteria~ transmis~ion and grid main, as sho~wn in Exl~ibit 2, v~h the following basic design: (1) Install 6361~near feet of 12-inch PVC transmission/grid main. {Z} Ins#ai11 (ons)12-inch Tapping Saddle and 1 Z-inch Tapping gate Vahre (3) Instalt 1(orte) 12" X 6" Tee (4) Instalt 1(one)12-inch Cap Tapped for 2-inch (~v) tnstail 1(or~e) Gate Vatve with Box "f"he transmis~oNgrid main will be c:onstructed alor~ the e~st side of I~Cinzie Road (FM 338fi). The proposed 12-inch water grid main begins at tlhe existing 12~inch water line previ~aly inst~led by others on 1Gngsbury t~ive and exter~cis north ai~g the east side of McKinzie Road. b. T'he plans and specifications shall vomply with City Standard Water Detaii ~heets and Standard Speafications. c. 8+~fore the Der~eloper begins construction, the plans and specifications must bee approved by the City's Development Services Engineer. 3. S~'E N1+~20VEMENTS Prior : to c~struction of the 12-inch PVC arterial transmission and grid main, the Deve~ M~II aoquire a~nd de~ca#e to the City the required utility easement or right-of- w~r ~ the instaiiation of the 12-inch PVC arterial tr~nsmission and grid main. 4. P~.ATTII~lG FEES. Ueve#oper sh~l pay to the City of Corpus Christi the required acre~ fe~ as required by the Plattir~g Ordinance. 5. D~i/EL~P'ER AWARQ CONTRACT FQR MIiPROVEMENTS. Deveioper shall ~nnrard a a~ct ~nd complete !he 12-inch arterial transmission ~d grid main, in acoardance withc~~e ~roved plans srtd specifica#ions, by April 17, Z008. 6. TI~AE 13 OF THE ES~NCE 2of6 .~ .r~ ,~ . _ ,~ ~ .. ~.,,.,~ ~ _ ._ _ _ r .., „~. _:_~_ .._ ~.._ _. ~ _ ~ .~., _.. _W.,, Time is of t~e essence in the performance of this contract. 7. O~FAt1~.T. The f~ilowNng events shaA constitute default: a. Developer fails to engage a professional engineer for the preparation of plans aa~d specifications fo~ this project by the 10"' calendar day after the date of a~roval by City Council. b. C~eveloper's profiessional engineer fails to submit the construetion plans and ~ecifications to the City's Development Services Engineer by the 40"' calendar day atter the date of approval by City Council. c. ~eveloper fails to award a contract for the construction of the project, aCcording to tt~ approved plans and spec~cations, by the 70th calendar day a~er the date ~ approval by City Council. d. D~eveloper's contractor does not reasonably pursue construction of the project a~ccording to the approved plans and specifications. e. Developer's cor~tractor fails to complete construction of the project, acc:ording to the approved plans and specifications, on or before April 17, 2008. In tha~ ever~t of default, the City shaH have all ~s common law remedies in addition to the follov~ng: a. Cancellation of this reimbursement agreement w+thout notice or cure. b. i~fusal ta rep~rd plat(s) or issue any certificate of occupancy for any ~rudure to be served by the project. 8. TMIRD~P'ARTY BENEFlCIARY Deve~oper`~ oontracts wi#~ the professional engineer for the preparation of the plans and ~ecifi~etions for the constr~uc:tion of the projec;t, c~ntracts fcx testing services, and with ~te a~ractor for tF~ construction of the project shall provide that the City shall be a thit^~t p~r benefiaary c~ ead~- contract. 9. PERFt~RMANCE AI~ PAYMENT BONDS. Qeve~oper sh~i require its contractor for the c~struction of the project, before begi~ning #~e work, to ~cecute to Developer and the City a performance bond if the is in excess of a100,000 and a payment bond if the contract is in exoess af ~25, . The performa~ce and payment bond shall comply with Texas Govemment Co~, Chaprter 2253 and ~hai! be in the form and substanc~e as attached hereto. 10. ~4TICE. In the altemative, in the everrt of Developer's failure to cure any such br~ after notice, the C~yy may terminate this agreement. The provision for notioe and cure t~ontained herein sha~l not apply to a default under paragraph 7 hereinabove. 11. 1AtARR~WTY. Deve~rper shall fu11y warrant the workmanship of and function of the 12-inch PVC arEeri~l trar~mis~ion and ~rid main and the construction thereof for a peniod of one year from ind aAK the date of ecceptance of the facilities by the City Engineer 12. ~lMB~tSEMENT a. TF~ City will reimburst the Deveioper 100°~6 of the cost of the 12-'rnch PVC arterial tra~~s~issic~t and grid main, upon satiti~fac~ory crompletion and tesdng in oompli~ce with appr pl~ris and spec~cations, and fina! acoeptance not to exceed ~43,450.43. Th~ City will reimburs~ the Developer for expenses incurred for the preparation of pl~s ~nd ~eafic~tions fior the 12-inch PVC arterisl transmission and grid mein by the profe~tion~i engineer hired by the Developer. This lrpreement is a covenant running with the I~d, Hill Country Estaties, a subdi~ision m Nueces County, Texas, and shali be recorded in #he Officiai Public Rec~s of t~haeoes Counly, Texas. 15. ~ISCLOSURE OF OWNERSHIP INTERESTS. Developer further agrees, in c~mp~enc~ with the City r~f Corpus Christi Ordir~anoe No. 17112, to complete, as part of this A~eer~t, the Disddsure of Qvmership interests form attached hereto as E~chibit 4, i3.
