P O. Box 9277, Corpus Christi, Texas, 78469-9277, (hereunafter "City"), and Oak Properties, a Texas partnership, 6000 South Staples Stre~#, Sui#e 408 Corpus Christ~, Texas 78413, fhereinafter "Developer"). WHEREAS, Developer in compliance with the City Platting Ordinance, filed a plat, appr~ved by the Planning Commission on October 4, 2006, to develop a tract of land of approxfmately 76.093 acres called Turnstone Unit 1(formally known as Moses' Meadow Unit 1} focated north of Slough Road, between Rodd Fie{d Road and Cayo De Oso, as shov~ in the attached Exhibit 1. WHEREAS, the City's Water Distribution Master Plan, 1997, requires the construction of a 12-inch PVC arterial transmission grid main in order for Turnstone Unit 1, to have water servtce; WHEREAS, Developer will soon be commencing construction on infrastructure and relat~ld site improvements in accordance with City approved construction plans and speci#ications: WH~~tEAS, under the Platting Ordinance, the Developer is responsible for construction of a 12-inch PVC arterial transmission and grid main; WH~REA~, under the Platting Ordinance, the Developer is eligible for reimbursement of the Developer's costs for the construction of a 12-inch PVC arterial transmission and grid t~ain; WH~REAS, it is essentisl that the 12-inch PVC arterial transmission and grid main be cons~-ucted along south side of Slough Road and west side of Oso Parkway in conr~:ction with Turnstone Unit 1 to serve this area. In the future, this main will be exter~ded t~e existing 12" water main on Oso Parkway to complete the water grid in the area. WH~REAS, it is in the best interest of the City and the Developer for the new 12-inch PVC arterial transmission and grid main be constructed at this time, along with Dev~oper's project, to serve the area specified in the Water Distribution Ma~ter Plan, 1997; NOW, THEREFORE, far the consideration set forth hereinafter, the City and Developer agree as foilows 2007-105 n4/24/07 1 of 6 1~'[2007~-1 I -~ ~)ak Properties ~~ ~-_ ~..,..,r.~., .. ~ . ~ _~ .. ~ ,~ ~...~ ~ ,~.- .,.., ._ _ _.. _ ~. _ ~e. _... _.__ .,,K._ ..~ ,,.,m _ ~, .,.. _ ._ .,~ _ ~ _....,.,, 1 REQUIRED CONSTRUCTION The Deve~oper shall construct the 12-inch PVC arterial transmission and grid main need~d for Turnstone Unit 1 in compliance with the City's Platting Ordinance and under the p~ans and specifications approved by the Development Services Engineer. 2 PLANS AND SPECIFICATIONS a The Developer shall contract with a professional engineer, acceptable to the City's Development Services Engineer, to prepare plans and specifications for the 12-inch PVC arterial transmission and grid main, as shown in Exhibit 2, with the following basic design: (1) Install 2855 linear feet of 12-inch PVC transmission/grid main. (2) Install 6(six) Fire Hydrant Assemblies (3) Install 5(five) 12-inch Gate Valves and Boxes (4) Install 2(two) 12-inch Caps with 2-inch Blow-off Valve and Risers {5) Install 2(two) 12-inch X 12 -inch D.I. Tee (6) Install 1(one) 12-inch 22.5 Degree Bend (7) Install 1(one) 12-inch X 6-inch D.I. Tee (8) Install 1(one) 6-inch Gate Valve and Box (9) Tie in to existing 12" PVC C-900 Waterline (10) Utility Easement (11) Easement Appraisal (12) Pollution Prevention Plan The transmission/grid main will be constructed along the south side of Slough Road and east side of Oso Parkway. The proposed 12-inch water grid main l~egins at the existing 12-inch water line previously instatled by others on Slough Road and e~ends east along the south side of Slough Road for ~proximately 1,519 linear feet to a proposed 12"X12"X12" tee on the west side of Oso Parkway From the proposed tee on the west side of Oso Parkway, the 12-inch waterline will extend south of Slough Road for approximately 250 linear feet and north of Slough Road for approximately 1,086 linear feet. b. The plans and specifications shall comply with City Standard Water Detail Sheets and Standard Specifications. 2 of 6 ,... _ _.. _..~ _ , ,,.~ .. .,~ , _ ~ _ . _ . __ ~. ~ ..~.. _~. ..d~. ~_ .._ _. .~. .~_ ....~, c: Before the Developer begins construction, the plans and specifications must be appraved by the City's Development Services Engineer. 3 SITE IMPROVEMENTS Prior ta construction of the "2-inch PVC arterial transmission and grid main, the Deve~oper shall acquire and dedicate to the City the required utility easement or right-of- way for the installation of the 12-inch PVC arterial transmission and grid main. 4 P~..ATTING FEES Developer shall pay to the City of Corpus Christi the required acre~ge fees as required by the Platting Ordinance. 5 D~VELOPER AWARD CONTRACT FOR IMPROVEMENTS. Developer shall award a c~r~ract and complete the 12-inch arterial transmission and grid main, in accordance with ifie approved plans and specifications, by April 30, 2008. 6 TIME IS OF THE ESSENCE ~ime is of the essence in the performance of this contract. 7 D~FAULT. The f+pllowing events shalJ constitute default: a. Developer fails to engage a professional engineer for the preparation of plans and specifications for this project by the 10th calendar day after the date of approval by City Council. b. ~eveloper's professional engineer fails to submit the construction plans and specifications to the City s Development Services Engineer by the 40tn calendar day after the date of approval by City Council. c. Developer fails to award a contract for the construction of the project, according to the approved plans and specifications, by the 70th calendar day after the date of approval by City Council. d. Developer's contractor does not reasonably pursue construction of the project according to the approved plans and specifications. e. Developer's contractor fails to complete construction of the project, according to the approved plans and specifications, on or before April 30, 2008. In the event of default, the City shall have all its common law remedies in addition to the follovu~ng: a. Cancellation of this reimbursement agreement without notice or cure. b. Refusal to record plat(s) or issue, any certificate of occupancy for any structure to be served by the project_ 3 of 6 8 Ti-iIRD-PARTY BENEFICIARY Dev~oper's contracts with the professional engineer for the preparation of the plans and Specif~ations for the construction of the project, contracts for testing services, and witf~ ~he contractor for the construction of the project shall provide that the City shall be a thircf party beneficiary of each contract. 9 ~RFORMANCE AND PAYMENT BONDS. Deve~per shall require its contractor for the construction of the project, before begir~ing the work, to execute to Developer and the City a performance bond if the contr~ct is in excess of $100,000 and a payment bond if the contract is in excess of $25,~0. The perFormance and payment bond shall comply with Texas Government Code, Chapter 2253 and shall be in the form and substance as attached hereto. 10 I~OTICE. Shou~Ci Developer fail to perform any obligation or duty of this agreement, the City shall give ~otice to Developer, at the address stated above, of the need to pertorm such oblig~tion or duty, and should Developer fail to perform the required obligation or duty within ~ 5 days of receipt of the notice, the City may perform the obligation or duty, char~ng th~ cost of such perFormance to Developer. Developer will pay to City the cost of su~h perFormance within 30 days from the date Developer receives notice of the cost of suCh performance. Notice required by the paragraph may be by United States Postal Servi~e. First Class Mail, Certified, Return Receipt Requested, postage prepaid; by a comr~tercial delivery service that provides proof of delivery, delivery prepaid; or by perso~al delivery. fn the alternative. in the event of Developer's failure to cure any such breac'~ after notice. the ~ity may terminate this agreement. The provision for notice and cure contained herein shall not ~pply to a default under paragraph 7 hereinabove. ? ~ WARRANTY Deve~per shall fully warrant the workmanship of and function of the 12-inch PVC arterial trartsmission and grid main and the construction thereof for a period of one year from ~nd ai~er the date of acceptance of the facilities by the City Engineer 12 F~EIMBURSEMENT a. TF-~ City will reimburse the Deve{oper 100% of the cost of the 12-inch PVC arterial transr~nissio~ and grid main, upon satisfactory completion and testing in compliance with appro~red plans and specifications, and final acceptance not to exceed $212,051.81. See Gost Estimate attached hereto as Exhibit 3. b. Th~ City will reimburse the Developer for expenses incurred for the preparation of plans-and specifications for the 12-inch PVC arterial transmission and grid main by the profe~ional engineer hired by the Developer. Developer shali indemnify and hold harmless the City, its age~jts, o~'f'tcers, and e~mployees from all suits, actions, or claims and from all liabil~ty fo~ any and a/i injuries or damages sustained by any person, including with~-ut limitation workers compensation, personal injury or death, arising from or in~ident fo this 12-inch PVC arterial transmission and grid main construction. e4 This agreement is a covenant running with the land. Turnstone Unit 1, a subdivision ~n Nueces County, Texas. and shall be recorded in the Official Public Records of Nueces Gounty, Texas 15. DISCLOSURE OF OWNERSHIP INTERESTS. Developer further agrees, in comp~iance with the City of Corpus Christi Ordinance No. 17112, to complete, as part of this ~kgreement the Disclosure of Ownership interests form attached hereto as Exhibit 4 ~5 E~FECTIVE This agreement becomes effective and is binding upon and shall inure to the benefit of the City and Developer, and their respective heirs, successors, and ~signs from and after the date of execution j,~ ,.- , ' ~ t,.
