GulfMat~c EnereY, Inc. shall not be bound by any change in any above described interest until the first day
of the calendar month next foliowing receipt of written notice thereof together with a certified copy of any written
instrument evidrMcing such change in said interest. If such change in said interest applies retroactively, GulfMark
Energy, Inc., will nevertheless, recognize such change prospectively only, effective as of the date above
specified; and a~ny adjustment required to be made in previous payments hereunder because of the retroactive
application of st~ch ch~nge will be made between Transferor and Transferee.
The iand~rsigned Transferee hereby guarantees and warrants that he, she or it is the legal owner of the
interest hereinabove transferred and agrees that you may continue to take and purchase such transferred interest
ir~ the oil. gas and/ar casinghead gas in accordance with and subject to any valid lease, division order or other
purchase agreement to which you are a party, autstanding and in force at the time this Transfer Order becomes
effective and the undersigned Transferee hereby accepts and ratifies such lease, division order or purchase
agreement.
