CONSIDERATION: Ten Dollars ($10.00} and other good and valuable cansideratior~, the receipt
and sufficiency of which are hereby acknowledged.
EASEMENT PROPERTY: A tract of land consisting of 0.342 acres of land, more ar less, more
particularly described in the attached Exhibit A, which may include field note descrip~ion and plat,
incorporated herein for a~l purposes.
PROJECT; Electric transmission line or lines, but not including any tower~, poles, guys, or other
gtound-based support structures.
GRANT4R, for the CONSIDERATION paid to GRANTOR, hereby grants, se11s, and
conveys to GRANTEE an easement and right-of-way in, upon, and across the EASEMENT
PROPERTY, tage#her with all and singuiar the r~ghts and appurtenances thereto in any wise
belonging, to have and hold it to GRANTEE and GRANTEE'S succ~ssors and assigns. The
Easement, right-of-way, rights, and privileges herein granted shall be used for the purposes of
operating and maintaining the PROJECT.

GRANTOR further agrees and understands that the EASEMENT PROPERTY is reserved to
compensate for the clearance required during wind induced conductor displacement and it shall not
be a viaiation of this Easement if the conductor encroaches within the EASEMENT PROPERTY
during wind events.
Except as permitted herein below, nothing shalt be placed or permitted ta remain in the
EASEMENT PROPERTY, nor shall GRANTOR alter the terrain ofthe EASEMENT PROPERTY
without the express written cansent of GRANTEE. GRANTOR shall be responsible for any costs
incurred in the prompt removal of said abjectionable struc#ures or other facilitaes, or for the return of
the EASEMENT PROPERTY to its original #opographical condition. GRANTEE shall have the
rigtrt to trim or remave any trees within thc EASEMENT PROPERTY that a~re deemed to endanger
or have the patential to interfere with the safe operations ar maintenance of the PROrECT, or which
may be tall enough to strike the line in falling. In no event shall GRANTOR place or construct any
habitable shucture with~n the EASEMENT PROPERTY.
GRANTEE recognizes that the use ofthe EASEMENT PROPERTY by GRANTOR for road
or drainage purposes is permitted so long as such use does not unreasonably interfere with the
GRANTEE's use af #he EASEMENT PROPERTY pursuant to its rights granted herein and
otherwise complies with th~ terms of this Easemen,t and Right of Way and all applicabl~ laws, rules
and regulations. At least thirty (30) days in advance of any perrnitted constn~c~ion over, under, across
or upon tl~e EASEMENT PROPERTY in connection with GRANTOR's raad ar drainage activities,
GRANTOR shall provide written notice to GRANTEE of GRANTQR's propased canshuction in
such reasonabl~ detail as GRANTEE may require, and GRANTOR shall abide by reasonabie
requests or ~instructions of GRANTEE regarding such const~ruction to safeguard GR.ANTEE's safe
and efficient use of th,e Easement and Right of Way, and to avoid interference therewith.
At GRANTOR's request, GRANTEE will consult with GRANTOR (in a manner consistent
with GRANTEE's safety and reliability requirements and applicable laws, rules and regulations,
including ERCOT guidelines and requirements) concerning any permitted construction, operation
and maintenance ac#ivities undertaken by GR.ANT~R or GRA.NTOR's contractars within, or in the
vicinity of, the EASEMENT PROPERTY; and GRANTOR will abide by any reasonahle requests or
instructions of GRA,NTEE regarding such construction to safeguard GRANTEE's safe and efficient
use of its facilit~es within the EASEMENT PROPERTY and tn avoid interfe~rence the~rewith.
GRANTOR wi~l notify GRANTEE af its construction, operation and rnaintenance activities in the
vicinity of GR.A,NTEE' S o~erhead transmission lines as far in advar~ce as reasonably possible; and
GRANTOR will at all times conduct such activities in accordance with all applicable laws, ruies and
regulations, including wi~hout limitation Chapter 752 of the Texas Health and Safety Code, the
National Electrical Safety Code and National Electric Code.
GRANTOR will notify GRANTEE of its construc~ion, operation and maintenance aetivities
sn the vicinity of GRANTEE' S overhead transmission lines as far in advance as reasonably possible;
and GRANTOR will at a11 times conduct such activities in aecordance with all applicable laws, rules
and regulations, including without limitation Chapter 752 of the Texas Health and Safety Code, the

National Electric Safety Code and National Electrical Code.
GRANTEE's rights under this Easement and Right-of-Way shall terminate {ar~d such rights
shall revert to GRANTQR) in the event that GRANTEE ceases to use the EASEMEIVT PROPERTY
for the transmission of electricity for a continuous period of five (5) years; prov~ided, however, any
non-use of the EASEMENT PROPERTY by GRANTEE for the transmission of electricity that
results from an act of God, acts of waz, riot, terrorisrn or civil commotion, an ac~ of State, strikes,
fire, flood, storrn or the occur~rence of any o~her event beyond the control of GRANTEE shall not be
considered a period of non-use hereut~der.
GR.ANTEE shall have the rigl~t of ingress and egress at all times upon and across the
EASEMENT PROPERTY for the above stated purposes. GRANTEE shall have the right to install
and mai~ntain appropriate gates along arid in any fence, as necessary or appropriate for the exercise of
GRANTEE'S right of ingress and egress on the EASEMENT pROPERTY or adjacent property of
GRANTOR.
GRANTEE shall not have the right to place poles, towers, guys or other ground based
support structures on the EASEMENT FROPERTY. GRANTEE shall nave the right ~o remove from
the EASEMENT PROPERTY all trees, shrubs, and parts thereof, or any structure, building, or
obstructian within the EASEMENT PROPERTY, which may endanger or may intez~ere with the
safe, ei~icient, or canvenient operation of the PROJECT or the rights of ingress and egress granted
herein. GRANTEE shall not be liable for damages caused by keepimg the EASEMENT PROPERTY
clear of tre,es, unde~rgrowth, brush, structures, and obstructzons. GRA.NTOR shall not place or
operate any ter~porary o:r pertnanent equipment or object within the EASEMENT PROPERTY
without complying with the Natianal Electrical Safety Code and any other applicable laws or
regulations.
GRANTOR expressly reserves all oil, gas, and other minerals owned by GRANTOR, in, on,
and under the EASEMENT PROPERTY, provided that GRANTOR shall not be permitted ta drill ar
excavate for minerals on the surface of the EASEMENT PR~PERTY, but GRA.NTOR may extxact
oil, gas, or other minerals from and under #he EASEMENT PROPERTY by direc~iona~ d~lling or
other means which do not interfere with or disturb GRANTEE'S use of the EASEMENT
PROPERTY.
The rights granted to GRANTEE in this Easement and Right-of-Way are assignable in whole
or in part. This instrument, and the texms and conditions contained herein, shall inure to the benefit
of and be binding upon GRANTEE and GRANTOR, and their respective heirs, personal
representatives, successors, and assigns.
GRANTEE has explained the PROJECT and by my sigr~ature below, consent for the
PROJECT is hereby granted.
