This AGREEM~NT is between tF~e City of Corpus Christi, Texas, a Texas home-rule municipal corparation,
CITY", acting through its cluly aufhorized City Manager or design~e (°City Engineer"), and Rock Enuineering &
Testin Labarato Inc., a Texas corporation or partnership, "LAB", acting through iks duiy authorized
representative who is Roetta Rock (Name) President (Title}, whic~ agree as follows:
1. DECLARATIONS "CITY" desires to engage "L.AB" to provide se[vices in connection with City's project,
described as follows: Doddridqe StreeE Improvements from Ocean Dri~s to South Sfaples Street "PROJECT".
2. SCOPE OF WORK "LAB" sha!! pra~ide services to the PROJECT in accardance with the
accompanying Scope af Services and Fee Schedule attached as "Exhibit A" and the Terms and Conditions to
AGREEMENT attached as "Exhibit B".
3. FEE The "CITY" agrees to pay the "LAB" for services pro~ided in accordance with Exhibit "A", Scope
of Services and Fee Schecfule under this AGREEMENT, a total fee not to exceed 59 959.Q4 {in figures), (Fiftv

Rock Engineering and Testing Laboratory, Inc. {RETL) is pleased to be Selected to perform the required
Construction Matexials Testing for the aUove-raentioned project. The Estimatec~ Construction Materials
Testing Budget for this projec# is $59,959.00
Tha estimated construction materiais testing budget has been based on a review of the plans and specif3cations
provided. A breakdown of field an~ laboratory testing required is included as an attachment.
Please make note Ehat the actual fees invoiced for this praject wi11 be based on the actual testing
performed. The total fee assessed w~~l be dependent on the contractor's co~strucfion techniques, number
of trips ~nade to the jobsite, e~apsed time from technician arriva! to commencement of testing activities,
a~d any time the technician is reyuired to be on-site but not performing testing activities. I~ addition, in-
place densities will be in~oiced for a minimum of 3 in-place densities per trip.
Please be advised t}~at weekend Technician time will be invoiced portal to portal at an additional rate of
~22.00 per hour.

TERMS AND CONDITIONS TO AGRE~M~NT
ARTICLE 1. SERVICES: "LAB" will:
1.1 Provide anly those services requested by "CITY ~NGINEER" that, in the opinion
of "LAB", lie within the technical or professianal areas of expertise of "LAB" and
which "LAB" is aciequately staffed and equipped to perform.
1.2 Pertorm technical services under the general direction of a ficensed engineer and
in substantial accardance with the basic requirements of the appropriate
standards of the American Saciety for Testing and Materials, whe~'e applicable,
or other skandards designated in writing by the "CfTY ENGINEER".
1.3 Promptly submit formal reports of tests, inspections and services perFarmed
indicating, where applicable, compliance with the PROJECT specifications or
other contract documents. Such reports mus# be complete and fact~al, citing the
tests perFormed, methods employed, ~alues obkained, and parts of the structure
of THE PRO,lECT area subjected ta any testing.
1.4 Uti[ize testing equipment which has been calibrated according to applicable
standards and, upon req~est, submit to the "CITY E[VGINEER", or his authorized
r~presentative, documentation of such calibrakion.
Secure representati~e samples af those materials that the City's Contractor
proposes to use which require testing, together with relevant data concerning
such materials including the poink of origin and supplier.
i.5 Consider reports to be confidential, and distribute reports only to fhose persvns,
organizations or agencies specifically designated in writing by the "CITY
ENGINEER".
1.6 Retain records relating to services perfarmed for "CITY" for a period of two years
following su~mission of any reports, during which periocf khe records will be made
available to the "CITY" at all reasonable times.
1.7 Pay salaries, wages, expenses, sacial security taxes, f~deral and state
unemployment taxes, and any other similar payroll taxes relating to t~e services.
ARTICL~ 2. CITY RESPONSIBILITI~S: City Engineer or authorized representative will:
2.1 pro~ide "LAB" with all plans, specificafions, addenda, change orders, ap}~roved
shop drawir~gs and other informatian for the proper perFormance of services by
"LAB".
2.2 Issue authorization in writing giving "LAB" free access to THE PROJECT site,
and to all shops or yards where materials are prepared or stor~d.
2.3 Designate in writing thase persons ar firms which will ack as the "CITY's"
representative with respect to "LAB'S" ser~ices to be performed under this
AGREEMENT and which must be promptly nokified by "LAB" when it appears
that materials tested ar inspected are in non-campliance. Only the "C1TY
ENGINEER" or his designated representative have authority fo transmit
instructions, recei~e information and data, inkerpret and define the CITY's policies
and decisions with respect to ~HE PROJECT. "LAB" acknowledges ~hat certain
"CITY" representatives may ha~e different types of authority concerning THE
PROJECT.

2.4 Ad~ise "LAB" sufficiently in advance of any operatians so as ko allow for
assign~nent of persannel by "LAB" for completian of the required services. Such
ad~ance natice will be in accordance with that established by mutual agreement
of t~e parties.
2.5 Direct THE PR0.3ECT contractor, either by the Construction Conkract or direct
written order ta:
{a) Stop wark at the appropriate times for "LAB" to perform contracted
services;
(b) Furnish such labor and all facilities needed by "LAB" to obtain and
handle samples at THE PROJECT and to facilitake the specified
inspection and tests;
(c) Provide and mainfain for use of "LAB" adequate space at THE
PROJECT for safe starage and proper curing of test specimens which
must remain on THE PROJECT site prior to, during, and up to fi0 days
aft~r testing.
AR7ICLE 3. G~N~RAI. CON171TIONS
3.1 "LAB", by the performance of services covered hereunder, does not in any way
assurne, abridge or abroga#e any of those duties, responsibilities or authorities
with regard to TWE PROJECT which, by custom or contract, are vested in 7H~
PROJ~CT architects, design engineers, or any other design agencies or
a~thorities.
3.2 "LAB" is not a~thorized to supervise, alter, relax, enlarge or release any
requirement of THE PR4J~C7 specifications or ather contract documents nor to
approve or accept any portion of the work. "LAB" does not have the right of
rejection or the right to stop the work. "GITY ENGINEER" will direct THE
PROJ~CT contractor ta stop wark at appropriate times for "LAB" to conduct the
sampfing, testing, or inspection of operations covered by khe AGREEMENT.
ARTICLE 4. FIELD MONITORING AND TESTING
4.1 "CITY" and "LAB" agree that "LAB" will be on-site to perform inspectians for
contracted services. The "CITY" and "LAB" also agree thak "LAB" will not assume
respansibility for PROJECT Cantractor's rneans, methods, techniques,
sequences or procecEures af construction, and it is understood that the final
ser~ices provided by "LAB" will not relieve the PROJECT Contractor of his
responsibilities for performing the work in accordance with THE PROJECT plans
and specifications. Far the purposes of this AGREEMENT, the word "inspection"
is used to mean periocfic observation of the work and the conducting of tesfs by
"LAB" as specified in the AGREEMENT. Continuous monitoring by "LAB" or its
subcantracfors does not mean that "LAB" is approving pEacemenk of materials.
Inspection is not and should not be construed ko be a warranty by "LAB" to the
"CITY" or any otf~er party.

4.2 Samples collected or tested by "LAB" remain the property of the "CITY" while in
the cuskody of the "LAB". "LAB" will retain the samples for a period of 60 days
following the date of submission of any report related to the sample. Following
the retention period, "LAB" will dispose of non-hazardous samples, and return
hazardous, acutely toxic, or radioacti~e samples and samples containers and
residues to "CITY". "CITY" agrees to accept such samples and samples
containers.
ARTICLE 5. STANDARD OF CARE AND WARRANTY
Services performed by "LAB" will be conducted in a manner consistent with that
le~el of care and skill ordinarily exercised by reputable members of the
profession currently practicing under simiiar conditions in the same locafity. No
other warranty either expressed or implied is made ar intended by the
AGREEMENT or any reports. "LAB" will not be respansible for the interpretation
or use by others of data developed by "LAB".
ARTICLE 6. SAFETY
"CITY" and "LAB" agree that, in accordance wit~ the generally accepted
construction practice, the PROJECT'S general contractar will be solely and
completely responsible for working conditions an THE PROJECT, including
safety of ali p~rsons and property during the performance of the work, and for
compliance with all municipal, skate, and federal laws, rules and regulations,
including OSHA. The duty of "LAB" in providing services is not, therefore, to
include any review of, or responsibility for, the adequacy of the PROJEC7'S
general contractor's safety measures in, on, or near THE PROJECT site.
ARTICLE 7. INVOICES AND PAYMENT
"LAB" will submit progress invoices to "CITY E{VGINEER" monthly and final
invoice u}~on campletion of services. Each invoice is due and payable by "CITY"
within 30 days of receipf and approval to pay by khe City Engineer.
ARTICLE 8. EXT~NT OF AGREEME[V7
8.1 This AGREEMENT, including ~xhibit "A" and these terms and canditions,
re~resents the entire AGREEMENT between "CITY" and "LAB" and supersedes
all prior negotiakion, represen#ations or agreements, written or oral, This
AGREEMENT may be amended only by a written instrument signed by duly
authorized representati~e af "CfTY" and "LAB". If any conflict occurs between
these terms and conditions and this AGREEMEN7, these terms and conditions
are controlling.
8.2 In the e~ent thak any one or more of the provisions contained in this
AGREEMENT are for any reason held invalid, illegal or unenforceable in any
respeck, the remaining terms will be in fu11 effect and this AGREEMENT will be
construed as if the invalid or unenforceable matfers were ne~er included in this
AGREEM~NT. No waiver of any default will be a waiver of any fukure default.
8.3 Neither party will assi~n this AGREEMENT without the express written approval
of the other, but "LAB" may subcontract iaboratory procedures as "LAB" deems
necessary ko meet the obligations of this AGREEMENT.
