HomeMy WebLinkAboutC2007-320 - 5/1/2007 - NAAGREEMENT Tfiis Agreemen~ entered into on ihe da#e of its execution as set forth below by and between the City of Corpus Christi, Texas {the "City"} and the Transportation Task Farce of the Corpus Christi Chamber of Commerce (the "Task Force"); WITNESSETH: W~-~REAS, ane of the major inco~ne producing activities which contribute to tlze Corpus Christi Bay Area economy and the City saies t~ base is the presence of the Port of Corpus Christi, a major generator of economic activity for the region; and WI~REAS, the existence of better highway and raitroad infrastructure add to the compe#itiveness of the Pa~rt of Corpus Christi and the region's rr~anufacturing and distribution companies; WHEREAS, the Texas Transportation Commission is seeking to improve transportatian linkage between Corpus Christi and U.S./Mexico border crossings; NOW THEREFORE, for and in consideration of the mutual covenants and conditions herein contained, the City and the Task Force agree as follows: 1. Services to he Provided. A. The Task Force will obtain professianal representation to canduct a strategic planning and briefmg program on the above men#ioned issues. B. The Task Farce will supervise such professional representation and insure compliance with all necessary registratians and reporting requirernents to a.pprapriate governmental agencies. C. The Task Force wi~l prepare briefing rnate~als and canduct briefings in Austin, Texas, Washington, D.C. and elsewhere as ta the value of these proposed infras#ructure improvemer~ts. D. Ttte Task Force will report to the City on the activities of fhe Task Force. E. The CiTy will have representation in t1~e decision making process of the Task Force. 2. Compeja.sation. The CiYy agrees to pay ~e Task Force the sum of $8,000.00 For the purpose of providing the services o~tlined above in connection wit~ the strategic planni.ng and briefmg program. 3. Term. The term of this Agreement shall be for faur (4) months, beguu~ing March 1, 2007 and expiring June 30, 2007. 2007-320 05/41/07 _ 1- Transp. Task Force -CC Chamber 4. Costs and Expenses. The Task Force shall be responsibie for all costs and expenses associated with the strategic planning ar~d briefing program. TY~e City shall be under no obligatian to provide any additional funding or incur any other costs or expenses in connection with the program atker thac~ the fixed sum providec~ in this Agreement. T'he Task Force shall have no authority to bi~d the City to any contract, ab~igation or any other liability absEnt the City's expressed, written consent. The Task Force agrees that r~o:ne of the funds provided by the City shall be used for the purchase of alcoholic beverages. 5. Obligatian Limited. This Agreement shali be limited solely ta the strategic planning and br~efing program as described above. No obligation, whether expressed or implied, shall exist for funding any future programs or efforts by the Task Force in subsequent years. 6. Independent Contractor Relationship. At a11 tirnes during the term of this Agreement, the Task Force shall be an independent cantractor to the City and the Task Force shall not in a~y event be deemed an employee, partner, joint venturer ar other representative of the City. The Task Force shall remain solely responsible for the supervision an~ performance of any employees, contractors or volunteers in completing its obligation under this Agreement. 7. Governing Laws. This Agreernent shall be governed by and construed in accordai~ce with the ~aws of the State o~ Texas, and it shali be performable in Nueces County, Texas. 8. Notices. A1i notices, req~~sts or other communications related to this Agreement shall be znade in writing and may be given by: (a) depositing same in the United States Mail, postage prepaid, certified, return receipt requested, addressed as set forth in this paragraph; or {b) delivering the sarne to the party to be natified. Notice given in accordance with (a) hereof shall be effective upon deposit in the Uz~ted Sta#es mail. The notic~ addresses of the parties shall, un#il changed as provided herein, be as follows: City City of Corpus Christi P.O. Lmvful Service. The parties rnutually agree that the services prov~ded under this Agreemen# ar~ ~awful~y author~zed setvices which the City is purchasing from the Task Force. -2- 10. Entire Agreement. This writing embodies the entire agreement and understa.nding between the parties hereto, and there are no other agreements or unders~anding, whether oral or written, with reference to the subject matter of this Agreement tl~at are not merged herein and superseded hereby.
