This first amendment ~"First Amendment"} is made by and between the City of Carpus Christi
~"Ci#y"} and The Morris L. Lichtenstein, Jr., Medical Research Foundation, formerly l'cnown as
The Morris L. Lichtenstein, fir. Foundation ~"Foundation"}.
HEREA, the City and the Foundation executed an agreement {"Agreement"}that was
approved by the City Council on February ~ 4, ~g~, Res. D~654~}, for the purpose of creating,
funding, and operating alaw-cost spaylneuterclinic~arth~ public; and
wHE~EA, the parties mutually desire, ~y execution of this First Amendment, to continue the
relationship farmed under the Agreement andto revise portions of the funding provision of the
Agreement to account for increased personnel oasts.
section ~. The Morris L. Lichtenstein, Jr. Foundation, as the original party to the Agreement,
affirms that the Foundation has legally changed its name to The Morris L. Lichtenstein, Jr.,
Medical Research Foundation and, as such, the renamed party ratifies the Agreement in its
entirety. Ali references ire the Agreementto theformer Warne are superseded bythe new name.
ectEan ~. subsections ~A} ono title} and ~B} ono title} of ectian . ~ of the Agreement, enti#led
"Funding," are deleted in their entirety and replaced with the following language:
"~A} The Foundation shall provide the City with Qne Hundred Twelve Thousand Dollars
~112,gaa} to purchase equipment, furniture, fixtures, and supplies necessary to furnish
a suite of offices for use with the Clinic Project ~"api#ai Funds"~. The City acknow-
ledges receipt of the Capital Funds,"
"~~} The Foundation shall provide the City with Cne Hundred Thirty-Two Thousand
Dollars ~~ 3~,g~g} to hire and pay necessary personnel in connection with the opera-
tion of the Clinic Project far ~~}year after the opening date ~"Persor~nei Funds"}. The
City aclcnawledges receipt of 24,gg~ of the Personnel Funds."
sec#iar~ . By execution of this First Arnendrnent, the parties agree to recognise the Founda-
tion's name change and to revise portions cf the funding provision of the Agreement. Ail terms
and conditions of the Agreement not revised by this FirstAmendment remain the same and in
full force and effect.
