Mythics shall perform all of its obligations under the Agreement in accordance with the hrnplementatian Plan and Statement of work. I3.4 TERMS l~F PAYMENT Mythics shall submit invoices to the City Director of Municipal Infarmatian~ystems for prafessianal services in sufficient detail to document the successful campletian of services. City 3 agrees to pay these undisputed portiosn ofinvoices within thirty ~~~}days efreceipt. In the event the City disputes a portion of an invoice, the City agrees to pay the undisputed portion of the invoice within thirty ~3~} days afreceipt and to provide Niythics a detailed staterr~ent ofthe City's position an the disputed port~en of the ~nvo~ce within thirty ~~~} days ufrece1pt. City sha11 have ne responsibility for payments in excess of the estirriates listed on Exhibits A and , without prior written authorizatieri from the City Director of 1Viunicipal Information systems. ~ 4.0 INFRIN~M~NT In the event of any proceeding suit, claim or action} against City arising from allegations that the SYSTEM, or a portion thereof furnished by ~iythics infringes €J. ~. patent, copyright, trade secret, or other proprietary right of any third-party, lVlythicswill, ifsuch suit does not result from modif cations made by City, defend City, at Mythics's expense, provided City prainptly notifies ythics in writing of the allegation. Mythics shall make such defense by counsel of its own chvoin and City shall cooperate with said counsel. This section shall survive termination or expiration of this Agreement. 15,0 TEI~NIINATI~N City may terminate this Agreement for any reason by providing the other party with thirty X30} days written notice. In the event of termination under this prevision, City agrees to pay ll~ythics for work performed up to the effective date eftermination. Each party shall take steps to bring the work to a close and to reduce its expenditures to a minimum. Each party shall also, upon request and in a timely manner, return all documents supplied to it by the other party and shall hand over to other party all decun~entation prepared by it for purposes of the work. Termination or expiration of this Agreement for any reason shall not release either party from any liabilities er obligations set Earth in this Agreement that ~i} the parties have expressly agreed sha11 survive any such termination or expiration, iii} remain to be performed, or viii} by their nature would be intended to be applicable following any such termination or expiration, 1 .0 INU~AANCE Il~ythics sha11 procure and maintain, during the performance of this Agreement, Campreliensive enerai Liability insurance and worker's Compensation and Disability coverage for Nlythics employees where services are to be performed, and such ether insurance coverage insuring against lass or damages to City's property andlor personnel caused by Mythic activities, all in compliance with the attached requirerrients. 17.0 ANES Either party may request a change to the scope of work rewired under this Agreement on any task including but not limited to, alterations, additions, deviations, and omissions from or to the scope of work. Nlythics shall provide City with a written assessment within a reasonable time identifying the price and schedule Impact of~mplementing tho change. Neither party shall be w 4 obligated to commence worl~ on the requested change until they have agreed in writing to an equitable adjustment. 15.0 'V4~AIVER The waiver by either party of any of its rights or remedies in enforcing any action for breach under this Agreement in a particular instance shah ~aat be considered as a waiver of the same ar different rights, remedies, ar actions far breach in subsequent instances. 1~.0 EVE~ABILITY If any provision of this Agreement is void, voidable, unenforceable, or illegal in its terms, but would rat be sa if it were rewritten to eliminate such terms that were found to be voidable, unenforceable, or illegal and such rewrite would not effect the intent of the pravisxon, then the provision must be rewritten to be enforceable and legal, 20.0 AINNIENT Neither party shall assign ar transfer this Agreement nor any rights or abligatians thereunder w~thaut the express written consent of the other party, such written consent shall not be unreasonably withheld. 21.0 A~~ROPRIATI~N ~~ FUNDS All patties recognize that the continuation of any contract after the close of any fiscal gear of pity, which fiscal year ends an July 1 of each year, shall be subject to appropriations and budget approval providing for covering such contract item a an expenditure in said budget. pity does not represent that the budget item will be actually adopted, said determination being within the sole discrettan of the pity council at the t~rne of adoption of such budget. 22.0. UB~NTRAT~R N~ythics may use subcontractors in connection with the warp performed under this antract. when using subcontractors, however, Nlythics must obtain prior written approval from the pity, In using subcontractors, ll~ythics agrees to be responsible for all their acts and omissions to the same extent as if the subcvntractar and its employees were employees of Niythics. All requirements set forth a part of this antract shall be applicable to all subcontractors and their err~playees to the same extent as if the ythics and its employees had performed the services. 23.0 VENUE AND APPLICABLE IAA' The patties agree that for all purposes, this Agreement shall be governed and interpreted in accordance v~ith the laws of the United states and the Mate of Texas.
