Box 9277, Corpus Christi, Nueces County, Texas 78469-9277 {City) acting through its duly authorized City Manager or Designee (Director of Engineering Services}, hereinafter called "City' and Carollo Engineers, P.C., an Arizona corporation, 3033 N. 44th Street, Suite 101, Phoenix, Arizona 85018, hereinafter called "Engineer", agree to the following, an amendment to the Contract for Engineering Services for New Broadway Wastewater Treatment Plant, as authorized. CONTRACT FOR PROFESSIONAL SERVICES Original Contract December 1, 2006 Administrative Approval $24,915 Amendment No. 1 City Council Approval $7,306,047 Total Contract $7,330,962 1. SCOPE OF PROJECT -NEW BROADWAY WASTEWATER TREATMENT PLANT (PROJECT NO. 7293) This Project provides for the replacement of the existing Broadway Wastewater Treatment Plant with a New Broadway Wastewater Treatment Plant (NBWWTP}. The NBWWTP will be located on the northern section of the City of Corpus Christi's existing Broadway Wastewater Plant's site. Capacity of the NBWWTP will be 8 million gallons per day {mgd}, with a peak flow of 40 mgd. The NBWWTP will be designed as a secondary treatment facility with effluent meeting the requirements defined in the City's Texas Pollution Discharge Elimination System (TPDES} permit and the Texas Commission on Environmental Quality's {TCEQ} latest requirements. Treated secondary effluent will be discharged through the existing plant's discharge point. The new plant's discharge point will remain unchanged from the existing plant's discharge point, which discharges into the area's drainage channel along the Corpus Christi Ship Channel. The NBWWTP will be designed and constructed to meet site requirements, existing geotechnical conditions, and overall coordination with the closure of the existing Broadway Wastewater Treatment Plant. Modifications to the existing Resaca Pump Station are not part of this Agreement and will be designed and constructed by others. Specific elements of the NBWWTP project are identified in Exhibit A-1. SCOPE OF SERVICES The Engineer hereby agrees to perform design services necessary to review and prepare plans, specifications, and bid and contract documents. In addition, Engineer will provide monthly status updates (project progress or delays, Gantt charts presented with monthly invoices) and provide contrac# administration services, as described in Exhibit "A" and "A-1"to this Amendment, to complete the Project. Exhibit "A-1"provides supplemental description of services in Exhibit "A" and is not intended to supersede services described in Exhibit "A". Work will not begin on Additional Services until requested by the Engineer (provide breakdown of costs, schedules), and written authorization is provided by the Director of Engineering Services. Engineer's services will be "Services for Construction Projects"- ("Basic Services for Construction Projects") which are shown and are in accordance with "Professional Engineering Services- A Guide to the Selection and Negotiation Process, 1993" a joint publication of the Consulting Engineer's Council of Texas and Texas Society of Professional Engineers. For purposes of this contract, certain services listed in this publication as Additional Services will be considered as Basic Services. The summary of these tasks and services is as follows provided by Exhibit "A" and Exhibit "A-1 ": 3. ORDER OF SERVICES The Engineer agrees to begin work on those authorized Basic Services for this contract upon receipt of the Notice to Proceed from the Director of Engineering Services. Work will not begin on any phase or any Additional Services until requested in writing by the Engineer and written authorization is provided by the Director of Engineering Services. The anticipated schedule of the preliminary phase, design phase, bid phase, and construction phase is shown on Exhibit "A". This schedule is not to be inclusive of al! additional time that may be required for review by the City staff and may be amended by or with the concurrence of the Director of Engineering Services. The Director of Engineering Services may direct the Engineer to undertake additional services ortasks provided that no increase in fee is required. Services ortasks requiring an increase of fee will be mutually agreed and evidenced in writing as an amendment to this contract. Engineer shall notify the City of Corpus Christi within three (3} days of notice if tasks requested requires an additional fee. 4. MANDATORY REQUIREMENTS Engineer agrees to the mandatory contract and insurance requirements as set forth in Exhibit "B". The Engineer's Insurance Certificates specific to this project are included with Exhibit B. FEE The City will pay the Engineer a fee, as described in Exhibit "A", for providing services authorized. Monthly invoices will be submitted in accordance with Exhibit "D". fi. TERMINATION OF CONTRACT The City may, at any time, with or without cause, terminate this contract upon seven (7) days written notice #o the Engineer at the address of record. In this event, the Engineer will be compensated for its services on all stages authorized based upon Engineer's and City's estimate of the proportion of the total services actually completed at the time of termination. 7. LOCAL PARTICIPATION The City Council's stated policy is that City expenditures on contracts for professional services be of maximum benefit to the local economy. The Engineer agrees that at least 40 percent of the work described herein will be performed by a laborforce residing within the Corpus Christi Metropolitan Statistical Area (MSA). AdditionaNy, no more than 60 percent of the work described herein will be performed by a labor force residing outside the Corpus Christi Metropolitan Statistical Area (MSA.) The agreed local participation requirements are in accordance with those published in the City's RFP ZOOfi-1 associated with the NBWWTP project. $. ASSIGNABILITY The Engineer will not assign, transfer or delegate any of its obligations or duties in #his contract to any other person without the prior written consent of the City, except for rou#ine duties delegated to personnel of the Engineer staff. tf the Engineer is a partnership, then in the event of the termination of the partnership, this contract will inure to the individual benefit of such partner or partners as the City may designate. No part of the Engineer fee may be assigned in advance of receipt by the Engineer without written consent of the City. The City will not pay the fees of expert or technical assistance and consultants unless such employment, including the rate of compensation, has been approved in writing by the City. 9. OWNERSHIP OF DOCUMENTS All documents including contract documents (plans and specifications), record drawings, Contractor's field data, and submittal data will be the sole property of the City, and may not be used again by the Engineer without the express written consent of the Director of Engineering Services. However, the Engineer may use standard details that are not specific to this project. The City agrees that any modification of the plans will be evidenced on the plans, and be signed and sealed by a professional engineer prior to re-use of modified plans. SCOPE OF SERVICES A. Basic Services. Basic Services will include the following as supplemented by Exhibit "A-1". 1. Preliminary Phase. The Engineer will: It is the intent of the Preliminary Phase to provide a study and report of project scope with economic and technical evaluation of altematives, and upon approval, proceed to prepare a Preliminary Engineering Report {PER) which includes Preliminary designs (these designs represent 30 percent complete), drawings, and written description of the project The scope of the Preliminary Phase shall include these efforts: a. Provide scope of soil investigations, borings, and laboratory testing. (The City Engineering Services Department will provide necessary soil investigation and testing under one or more separate contracts}. b. Confer with the City staff regarding the design parameters of the Projec#. The Engineer will participate informal meetings with City staff, as described in Exhibit A-1, provide agenda and purpose for each formal meeting; document and distribute meeting minutes and meeting report within seven (7} working days of the meeting. The Engineer will participate in discussions with the operating department and other agencies (such as the Texas Department of Transportation (TxDOT) and Texas Commission of Environmental Quality (TCEQ}) as required to satisfactorily complete the Project. c. Submit one (1 }copy in an approved electronic format, and one (1) paper copy of the PER, with executive summary, opinion of probable construction costs with life cycle analysis that is based upon a 20-year analysis period, defined technical evaluations of identified feasible altematives, and review with City staff to produce an acceptable format which contains common municipal elements. PER will include the following (with CONSTRUCTABILITY being a major element in all the following items}: New Broadway Wastewater Treatment Plant City of Corpus Christi Project No. 7293 Amendment No. 1 Exhibit "A" January 25, 2fl08 Page 1 of 15 1 } Review of the Project with the respective Operating Departments}and discussions including clarification and definition of intent and execution of the Project; The Engineer will meet with City staff to collect data, discuss materials and methods of construction, and identify design and construction requirements. 2} Review and investigation of available records, archives, and pertinent data retated to the Project including taking photographs of the Project site, list of potential problems and possible conflicts, intent of design, and improvements required, and conformance to relevant Master Plan{s). 3} Identify results of site field investigation including site findings, existing conditions, potential right of wayleasements, and probable Project design solutions; (which are common to municipalities}. 4) Provide a presentation of pertinent factors, sketches, designs, cross-sections, and parameters which will or may impact the design, including engineering design basis, preliminary layout sketches, identification of needed additional services, preliminary details of construction of critical elements, identification of needed permits, identification of specifications to be used, identification of quality and quantity of materials of construction, and other factors required for a professional design {CONSTRUCTABILITY}. 5) Advise of environmental site evaluations and archeology reports that are needed for the Project {Environmental issues and archeological services to be an Additional Service). 6) Identify and analyze requirements of governmental authorities having jurisdiction to approve design of the Project and permitting, environmental, historical, construction, and geotechnical issues; and meet with pertinent authorities. 7} Confer, discuss, and meet with City operating department(s) and Engineering Services staff to produce a cohesive, well- defined proposed scope of design, probable cost estimates(s} and design alternatives. 8) Provide a letter stating that the Engineer and Sub-consultant Engineers have checked and reviewed the PER prior to submission. 9} Engineer will respond to review comments developed jointly by the City staff and the City's Peer Review Team. City staff will provide one set only of the following information (as applicable): a. Record drawings, record information of existing facilities, and utilities (as available from City Engineering files}. b. Aerial photography for the Pro)ect area. d. Through separate contract, related GIS mapping for existing facilities. e. A copy of existing studies and plans. (as available from City Engineering files). f. Field location of existing city utilities. (Engineer to coordinate with City Operating Department). g. Applicable Master Plans. 2. Design Phase. Upon approval of the preliminary phase, designated by receiving authorization to proceed, the Engineer will: a. Study, verify, and implement PER recommendations including constructian sequencing, connections to the existing facilities, and restoration of property and incorporate these plans into the construc#ion plans. Development of the construction sequencing will be coordinated with the City Operating Department{s) and Engineering Services staff. b. Prepare one contract with its complement of Construction Bid and Contract Documents in City format (using City Standards as applicable). The contract shall include a complete set of Contract Agreement forms, general conditions, supplemental conditions, notice to bidders, instruction to bidders, insurance, bond requirements, and preparation of other contract- and bid-related items; and specifications and drawings to fix and describe, for one bid, the size and character of the entire Project; description of materials to be utilized, and such other essentials as may be necessary for construction and cost analysis. The Construction Bid and Contrac# Documents included in this work shall be: • New Wastewater Treatment Plant (8-mgd plant at average daily flow}. This contract will construct the piling and geotechnical improvements to the site and construct the new wastewater treatment plant and al! final site improvements. c. Provide assistance to identify testing, handling and disposal of any hazardous materials andlor contaminated sons that may be discovered during construction (to be included under additional services). d. 1=or the contract, prepare final quantities and estimates of probable casts with the recommended construction schedule. The construction schedule will provide a phased approach to better track progress and payments. For the contract's review of either the Interim (fi0 percent) submittal or the Pre-Final (100 percent) submittal, furnish one (1 }copy of the status plans, specifications, and bid documents to the City staff for review and approval purposes with estimates of probable construction costs. Identify distribution list for plans and bid documents to all affected utilities including City and all other affected entities. Required with each contract's Interim plan is a "Plan Executive Summary' which will identify and summarize the project by distinguishing key elements such as: • Pipe Size or Buiiding Size • Pipe Material, etc. • Why one material is selected over another • Pluses of selections • ROW requirements and why • Permit requirements and why • Easement requirements and why • Embedment type and why • Constructability, etc. • Specific requirements of the City • Standard specifications • Non-standard specifications • Any unique requirements • Cost, alternatives, etc. • Owner permit requirements and status f. For the contract's review of either the Interim (60 percent) submittal or the Pre-Final (100 percent) submittal, assimilate all review comments, modifications, additionsldeletions for each Contract, and proceed to next phase, upon Notice to Proceed. g. For the contract's review of either the Interim (fi0 percent} submittal or the Pre-Final {100 percent) submittal, compile comments and incorporate any requirements into the plans and specifcations, and advise City of responding and non-responding participants, h. For the contract, provide Quality AssurancelQuality Control (QAIQC) measures to ensure that submittal of the pre-final, and final complete plans and complete bid documents with specifications accurately reflect the percent completion designated and do not necessitate an excessive amount of revision and correction by City staff. The Engineer shall submit a letter deciaring that ail engineering disciplines of all phases of the submittals have been checked, reviewed, and are complete prior to submission, and include signature of all disciplines, including but not limited to structural, civil, mechanical, electrical, etc. i. As required for the Contract, provide the design of traffic controls including a Traffic Control Plan, illumination, markings and striping, signalization and as delineated by the City Traffic Engineering Department. Upon approval by the Director of Engineering Services, provide one (1) set (hard copy and electronic) of final plans, and contract documents suitable far reproduction (In City Format) for the contract. Said bid documents henceforth become the sole property and ownership of the City of Corpus Christi. k. The City agrees that any modifications of the submitted final plans {for other uses by the City) wi11 be evidenced on the plans and be signed and sealed by a professional engineer prior to re-use of modified plans. I. Prepare and submit monthly status reports with action items developed from monthly progress and review meetings. m. For the contract, provide a Storm Water Pollution Prevention Plan. The City staff wil#: a. Designate an individual to have responsibility, authority, and control for coordinating activities for the construction contract awarded. b. Provide the budget for the Project specifying the funds available for the construction contract. c. Provide the City's standard specifications, standard detail sheets, standard and special provisions, and forms for required bid documents. d. Perform a bidder pre-qualification evaluation (general contractors and sub-contractors as desired) and develop apre-qualified listing of bidders prior to initiating the Bid Phase. 3. Bid Phase. For the contract, the Engineer will. a. Participate in the pre-bid conference and provide a recommended agenda for critical construction activities and elements impacted the project. b. Assist the City in solicitation of bids by identification of prospective, pre- qualified bidders, and review of bids by solicited interests. c. Review all pre-bid questions and submissions concerning the bid documents and prepare, in the City's format, for the Engineering Services' approval, any addenda or other revisions necessary to inform contractors of approved changes prior to bidding. d. Attend bid opening, analyze bids, evaluate, prepare bid tabulation, and make recommendation concerning award of the contract. e. In the event the lowest responsible bidder's bid exceeds the project budget as revised by the Engineering Services in accordance with the Engineer's design phase estimate required above, the Engineer will, at its expense, confer with City staff and make such revisions to the bid documents as the City staff deems necessary to re-advertise that particular portion of the Project for bids. The City staff will: a. Arrange and pay for printing of all documents and addenda to be New Broadway Wastewater Treatment Plant City of Corpus Christi Project No. 7283 Amendment No.1 Exhihlt "A° January 25, 2008 Page 5 of 15 distributed to prospective bidders. b. Advertise the Project for bidding, maintain the list of prospective bidders, receive and process deposits for atl bid documents, issue (with the assistance of the AIE) any addenda, prepare and supply bid tabulation forms, and conduct bid opening. c. Receive the Engineer's recommendation concerning bid evaluation and recommendation and prepare agenda materials for the City Council concerning bid awards. d. Prepare, review and provide copies of the contract for execution between the City and the contractor. 4. Construction Phase. The Engineer will perform contract administration for each contract to include the following: a. Participate in pre-construction meeting conference and provide a recommended agenda for critical construction activities and elements impacted the project. b. Review for conformance to contract documents, shop and working drawings, materials and other submittals. c. Review fre[d and laboratory tests. d. Provide interpretations and clarifications of the contract documents for the contractor and authorize required changes, which do not affect the contractor's price and are not contrary #o the general interest of the City under the contract. e. Make regular visits to the site of the Project to confer with the City pro}ect inspector and contractor to observe the general progress and quality of worts, and to determine, in general, if the work is being done in accordance with the contract documents. This will not be confused with the project representative observation or continuous monitoring of the progress of construction. f. Prepare change orders as authorized by the City (coord'inate with the City's construction division); provide interpretations and clarifications of the plans and speci€ications far the contractor and authorize minor changes which do not affect the contractor's price and are not contrary to the genera[ interes# of the Ci#y under the contract. g. Engineer will review and approve applicationslestimates for payments to contractor as prepared by Resident Project Engineer (RPE} (Project Representative - PR}. Engineer and RPE will coordinate the final approval of the applicationslestimates for payments with the City Construction Activity Office. h. Make final inspection with City staff and provide the City with a Certificate of Completion for the project. i. As applicable, review operating and maintenance manuals prepared by the Contractor, for compliance with plans and specifrcations for all equipment installed on this Project. Engineer will incorporate City standards into the contract documents as applicable. City standards New Broadway Wastewater Treatment Plant City of Corpus Christi Project No. 7293 Amendment No. 1 Exhibit "A" January 25, 2008 Page 6 of 15 are: Manuals will be in a "multimedia format" suitable for viewing with Microsoft's Internet Explorer, version 3.0. As a minimum the Introduction, Table of Contents, and Index will be in HTML (HyperText Markup Language) format, with HyperText links to the other parts of the manual. The remainder of the manual can be scanned images or a mixture of scanned images and text. Use the common formats for scanned images - GIF, TIFF, JPEG, etc.. Confirm before delivery of the manuals that all scanned image formats are compatible with the image-viewing software available on the City's computer -Imaging for Windows XP and Microsoft Imaging Composer. Deliver the manuals on a CD-ROM, not on floppy disks. j. Review construction "red-line" drawings, prepare record drawings of the Project as constructed (from the "red-line" drawings, inspection, and the contractor provided plans) and deliver to the Engineering Services a reproducible set and electronic (AutoCAD r. 2002 or earlier) of the record drawings. All drawings will be CADD drawn using dwg format in AutoCAD, and graphics data will be in dxf format with each layer being provided in a separate file. Attribute data will be provided in ASCII format in tabular form. All electronic data will be compatible with the City GIS system. The City staff will: a. Process applicationslestimates for payments to contractor. b. Conduct the final acceptance inspection with the Engineer. c. Authorize contract change orders. B. Additional Services This section defines the scope (and ALLOWANCE} for compensation for additional services that may be included as part of this contract, but the Engineer will not begin work on this section without specific written approval by the Director of Engineering Services. Fees for Additional Services are an allowance for potential services to be provided and will be negotiated by the Director of Engineering Services as required. When the extent for the services has not been identified or the budget and the allowance has not been established, these scope items are noted as "To Be Determined (TBD). A budget for these items will be authorized when the scope and the associated fee when an amount is determined. The Engineer will, with written authorization by the Director of Engineering Services, do the following: 1. Permittin .ALLOWANCE Furnish the City all engineering data and documentation necessary for all required permits. The Engineer will prepare this documentation for all required signatures. Fee will be determined as design is developed and per final scope as authorized by the City. New Broadway Wastewater Treatment Plant City of Carpus Christi Project No. 7293 Amendment No. 1 Exhibit °A" January 25, 2608 Page 7 of 75 The Engineer will prepare, submit, and assist City in obtaining all permits as applicable to the appropriate local, state, and federal authorities, including, but not limited to: a. Union Pacific Railroad, Missouri Pacific Railroad, or any other railroad operating in the area b. TxDOT PermitslAmendments c. Wetlands Delineation and Permit d. Temporary Discharge Permit e. TPDESINPDES PermitlAmendments f. Texas Commission of Environmental Quality (TCEQ} PermitslAmendments and PER g. Nueces County h. Texas Historical Commission (THC} i. U.S. Fish and Wildlife Service (USFWS) j. U.S. Army Corps of Engineers (USAGE) k. United States Environmental Protection Agency (USEPA} 1. Texas Department of License and Regulation (TDLR ) m. Federal Emergency Management Agency {FEMA) Letter of Map Revision (LOMR], Letter of Map Change {LONG}, or other permits required for building in floodptains n. Pay permit and application fees for applicable permits. 2. Ri ht-of-Wa ROW Ac uisition Surve ALLOWANCE .The Engineer will review existing ROW and easements, as prepared by others, to ascertain any conflicts and provide field ROW surveys and submit ROW plats (prepared by others) and descriptions for the City's use in the acquisition process. All work must comply with Category 1-A, Condition I specifications of the Texas Society of Professional Surveyors' Manual of Practice for Land Surveying in the State of Texas, Ninth Edition. All work must be tied to and conform with the City's Global Positioning System (GPS) control network and comply with all TxDOT requirements as applicable. Engineer Consultant will be required to perform all necessary deed research. Budgeted allowance is based on Fee Simple Acquisition. Fee will be determined as design is developed and per final scope as authorized by the City. 3. Topographic SulrveydALLOWANCE) Provide field surveys {pre- and post- site development), as required for design including the determination of a matrix of the necessary control points, coordinates and elevations of points to document appropriately the existing conditions and facilities for this design and as required for the aerial mapping of the Project area -aerial photography to be provided by City. Establish base survey controls for line and elevation staking (not detailed setting of lines and grades for specific structures or facilities). All work must be tied to and conform with the City's Global Positioning System (GPS) control network and comply with Category New Broadway Wastewater Treatment Plant City of Corpus Christi Project No. 7293 Amendment No.1 Exhibit "A" January 25, 2fl08 Page 8 of 15 fi, Condition I specifications of the Texas Society of Professional Surveyors` Manual of Practice for Land Surveying in the State of Texas, Ninth Edition. Include reference to a minimum of two (2) found boundary monuments from the project area. Coordinate with City Surveyors as appropriate. Fee will be determined as design is developed and per final scope as authorized by the city. 4. Environmentallssues. a. No Environmental Engineering efforts have been identified and scoped with this contract. b. Following the initiation of the design as directed by the City during the course of the project, the City may elect to amend the contract and negotiate a scope of work to provide environmental site evaluations and Archeology Reports that are needed for the Project c. Engineer will identify and assist the City to develop a scope of work for any testing, handling and disposal of hazardous materials andlor contaminated soils that may be discovered during construction. Fee will be determined as design is developed and per final scope as authorized by the City. The City staff will: a. Develop scopes of work with the City's Environmental Consultant and provide environmental site evaluations and Archeology Reports that are needed for the Project during the course of the project. b. Identify and develop a scope of work with the City's Environmental Consultant for any testing, handling and disposal of hazardous materials andlor contaminated soils that may be discovered during construction. 5. Construction Observation Services. a. Through such additional observations of Contractor's work in progress and field checks of materials and equipment by the PR and assistants, the Engineer shall endeavor to provide further protection for the CITY against defects and deficiencies in the Work. b. The duties and responsibilities of the PR are described as follows: 1. General: PR will act as directed by and under the supervision of Engineer, and will confer with Engineer regarding PR's actions. PR's dealings in matters pertaining to the Contractor's work in progress shall in general be with Engineer and Contractor, keeping the CITY advised as necessary. 2. Conference and Mee#ings: Attend meetings with Contractor, such as pre-construction conferences, progress meetings, job conferences and other project-related meetings as required by the City, and prepare New Broadway Wastewater Treatment Plant City of Corpus Christi Project No. 7293 Amendment No. 1 Exhibit "A" .fanuary 25, 20D8 Page 9 of 15 and circulate copies of minutes thereof. 3. Liaison: A. Serve as liaison with Contractor, working principally through Contractor's superintendent and assist in understanding the intent of the Contract Documents. B. PR shall communicate with CITY with the knowledge of and under the direction of Engineer. 4. Interpretation of Contract Documents: Report when clarifications and interpretations of the Contract Documents are needed and transmit to Contractor clarifications and interpretations as issued. 5. Shop Drawings and Samples: Shop Drawing review budgets are based upon two reviews to constitute an approved status. Any additional reviews by the Engineer are beyond the scope of this project and additional fees will need to be procured from the Contractor. A. Receive Samples, which are furnished at the Site by Contractor, and notify of availability of Samples for examination. B. Record date of receipt of Samples and approved Shop Drawings. C. Advise Contractor of the commencement of any portion of the Work requiring a Shop Drawing or Sample submittal for which PR believes that the submittal has not been approved. 6. Review of Work and Rejection of Defective Work: A. Conduct on-Site observations of Contractor's work in progress to assist Engineer in determining if the Work is in general proceeding in accordance with the Contract Documents. B. Report whenever PR believes that any part of Contractor's work in progress will not produce a completed Project that conforms to the Contract Documents or will prejudice the integrity of the design concept of the completed Project, or has been damaged, or does not meet the requirements of any inspection, test or approval required to be made; and advise City and Engineer of that part of work in progress that PR believes should be corrected or rejected or should be uncovered for observation, or requires special testing, inspection or approval. C. Observe whether Contractor has arranged for inspections required by Laws and Regulations, including but not limited to those to be performed by public agencies having jurisdiction over the Work. 7. Records: A. Maintain orderly files for correspondence, reports of job conferences, reproductions of original Contract Documents including ail Change Orders, Field Orders, Work Change Directives, Addenda, addi#ional Drawings issued subsequent to the Contract, Engineer's clarifications and interpretations of the Contract Documents, progress reports, Shop Drawing and Sample submittals received from and delivered to Contractor, and other Project related documents. Prepare a daily report utilizing approved City format, recording Contractor s hours on the Site, weather conditions, data relative to questions of Change Orders, Field Orders, Work Change Directives, or changed conditions, Site visitors, daily activities, decisions, observations in general, and specific observations in more detail as in the case of observing test procedures; and send copies to Engineer and the City. C. Project Representative will review Contractor-prepared monthfy pay estimates and forward to Engineer for approval. 8. Reports: A. Furnish periodic reports as required of progress of the Work and of Contractor's compliance with the progress schedule and schedule of Shop Drawing and Sample submittals. B. Report immediately to the CITY and Engineer the occurrence of any Site accidents, any Hazardous Environmental Conditions, emergencies, or acts of God endangering the Work, and property damaged by fire or other causes. C. Provide project photo report on CD-ROM at the rate of a minimum of two photographs per day, including an adequate amount of photograph documentation of utility conflicts. 9. Completion: A. Before the issue of Certificate of Completion, submit to Contractor a list of observed items requiring completion or correction. B. Participate in a final inspection in the company of Engineer, the CITY, and Con#ractor and prepare a final list of items to be completed or corrected. C. Observe whether all items on fnal list have been completed or corrected and make recommendations concerning acceptance and issuance of the Notice of Acceptability of the Work. 6. Start-up Services. Provide on-site services and verification for all start-up procedures during actual startup of major Project components, systems, and related appurtenances if needed and required. 7. Warranty Phase. Provide a maintenance guaranty inspection toward the end of the one-year period after acceptance of the Project. Note defects requiring contractor action to maintain, repair, fix, restore, patch, or replace improvement under the maintenance guaranty terms of the contract. Document the condition and prepare a report for the City staff of the locations and conditions requiring action, with its recommendation for the method or action to best correct defective conditions and submit to City Staff. Complete the inspection and prepare the report no later than sixty (60) days prior to the end of the maintenance guaranty period. 8. Provide SCADA Documentation. Contractor shall provide standardized SCADA documentation, as specified and required within the Contract New Broadway Wastewater Treatment Plant City of Corpus Christi Project No. 7293 Amendment No. 1 Exhibit "A" January 25, 2008 Page 11 of 15 Documents, which will include PFDs, P&IDs, loop sheets, logics, SCADA architecture, DCS Ili lists, instrument lists, tie-in lists, piping lists, equipment lists, and instrumentation specification sheets. The construction documents will include the requirement within the Construction Contract and specifications that the Contractor is to prepare SCADA documents as specified, for submission to the Engineer for review and approval. If more than one revision is required, the Contractor is to have the cost of the additional reviews} deducted from his payments and forwarded to the Engineer. Contractor is to have payment with held until the Contractor pays Carollo for the additional revision and review time. The Engineer's initial submittal review and the review of the first revision is addressed in the Basic Services: Construction Phase. Engineer will deliver the final SCADA documentation to City Engineer when approved. 9. Public InvolvementlPublic Information. The Scope of Services authorized by the November 6, 2006 Agreement included: 1. Preparation of a recommended scope of work far preliminary geatechnical investigations at the Flint Hills site, and review of informationldata supplied by the CITY 2. Analysis and evaluation of three (3} secondary wastewater treatment processes: Membrane Bio -Reactor, Conventional Activated Sludge Process with Mechanical Aeration, and Conventional Activated Sludge Process with Diffused Aeration. 3. Presentation of results at a joint CITYIPeer Review Team workshop held on November 28, 2006. 4. Preparation of Technical Memorandum (TM} No. 1, documenting results of the secondary process evaluation. The Engineer submitted the first draft of TM No. 1 to the City on November 28, 2006. The final approved TM was submitted to the City on March 5, 2007. 5. Recommendation of a preferred secondary process for the Project. The objective of the work authorized by the November 6, 2006 Agreement was to streamline selection of the preferred treatment process and enable the City to proceed with final design of the project on an expedited schedule. Based on the analyses conducted, the Engineer has recommended a secondary treatment process that is based upon a conventions! activated sludge process with Diffused Aeration as the preferred alternative. The recommended process will have the capability to be operated in a contact stabilization mode. PURPOSE The purpose of Exhibit A-1 is to provide additional information, specific to this project, to supplement the Scope of Services in Exhibit A. The total scope of the project will be delivered via one contract, one set of Contract Documents. The contract will construct the New Wastewater Treatment Plant (8-mgd plant at average daily ffow). 2. The Resaca Pump Station Improvements will be bid and constructed as wholly separate projects(s} and wili be designed by others. This scope of services will include coordination with the above improvements. 3. The completed Preliminary Design`s Geotechnical analysis recommended the use of driven pile foundations to support the NBWWTP facilities. These driven piles will be delivered as part of the Contract. Task No. 18 addresses the scope for the special foundation design to interrelate the subsurface design with the structures foundation design. 4. The NBWWTP shall be accomplished as a traditional design-bid-build project. 5. Site's fencing will be for site security, which meets requirements of TCEQ. The fencing layout and design will be evaluated with present TCEQ requirements to determine its ability to provide appropriate site security. 6. Landscaping will be consistent with other City wastewater treatment plants, but will also address special considerations with the existing Broadway WWTP site. 7. Odor control will be consistent with other City wastewater treatment plants, but will also address special considerations with the existing Broadway WWTP site. 8. The NBWWTP facilities will be generally oriented in a eastlwest direction along the existing Broadway WWTP's site's northern boundary to minimize force main length and to optimum use of available presently unoccupied space. 9. independent, stand-alone, on-site administration and maintenance facilities will be deiivered by the contract. This scope will also develop appropriate maintenance facilities integral to the NBWWTP treatment facilities. These integral maintenance facilities will provide appropriate control room and office space. The integral maintenance areas will be closely coordinated with the appropriate access needs and maintenance needs associated with each key piece of equipment. The Secondary Treatment process will be conventional activated sludge with diffused air aeration. The process will be capable of operating in a contact stabilization mode. 11. The hydraulic profile for the NBWWTP facilities will be designed so that the off-site Resaca Pump Station will pump the flow to the plant`s inlet. The wastewater will then be conveyed by gravity through the liquid treatment processes through existing outfall without any additional mainstream pumping during average day and daily peak flow conditions. 12. A peak flow effluent pump station and associated forcemain will be designed to transport peak flows to the present discharge point that are beyond the carrying capacity of existing effluent outfall pipeline. To maximum carrying capacity and to extend its useful life, a rehabilitation package for the existing effluent outfall piping will be designed. Task No. 18 addresses the scope for the design of the special effluent pumping facilities and effluent pipeline rehabilitation. TASKS TO BE ACCOMPLISHED BY THE CITY The following items will be the responsibility of the City: 1. Contracting with other consultants for the preparation of a Geotechnical Report and providing that document for the use of Engineer in preparing final design for this project. 2. A. BASIC SERVICES TASK 1.0 PRELIMINARY PHASE Task 1.1 Preliminary Engineering Report (PER) Engineer will prepare a PER as detailed in Exhibit A and obtain approval from TCEQ. Development of the PER will be centered around three key workshops: The first workshop will serve as a both a project kick-off meeting and as a process and equipment selection meeting. This meeting wilt occur approximately 4-B weeks following the Notice to Proceed. At this meeting, the Engineer wilt present the preliminary design concepts for the project elements discussed in Task 1.6 through Task 1.14 as follows, present potential electives for layouts, equipment selection, materials selection, and power and control strategies. 1]uring this meeting, the City will be asked to make decisions and selections on the items presented. The resulting directions will serve as the basis for the final development of the Preliminary Design and the "Draft" PER. The second workshop wilt be scheduled to review the Preliminary Design and the "Draft" PER prior to transmitting to TCEQ. Agreed-to edits will be incorporated to the PER that will then be transmitted to TCEQ for review. Meeting agenda will also evaluate Opinion of Probable Costs to agree upon scope adjustments prior to progressing to Design Phase. The third workshop will be scheduled upon receipt of TCEQ comments. Agenda will develop TGEQ response and develop schedule for the next submittal. Agenda will make final review of project scope prior to progressing to Design Phase. Task 1.2 Final Geotechnical Investigation Engineer will provide scope of soil investigations, borings, site layout, and laboratory testing for final geotechnical investigations at the proposed NBWWTP site. The City Engineering Services Department will provide geotechnical investigations as recommended. Engineer will review the final geotechnical reports provided by the City for conformance with project requirements. Engineer's review will be focused on the adequacy of the geotechnical reports fndings and recommendations with respect to Engineer's ability to complete the project. Engineer will use the New Broadway Wastewater Treatment Plant City of Corpus Christi Project No- 7293 Amendment No. 1 Exhibit "A-1" January 25, 2008 Page 7 of 20 geotechnical data, parameters, and recommendations for fnal design of the NBWWTP project. Task 1.3 Design Parameters Coordinate with City to obtain appropriate master plans, maps, population projections, water quantity and quality data, etc. Review data and advise City of additional data needs as appropriate. Develop design parameters to be used in preliminary and final design. Task 1.4 Hydraulic Design The Engineer shall detail the hydraulic design of the wastewater treatment facilities. The hydraulic analysis shall be interlinked with the selected process and existing outfall hydraulic criteria to develop the recommended hydraulic profile through the plant. Task 1.5 Resaca Pump Station and Other Off--Site Facilities Coordination The Engineer will coordinate with the City and its other design consultants regarding improvements needed to the City's existing Resaca Pump Station in context of the hydraulic design of the NBWWTP #acilities, and coordination associated with force mains and access roads. Coordination shall consist of: 1. Engineer's hydraulic requirements for the NBWWTP will be transmitted in writing to the City and its other design consultants. 2. Engineer's attendance of meetings with the City's consultant to jointly discuss and communicate NBWWTP hydraulics and proposed force main and access road details, including material, terminus, connection details, and overall project sequencing. Any City-requested design work to be performed by the Engineer on the Resaca Pump Station Improvements and its proposed force main(s) shall be considered additional work. Task 1.6 Preliminary Treatment Engineer will develop a recommended preliminary treatment configuration for the NBWWTP. Task 1.7 Activated Sludge Process with Diffused Aeration Engineer will develop the conventional activated sludge process configuration with diffused aeration for the NBWWTP. This analysis will build on the work done for process selection, and presented in Technical Memorandum 1. Task 1.8 Secondary Clarifiers Engineer will develop the secondary clarifier configuration using circular clarifiers for the NBWWTP. Task 1.10 Odor Control Engineer will develop odor control design for the NBWWTP, based on other City-operated wastewater treatment facili#ies, and the Special Conditions for the existing Broadway WWTP site. Task 1.11 Solids Handling and Dewatering Engineer will develop estimated sludge quantities for disposal. Solids storage, dewatering and truck loading facilities will be recommended and designed. Task 1.12 Site Layout The Engineer anticipates that additional site fill may be required to appropriately accommodate site runoff. The Engineer shall develop a civil design that is closely coordinated with the geotechnical conditions, process facilities' layouts and structural design to provide for proper roadway and storm water drainage design. The site grading design will consider the routing of on-site process piping, electrical and instrumentation networks and utilities. Task 1.'13 Electrical Requirements The Engineer will estimate the power requirements for the new treatment plant. The Engineer will develop electrical distribution concepts, an electrical reliability strategy and a standby power strategy for the new facili#ies. The Engineer will provide information for negotiations and coordinate between the power company and the City to develop the new electrical service. The City will negotiate, with the Engineer's assistance, directly with the power company for final service. Task 1.14 InstrumentationlControl Strategies The Engineer will conduct workshops with City staff to identify the City's needs and requirements for instrumentation and control strategies for the new plant. The Engineer jointly, with the City staff will develop control strategies for each unit process. The goal of the workshops is to reach a consensus on these strategies and develop the process and instrumentation diagrams as early in the Project as possible. This effort will also develop the strategy for on-site Supervisory Control and Data Acquisition (SCADA) that includes integration with the City's communication network. The Engineer will prepare the construction documents to include the requirement in Construction contractlspecificationsthot the Contractor is to prepare SCADA documents as specified, for submission to the Engineer for New Broadway Wastewater Treatment Plant City of Carpus Christi Project No_ 7293 Amendment No. 1 Exhibit "A-i" January 25, 2008 Page 9 of 20 review and approval. If more than one revision is required, the Contractor is to have the cost of the additional review(s) deducted from his payments and forwarded to the Engineer. Engineer will deliver the final SCADA documentation to City Engineer when approved. Task 1.15 Preliminary Opinion of Probable Cost Engineer will develop a project cost model that will be updated as the design progresses. The preliminary opinion of cost will be based on recommended project configuration developed in the preliminary phase, and will include a monthly cash flow projection. Engineer has no control over the cost of labor, materials, equipment, or services furnished by others, or over Contractor's methods of determining prices, or other competitive bidding or market conditions, practices, or bidding strategies. Cost estimates are based on the Engineer's opinion based on experience and judgment. Engineer cannot and does not guarantee that proposals, bids, or actual Project construction costs shall not vary from cost estimates prepared by Engineers. Task 1.1fi Regulatory Assessment The Engineer will investigate, identify, and prepare necessary documentation and assist City in procuring permits required for the project. This task will include meeting with pertinent authorities to determine permit and regulatory requirements. As part of this task, the Engineer steal{ conduct required meetings with TCEQ during the preliminary design phase to discuss the Project. The meetings will be to review the proposed design and determine requirements for the PER. Task 1.17 Draft and Final PER The Engineer will submit a draft PER for City review and comment. The City will pay all permit application fees and other fees associated with TCEQ review and permitting of the project. ENGINEER will obtain TCEQ comments, agreement coordinate of changes, and obtain approval by TCEQ. Task 1.19 Preliminary Design Meetings The Engineer shall schedule a total of meetings during the preliminary design phase. For each meeting the Engineer shall develop meeting agendas one week prior to scheduled meeting and deliver meeting minutes one week after the meeting. The Engineer shall maintain an action items log and a decision log to maintain the Project continuity. These meetings for preliminary design shall be scheduled as follows: 1. One (1) preliminary design kick-off meeting 2. One (1) meetings to review updates, technical issues, and finalize the preliminary design TASK 2.0 DESIGN PHASE The Engineer shall complete a final design in accordance with the design concepts set forth in the Preliminary Phase. The fins[ design services shall include amulti-discipline design approach. Detailed drawings, technical specifications, and typical details shall be developed for civil, architectural, structural, mechanical, HVAC, plumbing, fire protection, electrical, and instrumentation. Technical specifications shall be based on the format of the Construction Specifications Institute (CSI}. The Pre- Final design submittal shall include the various discipline plans, technical specifications, and typical details as appropriate to the level of design at the time of the submittal. A copy of the preliminary design submittal comments log and the Pre-Final (60 percent) design submitta! comments shall also be provided with the Pre-Final {100 percent} submittal. Task 2.4 TCEQ-Required Final Design Report The Engineer shall prepare a final Design Report conforming to TCEQ requirements described in 30 Texas Administrative Code Chap#er 317, or latest adopted version. ENGINEER will obtain TCEQ comments. Task 2.5 Quality Management Check The Engineer shall perform an internal detailed quality management check, in accordance with the Project Quality Management Plan and Exhibit A. Task 2.6 Design Review Workshop The Engineer shall conduct a submittal review workshop with City Staff for the 60-percent design submittal and the 100-percent Pre-Final design submittal to the City. The design team shall develop a log of the City's review comments and submit with the Final (100 percent} submittal. Task 2.7 Final Opinion of Probable Cost The Engineer shall update the cost trending model and provide a final opinion of probable cost, in accordance with Exhibit A. Task 2.8 Final Design Submittal The Engineer shall submit final documents, ready for bid solicitation, in accordance with Exhibit A. A copy of the Pre-Final design submittal comments log shall also be included with the Final Design submittal. TASK 3.0 BID PHASE Provide Bid Phase Services as described in Exhibit "A". The ENGINEER anticipates that earlier construction may have left undocumented faculties {pipelines, duct banks, foundations, construction debris} in the proposed limits for this project's construction. This process will involve the review of start-up plans and manuals submitted by the Contractor to assure compliance with the contract documents. Level of effort shall be as described in Exhibit A. The Engineer shall provide aStart-Up Schedule to the City. Provide the services of the Project Engineer (as needed, up to two weeks @ 40 hours per week}, Process Specialist (as needed, up to two weeks @ 40 hours per week}, Electrical Engineer (as needed, up to two weeks @ 40 hours per week), and an Instrumentation and Controls Engineer (as needed, up to two weeks @ 40 hours per week) during facility startup. TASK 7.0 WARRANTY PHASE (ALLOWANCE} Provide Warranty Phase services as described in Exhibit A. In addition to the Warranty Phase services described in Exhibit A, provide the services of Engineer's staff to support the City in resolving equipment issues and other warranty issues that may arise during the warranty period. TASK 8.0 PROVIDE SCADA DOCUMENTATION (TBD} Provide SCADA Documentation as described in Exhibit A as negotiated and directed by the CITY. TASK 9.0 PUBLIC INVOLVEMENTIPUBLIC INFORMATION (ALLOWANCE} Provide public involvementlpubiic information services as directed by the City to assist the City in obtaining community acceptance of the project, as follows: Task 9.1 Community Information The Engineer shall work closely with the City to tailor the proper level of information exchange to the neighboring communities. The City and the Engineer shall publish notices of public forums and arrange for meeting rooms. The Engineer shall assist the Ci#y in preparing the exhibits, handouts and sign-in sheets, staff the forums, and write summaries. Summaries of public forums, including public notice procedures and related public involvement activities, shall be maintained by the City and the Engineer for possible use during the permitting process. Task 9.3 Elected Officials Briefings The Engineer shall assist City with briefings with elected officials are intended to answer questions and report on the Project and key issues. Specifically, up to two (2) briefings shall be held with City Council members at major milestones. Specific meeting where the Engineer's attendance is required shall be identified and scheduled by the City. TASK 10.0 TCEQ-REQUIRED OPERATION AND MAINTENANCE MANUAL Provide TCEQ-required Operation and Maintenance Manual as described in Exhibit A. The Engineer shall prepare an Operation and Maintenance (O&M) Manual for the new equipment, processes, and facilities sufficient for submittal to TCEQ and for subsequent use by the plant staff in operating and maintaining the facility. The O&M Manual shall comply with the requirements of 30 TAC Chapter 317.1.e.3, andlor latest adopted version TASK 11.0 TRAINING Provide Training services as described in Exhibit A. Budget shalt be limited at a total 500 manhours to on-site training and training preparation- The Engineer, in conjunction with the Contractor, shall prepare training documents and furnish up to seven {7) days of operator training for the operation of the NBWWTP_ Hands-vn field training shall be included in the operator training programs to be conducted by the Contractor. The field training shall include hands-on examples of process control (both in the manual and remote models). Provide the services of the Project Engineer (up to seven days @ 8 hours per day}, the Process Specialist (up to one week @ 12 hours per day), the Electrical Engineer (up to one week at 12 hours per day}, and the Instrumentation and Controls Engineer (up to one weeks @ 12 hours per day) during training. TASK 12.0 STORMWATER POLLUTION PREVENTION PLAN {SWPPP} Task 12.1 Prepare a SWPPP 12.1.1 Prepare, under the City's general Stormwater permit, a SWPPP for the new treatment facilities' site. Utilize SWPPPs prepared for other City wastewater facilities as a guide. TASK 15.0 PEER REVIEW RESPONSE, INCLUDING LIMITED VALUE ENGINEERING {ALLOWANCE] Task 15.1 Participate as directed by the City in Peer Review of the project with the City and a Peer Review Team, a separate dedicated engineering team for peer review that is contracted by the City. "Board Member". A member of any board, commission or committee appointed by the City Council of the City of Corpus Christi, Texas. b. "Employee". Any person employed by the City of Carpus Christi, Texas, either on a full or part time basis, but not as an independen# contractor. c. "Firm". Any entity opera#ed for economic gain, whether professional, industrial or commercial and whether established to produce ordeal-with a product or service, including but not limited to, entities operated in the form of sole proprietorship, as self-employed person, partnershipp corporation, Joint stock company, joint venture, receivership or trust and entities which, for purposes of taxation, are treated as non-profit organizations. d. "Official". The Mayor, members of the City Council, City Manager, Deputy Ciiv Manager, Assistant City Managers, Department and Division Heads and Municipal Court Judges of the ity of Corpus Christi, Texas. e. "Ownership Interest". Legal or equitable interest, whether actually or constructively held, in a firm, including when such interest is held through an agent, trust, estate or holding entity. "Constructively belt!" refers to holding or control established through voting trusts, proxies or special terms of venture or partnership agreements. f. "Consultant". Any person or firm, such as engineers and architects, hired by the City of Corpus Christi for the purpose of professional consultation and recommendation.
