This Agreement is entered into be~rrveen th~ City of Carpus Christi, Texas, a Texas home r~ale
mur~fcipality, {hereinaf#er "City") and Yorlctown Osfl Joint V~ntur~, 5733 Yorktown, #'~0-D,
Cor~us Christi, Texas 7&~13, (h~reinafter "De~eloper"), and pertains ta deferral of the required
completion of certain impro~ements required pr6or ta fling the final pfa# of Rancho Vista U~it 3
(the "plat}, wnich was appro~ed by the Planning Commission on .~une 14, 20~6. A copy o# the
final plat is attached and incorporat~d as ExhEbit 1.
WHEREAS, the Developer is required by the City of Corpus Christi to defer construction of the
pav~ment, sidewalk, curb, and gutter impro~ements for Rodd Field Road as shawn ir~ Exhi6i# ~;
and
WHEREAS, the Developer will depasit with the City of Corpus Christi cas~ in t~e amaunt af
Thirty-ane Thousand Eight Hundred and Sixty-five 941'E00 ~ollars ($3~,865.94), which is the
estimated cast of constructing the required impro~ements, as shown on the af~ached cost
estimate, wl~ich is attac#~ed and incorporated as Exhibit 3; and
WHEREAS, the City Attomey and Director of Finance ~a~e appro~ed t~is transaction; and
WHEREAS, the ~e~efo~er has satis~ed all other subdivision requirements, paric dedications,
park dedication deferment agreements, and maintenance agreements and all special covenants
have been com~leted; and
NOW, THEREFORE, for the consideration set forth hereinafter, the City ar~d ~e~elaper agre~ as
follows:
The City agrees to allow the Deve~oper ta defer construc#ion of tf~e required street
improvements including pa~emer~t, curb, gutter, and sidewalic for Rodd Fi~~d Road as
shown in ~xhibit 2. .
2. The Developer agrees ta deposit Thirty-one Thausand Eight Hundred ar~d Sixty-fiWe
941400 Dol[ars ($31,865.94), with the City of Corpus Christ+, which is the estimated cost
of constru~ing t~e required improvements. T#~e deposit shall be pasted to the
Infrastructure Trust ~'und prior to the De~elopment Services Eng~neer signing the plat.
3. The principal amount of Thirty-one Thausar~d Eight Hundred and Sixty-five 9~1100
Dolfars ($39,865.94) shall be placed by the City ir€ an interest bearing account and the
total sum, both principal and interest, shall be made available to the City of Corpus
Christi solely for the canstruction of the required improvements here~nder. Such funds
s~alf r~ot be used for any other purpose whatsoever.
4. The City's Development Services Engineer, a# the Developers exPense, shaEl file for
record this Deferment Agreement in the recorcls of Nueces County.

5. No party may assign th~s Deferment Agreement ar any rights hereunder withaut the prior
written appro~al o€ the other parties.
6. Unless otherwise stated herein, ar~y notice required or permitted ta be gi~en hereunder
shall be in writing and may be gi~en by personal deli~ery, by fax, or by certified maif, and
i~ gi~en personafly, by tax or ce~tifiecf mail, shall be deemed suffciently gi~en i#
addressed to #h~ appropriate party at the address noted opposite the sig~ature of such
party. Any party may, ~y notice to the other in accoTd with the provisic,ns of this
paragraph, specify a different address or addressee for notice purposes.
7. This Agreemer~t s~atl be construed under ar~d in accord with the laws of the State of
Texas and alf obligations of #he parties cr~ated hereunder are performa~le in Nueces
County, Taxas, and all lawsuits pursuant hereto shall ~e brought ~n Nueces County.
8. Tf~e De~eloper further agrees, ir~ compliat~ce with the Cfty of Carpus Chris#i Ordinance
No. 17113, to complete, as part of this Agreement, the Disclosure of 4wnership interests
form attac~ed to this Agreement as E~chibit 4.
9. This P~greement shall be executed in triplicate, a!I original copies of which shali be
considered ane instrurrten#. When all original capies ha~~ been executed by the City,
and a# feast two originai copies hav~ been execu#ed by the Develo~er, this Agreement
shal! ~ecome efFective and binding ~pon ar~d shall inure to the b~n~fits of the parties and
their respective heirs, successors and assigns.

DEFERMENT AGREEMENT
This Agreement is entered into between the City of Corpus Christi, Texas, a Texas home rule
municipality, (hereinafter "City ") and Yorktown Oso Joint Venture, 5733 Yorktown, #10TD,
Corpus Christi, Texas 78413, (hereinafter "Developer "), and pertains to deferral of the required
completion of certain improvements required prior to filing the final plat of Rancho Vista Unit 3
(the "plat), which was approved by the Planning Commission on .tune 14, 2006. A cop_ y of the
final plat is attached and incorporated as Exhibit 1.
WHEREAS, the Developer is required by the City of Corpus Christi to defer construction of the
pavement, sidewalk, curb, and gutter improvements for Rodd Field Road as shown in Exhibit 2;
and
WHEREAS, the Developer will deposit with the City of Corpus Christi cash in the amount of
Thirty -one Thousand Eight Hundred and Sixty -five 941100 Dollars ($31,865.94), which is the
estimated cost of constructing the required improvements, as shown on the attached cost
estimate, which is attached and incorporated as Exhibit 3; and
WHEREAS, the City Attorney and Director of Finance have approved this transaction; and
WHEREAS, the Developer has satisfied all other subdivision requirements, park dedications,
park dedication deferment agreements, and maintenance agreements and all special covenants
have been completed; and
NOW, THEREFORE, for the consideration set forth hereinafter, the City and Developer agree as
follows:
1. The City agrees to allow the Developer to defer construction of the required street
improvements including pavement, curb, gutter, and sidewalk for Rodd Field Road as
shown in Exhibit 2.
2. The Developer agrees to deposit Thirty -one Thousand Eight Hundred and Sixty -five
94/100 Dollars ($31,865.94), with the City of Corpus Christi, which is the estimated cost
of constructing the required improvements. The deposit shall be posted to the
Infrastructure Trust Fund prior to the Development Services Engineer signing the plat.
3. The principal amount of Thirty -one Thousand Eight Hundred and Sixty -five 941100
Dollars ($31,865.94) shall be placed by the City in an interest bearing account and the
total sum, both principal and interest, shall be made available to the City of Corpus
Christi solely for the construction of the required improvements hereunder. Such funds
shall not be used for any other purpose whatsoever.
4. The City's Development Services Engineer, at the Developers expense, shall file for
record this Deferment Agreement in the records of Nueces County.
