HomeMy WebLinkAboutC2008-112 - 4/8/2008 - Approved DEFE~I~ENT A~EEI~EiV1" TA~"E D F TES A ~~J~ITY ~F NUEE This Agreement is entered into bet~reen the pity of corpus Christi, Texas, a Texas hone rule municipality, thereinafter "pity"}and shell Land Management o, Inc., ~ 01 North Shoreline, Suite 000, Corpus Christi, Texas 78401, a Texas corporation, thereinafter "Developer"}, and pertains to deferral of the required completion of certain improvements required prior to filing the final plat of Saratoga vVeber Plaza, Block , Lot the "plat}, vuhich eras approved by the Planning Commission on December 1 ~Oa7. A copy of the final plat is attached and incorporated as Exhibit 1. V~fHEREA, the Developer i required by the pity of carpus Christi to defer construction of the pavement, sidevualk, curb, gutter and associated grater, v~astev~rater, and storm rater infrastructure improvements far one~half of Acushnet Drive as shorn in Exhibit and WHEREAS, the Developer gill deposit pith the City of corpus Christi cash in the amount of One Hundred Thirty-five Thousand Tvtiro Hundred Forty and 001100 Dollars ~15,~40.00}, vuhich is the estimated cost of constructing the required improvements, as shorn on the attached cost estimate} Which is attached and incorporated as Exhibit 3; and 1~HEREAS, the City Attorney and Director of Finance have approved this transaction; and WHEREAS, the Developer has satisfied all other subdivision requirements, park dedications, park dedication deferrr~ent agreements, and maintenance agreements and all special covenants have been completed; and N~, THEREFORE, for the cansidera#ion set forth hereinafter, the pity and Developer agree as follovus; ~ . The City agrees to allover the Developer to defer construction of the required street improvements including pavement, curb, gutter, sideallc, and associated grater, ~vastevuater, and starrn~vater infrastructure far Acushnet Drive as shorn in Exhibit 2. The Developer agrees to deposit One Hundred Thirty-five Thousand T~vo Hundred Forty and Oa110a Dollars 3,40.00}, vuith the City of Carpus Christi, Which is the estimated cast of constructing the required improvements. The deposit shall be pasted to the Infrastructure Trust Fund prior to the Development Services Engineer signing the plat. 3. The principal amount of One Hundred Thirty-five Thousand Tiro Hundred Forty and 0011 DO Dollars ~135,~40.00} shall be placed by the City in an interest bearing account and the fatal sum, bath principal and interest, shall be made available to the City of Carpus Christi solely for the construction of the required improvements hereunder. Such funds shall not be used far any other purpose vuhatsoever. 4. The City's Development Services Engineer, at the Developers expense, shall file this Deferr~ent Agreement in the o#ficial public records of real properky in Nuece County, Texas. Unless otherwise stated herein, any notice required or permitted to be given hereunder shall be in writing and maybe given by personal delivery, by fax, or by certified mail, and if given personally, by fax or cerkified mail, shall be deemed suf#iciently given if addressed to the appropriate party at the address noted opposite the signature of such party. Any party may, by notice to the other in accord with the provisions of this paragraph, specify a different address or addressee far notice purposes. 7. This Agreement shall be construed under and in accord with the laves of the state of Texas and all obligations of the parties created hereunder are performable in Nueces County, Texas, and all lawsuits pursuant hereto shall be brought in ~lueces County. 8. The Developer further agrees, in compliance with the City of Carpus Christi ordinance lWo.171 ~ , to complete, as part of this Agreement, the Disclosure of ownership interests form attached to this Agreement as Exhibit 9. A copy of the final plat is attached and incorporated as Exhibit I.
