SER111CE T~ BE PERFORMED f The Consultant hereby agrees, at his~her awn expense, to perform ail services necessa to research, document, end complete the scope of work to complete the project described ' follows. II. aC~RE ~F SERVICES i i A. Scope of services: The Consultant will provide professional en ineerin and mane ement of g g g VlJater Department operations and management. The Consultant will: i • vl~ork full time on a weekly basis managing day to day operations; submit a recomrnendatior~ for a new reorganization chart; • Manage the TCE~ Notice of Ilioation and insure al items are completed as per the agreed order; • Place special er~phasis on the vVater Treatment process; • Initiate a RFP for th i e design of an operational and Water D~stnbution Control Automation system; . • Conduct an emergency Table Tap exercise; * oversee the recruitment of key superintendent positions within the departrr~ent. • Make any presentations to the City Council, Citizens' Advisory Committees, State ar other governmental agencies, and the public when requested; 4. ~ Take an active rate in the daily activities of the department and make minor Than es ss needed; ~ • Place special emphasis in management and oversight of the Vllater Distribution ectian on a daily basis} f ~ Oversee the Cspitai Improvement process and make recommendations; ' • Review department purchasing practices and r~ske recommendations; • Review department personnel schedules, training, job descriptions snd policies snd rnaice j changes as needed; • ' Conduct field visits with water crews operating after hours snd make changes as needed; • vVark approximately ~D to 5~ hours per week; • Receive the approve! and concurrence of the Assistant City Manager prior to initiating needed changes; and G • such additional services as may be mutually agreed by the Assistant Cit Mona er and Cor~suitan ' ~ ~ Y q ~ t, Any additions! service requiring an increase in the authorized not to exceed fee will be evidenced in writing ss an amendment to this agreement, r The City will provide office space, rapiers, office equipment, and an office personal computer for the Consultant. i i B. Any ac#ions taken by the Consultant on instructions, information or concurrence provided by or through any other source will not be compensated under this contract. ~ ORDER O>= SERVICES y The Consultant agrees to begin work irnmeditely after written autharizatian~ The preliminary schedule for the project is attached as Figure 1. lll. FEES AUTHORISED The Ci#y will pay the Consultant an additional not to exceed fee of 35,gD0.gg for a restated fee of i ~4~,OOQ.Op for services through April ~OgB. This fee will be furl and total compensation for all - services provided and authorized expenses incurred in performing the tasks specified, Authorized expenses include out of town travel, lodging, and meal Mileage will be reimbursed at the IRS f authorized rate ether authorized expenses will be reimbursed upon submission photocopies of receipts. 1 The fee will be paid in the farr~ of a lump sum weekly fee not to exceed 3,8D~.gg plus reimbursed # = expenses. All invoices wall be accompanied by a cover letter summarizing the fee. The letter will state the project Warne and number, the number of the current invoice, the contract fee, the amount ~ - previously invoiced, and the current amount due, Invoices will riot be submitted more often than ~ once per month. IV. TERMINATION OF CONTRACT i. The City Manager ayt at any time, v+lith ar without cause, terminate this contract upon seven days 4 ~ written notice to the Cansultan# at the address specified below. If termination occurs prior to the final completion of all work contemplated by this contract, the Consultant shall be paid a reasonable compensation for the services actually rendered in ~ . 3 ~ accordance with the above-described schedule of fees and in proportion to the amount of work ~ . LOCAL PARTICIPATION The City Council's stated policy is that City expenditures on contracts for profess'ranal services be ~ of maximum benefit to the local economy. The Consultant agrees that Iocal architectural and f engineering liaisons will be used to the extent practical. f r VII. OI~NERSHIP OF DOCUMENTS f All documents including contract documents plans and specifications}, retard drawings, contractor's field data, and submittal data shall upon payment of all fees and reimbursable f expenses awed under this agreement, be the sole property of the City. Those documents may be ~ used by the City Engineer far other City projects, and with the exception of standard details that are not specific to this project may not be used again by the Consultant without the express written consent of the City Engineer. The Citywill assume sole liability far arising out of any reuse or I modification of the Consultant's documents, except where the Consultant is found to be liable b a ~ court ar forum of competent jurisdict~an. CORRECTING MATTERS I Any extra cast and expense necessary to correct matters caused by failure of the Consultant yr hislher sub~consultants to exercise a reasonable degree of prafessionai care will be paid by the i Consultant and not reimbursed by the City. ~ G i r I~, ASSIGNABILITY The Consultant shall not assign, transfer ar delegate any of its obligations or duties under this I contract to any other person without the prior written consent of the City, except for routine duties delegated to personnel of the Consultant's staff. No part of the Consultant's fee may be assigned in advance of receipt by the Consultant withoutwritten consent of the City.
