AEP-TCC Texas Central Company and
City of Corpus Christi
Whereas, City of Corpus Christi ("Licensee") entered into a Wi-Fi Facility License
Agreement ("Agreement") with AEP-Texas Central Company ("Licensor") effective
December 1, 2005, authorized by the City Council as Motion 2006-330;
Whereas, the parties desire to amend the Agreement to update Exhibit A and insert
new Exhibit B;
Now therefore, the parties agree to amend the Agreement as follows:
1. Section 4 is revised to reference the new "Exhibit B" in place of "Exhibit A".
2. Exhibit A is replaced with new Exhibit A, attached.
3. New Exhibit B is attached.

EXHIBIT B
Annual Contact Fee: Cost per each attachment is $15.00 per year.
The Annual Contact Fee shall be increased by the Consumer Price Index -Urban
{CPI-U} upon each anniversary of the Commencement Date occurring during the
Original Term and each succeeding Term Extensions.
Note: In the event that the City uses the Wi-Fi equipment covered under this
agreement to offer Internet access for a fee, then the Annual Contact Fee will
change to AEP-TCC's then current market rate for Wi-Fi equipment {AEP TCC
current market rate 05108 - $75.00 per attachment per year.)
