MEMORANDUM OF AGREEMENT
I. Period of Agreement
The effective date of this Agreement is June 1 , 2008 and shall continue until
such time as either party notifies the other of its desire to terminate. This Agreement may
be terminated by either party upon 30 days advance notice delivered to the non-
terminating party; between the Coastal Bend Workforce Development Board
(`Board") and Comus Christi Police Department .
II. Purpose
This Agreement provides space for Corpus Christi Police Department to store items
of their choosing at the Martin Luther King (MLK) facility.
III. Duties and Responsibilities
A. The Board agrees to:
• Provide designated space, Meeting Room E, at the MLK facility located at 1616
Martin Luther King Dr., Corpus Christi, Texas 78401;
• Provide keyed access to the building;
• Maintain environmental controls throughout the building
• Provide access codes for entry;
B. Corpus Christi Police Department agrees to:
• Maintain secure access in the designated space through a separate key systems.
• Ensure no hazardous materials will be stored in the facility;
• Ensure no combustible or explosive materials will be stored in the facility;
• Ensure no nazcotics or illegal drugs will be stored in the facility;

• Allow access to Board staff in the designated area upon request for inspection and
only in the presence of authorized police personnel;
• Use the designated or assigned area for only the purposes discussed within the
context of this Agreement;
• Require all staff working during operating hours to wear appropriate business
attire with their agency's identification badge;
• Indemnify the Board against all liabilities and losses incurred by reason of any
use or condition of the office space being provided;
• Indemnify the Board against all liabilities and losses incurred by reason of
vandalism ,break-ins, or theft;
• Allow the Board to have final decision making authority over collocation issues;
• Provide for their own phone equipment, computer equipment and costs associated
with the installation and maintenance;
• Reimburse the Board for their pro-rata shaze of the monthly occupancy costs in
accordance with Section three (3);
• Remit payment for the shared facilities costs as indicated in Section three (3). If
this agreement is deemed in default, then the Board will have the authority to
prevent Corpus Christi Police Department staff from occupying the designated
space until such time as remedied;
III.
Monthly Costs
Corpus Christi Police Department will be required to reimburse the Board for their
pro-rata share
of the monthly occupancy costs which may include, but are not limited to:
• Electricity Security
• Water /waste water service Lawn maintenance
• Gas Elevator maintenance
Advanced payment will be required for each month. Payment will be required before
the sixth day, (6th) of each month. Once payment is remitted to the Board, there will
be no refunds. Payment will be remitted to the Board's administrative office located
at 400 Mann Street, Suite 1000, Corpus Christi Texas, 78401.

This monthly occupancy cost has been calculated at a rate of $ 730 per month.~ ~~ Per sf ~~D~
This Agreement will be accepted on a Month-to-month basis. As stated previously,
this agreement may be terminated with thirty days written prior to the upcoming
month.
IV. General Provisions
Nothing in this Agreement shall be construed so as to require the commission of any act
contrary to law, and whenever there is any conflict between any provision of this
Agreement and any present or future law, ordinance or administrative, executive or
judicial regulation, order or decree, or amendment thereof, contrary to which the parties
have no legal right to contract, the latter shall prevail, but in such event that the affected
provision or provisions of the Agreement shall be modified only to the extent necessary
to bring them within the legal requirements and only during the time of such conflict
exists.
The Agreement contains the entire agreement between the parties hereto, and each party
acknowledges that neither had made (either directly or indirectly) any representations or
agreements in connection with Agreement not specifically set forth herein.
Notices concerning proposed termination and/or proposed amendments to this Agreement
shall be in writing as follows:
A. Personally delivered against a written receipt, or
B. Sent by registered or certified mail, return receipt requested, postage prepaid and
addressed to the parties at the addresses set forth below, or at such other addresses
as may have been therefore specified by written notice delivered in accordance
herewith:
