THE STATE OF TEXAS
COUNTY OF NUECES
This Agreement Regarding Use Of Property (hereinafter referred to as the "Agreement")
is made and entered into this day by and between the parties hereinafter described and upon the
following terms, covenants and conditions:
Whereas, ZEBA, INC., a Texas Corporation, is the record title owner of the following
described property situated in Nueces County, Texas, to-wit:
Tract I:
Lot Thirty-Four-R (34-R), Block One (1), CIMARRON LAKE
ESTATES, a Subdivision of the City of Corpus Christi, Nueces
County, Texas, as shown by the map or plat thereof recorded in
Volume 65, Page 105, Map Records of Nueces County, Texas;
and
Tract II:
Lot Thirty-Five-R (35-R), Block One (1), CIMARRON LAKE
ESTATES, a Subdivision of the City of Corpus Christi, Nueces
County, Texas, as shown by the map or plat thereof recorded in
Volume 65, Page 105, Map Records of Nueces County, Texas;
and
Whereas, ZEBA, INC. needs to have additional parking spaces for its business operated
on Tract I in order to comply with the applicable ordinances of the City of Corpus Christi,
together with the applicable provisions of the Building Code of the City of Corpus Christi, and
will allow a portion of Tract II to be used to provide such additional parking spaces, as shown on
the Revised Site Plan of such property, a copy of which is attached hereto as Exhibit "A";
Now, therefore, for and in consideration of the benefits accruing to said party, ZEBA,
INC. hereby agees to allow the use of as much of Tract II as is necessary in order to have the
additional parking spaces for the business operated on Tract I. Such use will be allowed for as
long as is necessary to comply with applicable ordinances of the City of Corpus Christi, together
with the applicable provisions of the Building Code of the City of Corpus Christi. In the event
such additional parking spaces are no longer required, then this Agreement shall automatically
terminate.
It is understood and agreed that upon the sale of either Tract I or Tract II, and such
ordinances and provisions regarding such additional parking spaces are still in effect at such time,
ZEBA, INC. will enter into a proper and recordable Easement Agreement regarding such
additional parking spaces with the purchaser, which Easement Agreement will be recorded in the
Official Public Records of Nueces County, Texas.

The CITY OF CORPUS CHRISTI joins in the execution of this Agreement to evidence
its approval of the same.
