HomeMy WebLinkAboutC2009-074 - 1/26/2009 - NA• ~ u i~ This First Amendment ("First Amendment") is effective as of January ~. , 2009, and is made by and between the CITY OF CORPUS CHRISTI (the "City") and MCGRIFF, SEIBELS AND WILLIAMS OF TEXAS, INC. ("Contractor"). RECITALS A. Reference is here made to that certain "Contract to Provide Excess General Liability, Public Officials /Employment Liability, Employee Benefits Liability and Law Enforcement Liability Insurance to the City of Corpus Christy" signed on March 1 I, 2005, (the "Existing Contract"). B. The Existing Conhact is set to terminate on March 1, 2009. C. The City is preparing a Request for Proposals (RFP) for the Existing Contract's scope of work, and plans to advertise between January 19 - 31, 2009. D. The City anticipates that the time required to select a new contractor and award a new contract may continue through February and beyond March 1, 2009. E. Therefore, the parties desire to extend the term of the Existing Contract beyond the date the extended terns ends, March 1, 2009, for an additional one-month, to continue on a month-to- month basis, until the City has selected, awarded, and signed a new contract to provide excess general liability, public officials/employment liability, employee benefits liability, and law enforcement liability insurance. NOW, THEREFORE, in consideration of the mutual promises and covenants set forth below, the parries, intending to be legally bound, agree as follows: Defined Terms. Defined teens used but not defined in this agreement areas defined in the Existing Contract. 2. Amendment to Section H. Section H of the Existing Contract is hereby amended by inserting after Section H. the following new section H.2.: H.Z. One-Month Term F~tensions Beginning on March 1, 2009 After the extended term ends, beginning on March 1, 2009, this Contract shall conti-me with optional one-month extensions, on a month-to-month basis, until 2009-074 Eder Section I.2. 01/26/09 McGriff, Seibels & Williams FIRST AMENDMENT TO THE 3. Amendment to Section I Section I of the Existing Contract is hereby amended by inserting after Section I. the following new section I.2.: L2. Termination of Contract after March 1, 2009 After March !, 2009, the City may terminate this Contract, with or withmrt cause, upon thirty (30) days prior written notice to the other party. 4. ibfiscellaneous. Except as expressly amended hereby, the Existing Contract shall remain in full force and effect. The Existing Contract, as hereby amended, is hereby ratified and confirmed in all respects. 5. CouMeroarts. This First Amendment may be signed by authorized representatives of the City and Contractor in multiple original counterparts, and each such counterpart shall be wnsidered an original, but all such counterparts taken together shall consthute but one and same instrument, binding upon the parties, notwithstanding that all of the parties may not have executed the same wumerpart.
