PURPOSE. The purpose of this Agreer~ent is far TAIViU~CC Social Science Research Center to cor~plete ongoing community vuide assessments far needs and assets, interpret the data and define priorities as described in the Resolution lVo. q~74~1. ~. STATEMENT ~F VV~Rl~. TAIIUCC agrees to perform all services as outlined in its letter dated June 29: ~gDg, copy attached as Exhibit A, and projects that the City gill receive ell required reports and data described in Exhibit A, no later than July 1, ~gD9, 3. PRINCIPALS. The ~rork ~rifl be supervised by Philip 1. Rhoades, Ph.D. Professor of Crirr~inal Justice and Regents, Director of the Social Science Research Center lf, for any reason, he is unable to continue to serve, and a successor acceptable to both TAf1~UCC and the City is not available, this agreement shall be terminated as provided herein. 4, PERIOD ~F PERFORMANCE, The ~vark described in Exhibit A shall be conducted from July ~l; X009 through July 1, X009, or until al! required reports and data have been accepted by the City, virhichever date is earlier, ~. PR~~E AND PAYMENT. a. As car~pensatian for the performance of the agreement, the City agrees to pay TAUCC up to Forty-eight Thousand Dollars five hundred eleven dollars {45,~~1.gg}, as itemized in Exhibit A. b. TE~~IINATION. Performance under this agreement maybe terrr~inated by the City pith or vwrithout cause upon sixty days Britten notice. Performance may be terminated by TAUC, if circumstances beyond its control preclude continuation of the program. Upon termination ~vithvut cause, TAIUIUCC vuill b reimbursed as specified in Paragraph ~ of all costs and non-cancelable comrr~itments incurred in the performance of the program, that are reimbursable under the Grant. It is understood tha# City shall not be liable for any olaims against TAUC, its employees, or third persons, other than pity's employees, for Page ~ of damage resulting fror~r or arising out of the activities of T~IVIU personnel under this Agreement, and TAI~U agrees, to the extent permitted ay section 49, Article III of the constitution of the state of Texas, to hold Dity harr~rle from any and all claims. It is also understood thatTAI~UC~ shall not be held liable for any claims against pity's employees, of damage resulting frorr~ yr arising out of activities of the pity, its employees, or third persons, ether than TAII~UDD employees, and Dity agrees, to the extent perrr~itted by section ~9, ~4rticle III of the Dontitution of the state of Texas, to hold TAMUDC harmless from any and all claims. ~ D. INDEPENDENT ~NTR~IT~R. For the purposes of the agreement and all services to be provided under this agreement, the parties shall be, and shall be deemed to be, independent contractors and not agents or employees of the other party. Neither party shall have authority to make any statements, representations orcommitments of any kind, or to take any action which shall be binding on the other party, except as may be explicitly provided for in this agreement or authorized in writing. ~ ~ . AMENDMENTS AUTHRI~ED. The representatives who were authorized to sign this agreement are authorized to execute minor a~mendrnerrts to this agreement, such as changes in deadlines and miner changes in the scope of work. ~ ~. E'EI~ABILITY, if any of the provisions of the agreement in the application thereof to any person or circumstance, is rendered or declared illegal for any reason, or shall be invalid or unenforceable, the remainder of the agreement and the application of the provision to other persons or circumstances shall not be affected thereby, but steal! be enforced to the greatest extent by applicable law. The pity and TAMUC~ agree that this agreement shall be reformed to replace the stricken provision or part thereof with a valid and enforceable provision that comes as close as possible to expressing the intention of the stricken provision. ~ 3. D1sPUTE l~E~LUTI~N PRIDE, a. To the extent applicable, the dispute resolution procedures provided in chapter ~~o of the Texas government bode will be used to resolve contract claims under this contract. b, if the chapter AGO procedures are utilized both parties agree that the TEQ may intervene in the proceedings as an interested party. c. The Director of Purchasing, TAIU~, is designated as the officer designated under ~~~g.o~, Texas government octet to examine claims and counterclaims, negotiate, and resolve arry claims on behalf of TAMU. ~4. VENUE. TANlIJ ackno~rledges and agrees that because this agreerr~ent has been executed, and wil! be administered in Nueces ountyt Texas, the agreement is to be performed in Nuece bounty, TAI~U acknowledges and agrees that any Page of permissible cause of action involving this agreement will arise safely in N~aece County, If legal action related to this claim is permissible and there are two {~} or mare counties of proper venue under the rules of mandatary, general, or permissive venue, and one of the counties is Nuece bounty, TAUCC agrees to venue in Nueces bounty, This provision does nat waive the pity's sovereign immunity. ~ 5, I~I~E~L.ANEaU~ This agreement constitutes the entire agreement between the artier relative to the subject ratter, and may only be modified or amended by a written p agreement signed by both parties.
