TO CONTRACT FOR
PROFESSIONAL SERVICES
The City of Corpus Christi, Texas hereinafter called "City", and FREESE AND NICHOLS, INC, hereinafter
called "CONSULTANT", agree to the following amendment to the Contract for Professional Services for
Vehicle Impound Facility, Phase 1 (Project No. 5249), as authorized and amended by:

^ In the original contract, Section II. SCOPE OF SERVICES shall be modified by the addition of the
following scope as shown on the attached Exhibit "A-1"Task List.
Basic Services
Design a steel drive-through vehicle inspection canopy for use by the Police $ 16,553
Department Impound personnel, configure the yard to accommodate the new
canopy at the entrance to the facility and prepare contract documents for the
completion of structure. The canopy will include lighting but no other utilities.
Provide construction phase services including 4 inspections.
Additional Services
2. Provide Windstorm Certification services for the new steel inspection canopy. $ 1,652

total fee not to exceed $18,205.00 (Eighteen Thousand Two Hundred Five Dollars and Zero Cents.
for a total restated fee not to exceed $341,416.00 (Three Hundred Forty-One Thousand Four
Hundred Sixteen Dollars and Zero Cents).
All other terms and conditions of the May 26, 2009 contract between the City and Consultant will remain
in full force and effect.

Dear Mr. Anaya,
Enclosed please find a copy of our draft Amendment No. 2 for professional services for
the Vehicle Impound Facility -Phase 1 project (#5249).
Please note that our current contract includes Basic Services in the amount of
$223,869.00 and Additional Services of $99,342.00 for a total professional services fee
of $323,211.00. This Amendment includes Basic Services activities in the amount of
$16,553 and Additional Services activities in the amount of $1,652 for at total restated
fee of $341,416.00.

Basic Services:
1) Develop construction drawings in English units in 22" x 34"sheets, to include the
following (as required for this project):
• Electrical Plan
• Foundation Plan and Details for Inspection Canopy
• Concrete Sections and Details
• Steel Framing Plan for Inspection Canopy
• Steel Sections and Details
2) Prepare specifications sections:
• Structural Steel
3) Prepare opinion of probable construction costs including contingency amounts.
4) Provide Quality Control/Quality Assurance (QC/QA) interim review and prepare
submittal for City's review depicting pre-final development of the contract drawings
and specifications.
5) Address comments received from the City for the pre-final submittal.
6) Provide Quality Control/Quality Assurance (QC/QA) final review and submit
one (1) reproducible hard copy of the final contract drawings and specifications
to the City for bidding process.
7) Update the opinion of probable construction costs.
8) Provide Construction Phase Services in accordance with Exhibit 'A' of the
Contract for Professional Services.

1) Provide Windstorm Certification services for the Inspection Canopy.

FILING REQUIREMENTS

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the City
Council of the City of Corpus Christi, Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to have an
effect on that interest that is distinguishable from its effect on members of the public in general or a
substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or part-
time basis, but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or commercial, and
whether established to produce or deal with a product or service, including but not limited to, entities
operated in the form of sole proprietorship, as self-employed person, partnership, corporation, joint
stock company, joint venture, receivership or trust, and entities which for purposes of taxation are
treated as non-profit organizations.
"Official." The Mayor, members of the City Council, City Manager, Deputy City Manager,
Assistant City Managers, Department and Division Heads, and Municipal Court Judges of the City of
Corpus Christi, Texas.
f. "Ownership Interest." Legal or equitable interest, whether actually or constructively held, in a
firm, including when such interest is held through an agent, trust, estate, or holding entity.
"Constructively held" refers to holdings or control established through voting trusts, proxies, or
special terms of venture or partnership agreements."
g. "Consultant." Any person or firm, such as engineers and architects, hired by the City of Corpus
Christi for the purpose of professional consultation and recommendation.
