TO CONTRACT FOR
PROFESSIONAL SERVICES
The City of Corpus Christi, Texas hereinafter called "CITY", and FREESE AND NICHOLS INC., hereinafter
called "CONSULTANT," agree to the following amendment to the Contract for Professional Services for
Yorktown Boulevard -Staples to Cimarron (Project No. 64641, as authorized and amended by:
Ori final Contract March 24, 2009 Motion No. 2009-066 $999,871.00
In the original contract, Section II. SCOPE OF SERVICES shall be modified by the addition of the
following scope of Basic and Additional Services as shown on Exhibit "A-1"Task List.
Basic Services
2.M. Provide design drawings for effluent line Kings Crossing Ditch $4,500.00
2.N. Provide design drawings for effluent line to Bill Witt Park 6,500.00
2.0. Provide Landscape and Irrigation plans 21,500.00
2. P. Provide storm water improvements at Bar-Le-Doc 3,500.00
Additional Services
3.1 Develop Baseline Reference drawings for joint project letting
For Project Nos. 6464 & 7426
$12,500.00
^ In the original contract, Section III. FEES shall be modified as shown on the attached Exhibit "A" for a
total fee not to exceed $48,500.00 (Forty-Eight Thousand Five Hundred Dollars and Zero Centsl, for
a total restated fee not to exceed $1,048,371.00 (One Million Forty-Eight Thousand Three Hundred
Seventy-One Dollars and Zero Cents).
All other terms and conditions of the March 24, 2009 contract and amendments between the City and
Consultant will remain in full force and effect.

Yorktown Boulevard - Staples to Cimarron
City of Corpus Christi Project No. 6464
Dear Mr. Anaya,
Enclosed please find a copy of our draft Amendment No. 1 request for professional services for
the Yorktown Boulevard project (#6464).
The proposed amendment includes both Basic and Additional Services for a total amendment
amount of $48,500.00.
Please note that the item identified in Additional Services is the development of a Baseline
Reference drawing for both the Yorktown Boulevard project (#6464) and the Buckingham
Estates Forcemain and Oso Plant Effluent line project (#7426) (prepared by others). The intent
of the development of the reference drawing is meant to allow the City the opportunity to
award both projects to a single contractor. The baseline reference`drawingwdl>allowthe
contractor the opportunity to establish one baseline that can be utilized #or both projects.

Basic Services:
1) Develop construction drawings in English units in 22" x 34"sheets, to include the
following (as required for this project):
• Provide design drawings for effluent line from Yorktown Blvd. to Kings
Crossing Ditch
• Provide design drawings for effluent line from Cimarron
Blvd./Yorktown Intersection to Bill Witt Park
• Provide landscape and irrigation plans for Yorktown Median
improvements
• Provide storm water improvements on Bar-Le-Doc Street
2) Update opinion of probable construction costs for the items identified in this
amendment.
3) Update Construction Phasing plans to reflect the inclusion of items identified in this
amendment.
Additional Services:
1) Develop Baseline Reference drawings for joint project (Nos. 6464 & 7426)
award. This activity will allow for contractor to utilize one baseline to establish
alignments for both projects.

FILING REQUIREMENTS
If a person who requests official action on a matter knows that the requested action will confer an
economic benefit on any City official or employee that is distinguishable ftom the effect that the action
will have on members of the public in general or a substantial segment thereof, you shall disclose that fact
in a signed writing to the City official, employee or body that has been requested to act in the matter,

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the City
Council of the City of Corpus Christi, Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to have an
effect on that interest that is distinguishable from its effect on members of the public in general or a
substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or part-
time basis, but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or commercial, and
whether established to produce or deal with a product or service, including but not limited to, entities
operated in the form of sole proprietorship, as self-employed person, partnership, corporation, joint
stock company, joint venture, receivership or trust, and entities which for purposes of taxation are
treated as non-profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City Manager,
Assistant City Managers, Department and Division Heads, and Municipal Court Judges of the City of
Corpus Christi, Texas.
f. "Ownership Interest." Legal or equitable interest, whether actually or constructively held, in a
firm, including when such interest is held through an agent, trust, estate, or holding entity.
"Constructively held" refers to holdings or control established through voting trusts, proxies, or
special terms of venture or partnership agreements."
g. "Consultant." Any person or firm, such as engineers and architects, hired by the City of Corpus
Christi for the purpose of professional consultation and recommendation.
