HomeMy WebLinkAboutC2010-057 - 1/29/2010 - NALICENSE AGREEMENT REGARDING ART EXHIBITS AT THE CORPUS CHRISTI INTERNATIONAL AIRPORT Whereas the Corpus Christi International Airport ("Airport") located at 1000 International Drive Corpus Christi Texas has a dedicated exhibit space located of the second floor of the Airport; Whereas, the City of Corpus Christi acting through its Christi International Airport ("Airport") and its Galeria Galvan, and the Art Museum of South Texas ("Art Museum") desire to allow for the placement of rotating art exhibits at the Airport Exhibit Area; Whereas, the Galeria Galvan and the Art Museum shall be referred to hereafter collectively as "Art Organizations' ; Now, therefore, the parties agree as follows: 1. Art Organization Responsibilities. a) The City's Galeria Galvan will provide art for an exhibition for placement at the Airport Exhibit Area from June through November. b) The Art Museum will provide art for an exhibition for placement at the Airport Exhibit Area from December through May. c) This schedule will continue every year unless otherwise modified by authorized representatives of the parties or until this Agreement is terminated. d) Each art organization shall be responsible for general upkeep and maintenance of their exhibition. e) Each art organization is responsible, at their discretion, for providing public promotional literature and announcements using various local media and computer media sites to publicize their respective exhibitions at the Airport Exhibit Area. f) Each art organization must have documented permission from the artist or owner of the art work to place the art for public exhibit at the Airport Exhibit Area. g) Each art organization must have documented permission from the artist or owner to authorize reproduction of photographic images of the art in public promotional materials. g) Each art organization is responsible to communicate with the artist and owner of the specific art to be exhibited, that the City of Corpus Christi assumes no liability for loss or damage to the art work to be displayed at the Airport Exhibit Area. h) The art organization shall provide a sample of the art to the Airport Director or his designee at mutually agreed upon location and time. 2010-057 01/29/10 City of Corpus Christi INDE~X~D i) The art organization shall provide a Condition and Inventory Report, which briefly describes the condition of each piece, and include any specific collection or inventory number assigned by the art organization. 2)Airport's Responsibilities. a) The Airport staff shall assist the Galvan or Art Museum with the installation of the exhibition. b) The Airport staff shall report to the respective art organization any observed loss or damage to an art exhibition within 24 hours of Airport's discovery of the loss or damage. c) Excluding emergency circumstances, the Airport will not alter or modify an exhibition in any way without seeking prior written consent from an Authorized Representative of the art organization. d) For emergency situations, the Airport will endeavor to provide at least 8 hour prior notice to the art organization of any need to move the exhibit or part of the exhibit. e) The Airport will provide the art organization with 48 hours advance notice of any maintenance to the Airport which may impact the exhibit or part of the exhibit. 3. Authorized Representatives. For purposes of this Agreement, the following titled employees are the Authorized Representatives for the Galeria Galvan: Karen Dawson, Program Coordinator. The following titled employees are the Authorized Representatives for the Art Museum: Joe Schenk, Director of the Art Museum. 4. TERMINATION. This agreement maybe terminated by any of the parties with 60 days written notice prior to the month when a new exhibition is scheduled. This agreement takes effect upon signature of the City Manager. INSURANCE. The City of Corpus Christi does not provide any insurance nor any self-insurance coverage for any works of art on display in the Corpus Christi International Airport. The City of Corpus Christi is not responsible for any loss or damage to the artwork displayed at the Airport Exhibit Area.. In the event the Art Museum desires to extend any coverage for the art, it is solely responsibility of the Art Museum. 6. SECURITY. The Airport has 24 hour general security coverage for the Airport, however there is not dedicated security for the Airport Exhibit Area. 2 7. NO LIABILITY FOR CANCELLATION The Airport is not liable and shall pay no fee to the Galeria Galvan or Art Museum should the exhibition be canceled or postponed for any reason. 8. RELEASE FOR PUBLICITY. The Galeria Galvan and Art Museum authorizes the Airport to use any photographs, videotape, or any other type of publicity related to the art exhibits provided by the Galeria Galvan and Museum, for the promotion of the programs of the Corpus Christi International Airport. 9. INDEMNITY. The Art Museum shall indemnify the City of Corpus Christi, its agents, employees, and officers (collectively "Indemnities") from and against any and all liability, damages, loss, claims, demands, suits, and causes of action of any nature on account of death, personal injuries, property loss, or damage, or any other kind of damage, including all expenses of litigation, court costs, and attorney's fees, which arise, or are claimed to arise, out of or in connection with the installation or removal of exhibition program provided by the Art Museum. 10. NOTICES. Notices shall be sent by regular mail, deemed received upon three business days after mailing, as follows: To: C.C.
