AMENDMENT NO. 1 TO AGREEMENT BETWEEN HILLCO
PARTNERS AND CITY OF CORPUS CHRISTI FOR
GOVERNMENTAL RELATIONS SERVICES
THIS AMENDMENT NO. 1 is made and entered into by the CITY OF CORPUS
CHRISTI, a municipal corporation and political subdivision of the State of Texas,
(hereinafter "City,") and Hi11Co Partners, a Texas based governmental relations
consulting firm, and is effective the 1St day of February 2010;
Whereas, the parties previously entered into an Agreement for governmental relations
services with term beginning August 1, 2009 and continuing until July 31, 2010;
Whereas, the Agreement established a fee of $5,250 monthly for services provided under
the Agreement;
Whereas, the parties desire to amend the Agreement to reduce the monthly fee from
$5,250 to $3,000 due to City budgetary issues and change in Hil1Co Partners
representatives;
NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:
1) The Agreement is amended to reduce the monthly fee from $5,250 to $3,000
beginning on February 1, 2010.
2) The Agreement is further amended to agree that Hi11Co services under the
agreement shall be primarily provided by Mr. Dan Pierson.
3) The Agreement is further amended to agree that Mr. Dan Pierson is the City's
primary liaison with Hi11Co Partners in representation of the City on
environmental and natural resource issues before various State agencies and the
Texas Legislature.
4) All other terms and conditions of the Agreement, and which are not inconsistent
herewith, shall continue in full force and effect.

IN WITNESS WHEREOF, the parties hereto have themselves or through their duly
authorized officers executed this Amendment effective as of the day and year above first
written.
