M.F. 149,05 CORPUS CHRISTI SUBDIVISION CORPUS CHRISTI, TEXAS THIS AGREEMENT, executed in duplicate this 19th day of January, 2010, by and between UNInN PACIFIC RAILROAD COMPANY, a Delaware earparatian ("Railroad"), and CITY GF CGRPUS CHRISTI, a Texas home rule municipal corporat#on of the State of TEItAS {~Pq#iticai Body"}. RECITALS: Political Hody hoe requested Railroad to improve the existing Part Avenue crossing, at grade, along, aver and across Railroad's track and right of way at Railroad Mife Past 149.OG, en Railroad's Corpus Chrlstl Suhdivlsion, L)l7T No. 435 447V, in City of Ggrpus Christi, Nueces, County, State of Texas {the "Grassing"], #o wh€ch Railroad is agreeable, but snleiy upon terms and conditions hereinafter set forth. The location of the Crossing is generally shaven on the print marked Exh#hlt A attached hereto and hereby made a part hereof. AGRES1VIEiVT: NOW THERTFORE, In consideration of the prem[ses and of the promises and conditions hereinafter set [arch, the parties hereto agree as follows: 1. ltaiirgad shall furnish all labor, material, equipment and supervision for, and shall (a} remove the existing timber crossing, {b) install a 94 ft. precast concrete crossings (c} field weld rail, (d) relay track at the Crossing with 11S pound rail, {e) renew the erassties, and (f) surface the track with new ballast. 2. Political Body agrees tv reimburse the Railroad for one hundred percent (100°/a) of Railroad's actual labor and material casfs associated wins the wgrk and materials described in Section 1 above. Railroad estimates such cost to be Dne Hundred Thirty Eight Thousand Seven Hundred and Ninety Eight Dollars [$138,798.OQ}, as set forth in Estimate of Materials and Force Account da#ed March 4, 2010 marked Exhibit B, hereto attached and hereby made a part hereof. Durin$ the performance of such work Railroad wiq provide progressive billing to Political Body based on Railroad's actual costs which will include a breakdown of material quantities, and support doeusnen#atton. Actual costs to Railroad shall include customary additives (whkh includes its overhead and indirect construction coats] to materials, services and labor provided by Railroad. Each billing must be supported and evidenced as an actual Invoice, wins the voucher date, Within One Hundred Twenty {120} days after Railroad has completed its work, Railroad will submit a final bfilin$ to Political Bgdy for any balance owed. Political Bgdy shall pay Railroad within thirty {30] days of its receipt of progressive and final bills submitted by Railroad. 3. Railrnad, at its cast, shall maintain the Crossing w#thin the railroad right vf--way between the track tie ends except for the street pavement and utllltiea within the right-of-way outside of the railroad cross[ng and Political Bady, at its cyst, shall maintain all other portions of the Crgssing including the street pavement and ufillties, If, in the #tsture, Palltlcal Bady elects to have the surfacing material between the track tie ends replaced with paving or some surfacing material other than timber planking, Railroad, at fhe Pglftlcal Body's expense, shall install sorb replacement surfacing. 2010-241 M2010-018 0111911v Union Pacific Railroad ~~dE1~~ !~ 1 '~Puhlic koad ]mpm~ements 08124!07 lstimatcd Costs FormApproved-AVP Law 4. Political Body, at its cast, shall provide all labor, material and equipment associated -vith traffic control, barricades, detour signing, advanced warning signs and pavement markings. All such work shall be in compliance with tare current Manual on Uniform Traffic Control Devices. 5. If Political Body's contractors} islare performing any -vork described in Section 4 shove, then Political Body shall require its contractor{s} to execute Railroad's standard and current form of Contractor's Right of Entry Agreement. Political Bady acknowledges receipt of a copy of the Contractor's Right of Entry Agreement and understanding of its terms, provisions, and requirements, and will inform its contractor{s] of the need to execute the Agreement and to obtain acid provide to Railroad the insurance policies, binders, certificates and endorsements that are required in the Contractor's Right-of--Entry Agreement. Under no circumstances will the Political Body's contractor{s} be allarved onto the Railroad's premises without first executing the Contractor's Right of Entry Agreement. Under no circumstances will the Political Body's contractor{s} be allowed onto the Railroad's premises without first executing the Contractor's Right of Entry Agreement and providing the aforesaid insurance documents. b. Fiber optic cable systems may he buried an Railroad's property. Protection of the fiber optic cable sys#ems is of extreme importance since any break could disrupt service fo users resulting in business interruption and loss of revenue and profits. Political Body or its contractor{s] shall telephone Railroad during normal business hours {7:tll} a.m. to 9:f}U p.m., Central Time, Monday through Friday, except holidays} at 1-SOQ-336-4193 [also a Z4-hour number, 7 day number for emergency calls) to deterntine if fiber optic cable is buried anywhere on Railroad's premises to be used by Political Body or its contractor{s}. If it is, Political Body or its contras#or{s) wilt telephone the telecommunications company{ies} involved, arrange for a cable locator, and make arrangements for relocation or other protection of the fiber optic cable prior to beginning any work on Railroad's premises. Under no circumstances shall Political SubdivisionlCity be responsible to Railroad ar to any other parties for any lasses due to business interruption and loss of revenue and profits. 7. Covenants Herein shall insure to or bind each party's successors and assigns; provided, no right of Political Bady shall be transferred or assigned, either voluntarily or involuntarily, except by express writ#en agreement acceptable to Railroad. 8. Political Bady hereby confirms that funds have been appropriated for the work set forth in this Agreement. 9. The person signing this Agreement on behalf of Political Body hereby confirms that helshe is authorized under Poiitical Bady policies and procedures to execute this Agreement and to hind Poiitical Body to the obligations under this Agreement.
