CH2M HILL Companv hereinafter tailed "CONSULTANT", agree to the following amendment to the
Contract far Professional Services for Laguna Madre Inflow & Infiltration (I & l~Sanitary Sewer
Manhole & Gravit Collection Line Re IacementlRehahilitation Project No. 740'1 as
authorized and administratively amended by:

In the original contract, Section 2. SCOPE OF WORK shall be modified by the addition of the
following scope and as shown and on the attached Amendment No. 2 Exhibit "A" and "A-1 ":
- Task ~ -Preparation of revised IDI[Q contract and construction contract documents for the
Laguna Madre Plant Collection System replacementlrehabilitation of sanitary sewer
manholes and gravity collection lines.
- Task 2 -Conference with the City of Carpus Christi concerning the Sanitary Sewer Manhole
and Gravity Collection Line Replacement/Rehabilitation Project.
- Task 3 -Bid Services and Evaluation
^ In the original contract, Section 3.ORDER OF SERVICES, Project Schedule shall be modified
as shown of the attached Amendment No. 2 Exhibit "A"
^ In the original contract, Section 4. FEES, shall be modified for a total fee not to exceed
$26.945.00 (Twenty-Six Thousand Nine Hundred Forty-Five„Dollard and Zero Cents}, for a total
revised fee of $213,609.00 (Two Hundred Thirteen Thousand Six Hundred Nine Dollars and
Zero Cents}.
All other terms and conditions of the May 27, 2008 contract and amendments between the City and
Consultant will remain in full force and effect.

The City of Corpus Christi, Texas hereinafter called "City", and Goldston Engineering, a
CH2M HILL Company, hereinafter called "Engineer", agree to the following Contract for
Engineering and Consulting Services to provide Indefinite De6very11ndefinite Quantity
(IDIIQ] contract documents to the City of Corpus Christi far Laguna Madre Plant
Collection System's replacement and rehabilitation of sanitary sewer manholes and
gravity collection lines.
SCC}PE OF PROJECT:
It is the intent of the City to continue with the existing Laguna Madre Plant Collection
System Manhole and Gravity Collection Line ReplacementlRehabilitation Program that
was executed last year.. In order to accomplish this task, the City plans to engage the
Engineer to develop revised IDIIQ contract documents which wip replace the current
iD11Q Contract. The Engineer will prepare revised IDIIQ contract documents,
construction bidding documents, assist the City in the bidding process, evaluate and
provide a recommendation of the successful bidder. Future work is anticipated in the
form of specific delivery orders to the successful bidder.
SCOPE 4F SERVICES:
The Scope of Services for this contract is divided into three tasks:
Task 7 -Preparation of revised IDIIQ contract and construction contract
documents for the Laguna Madre Plant Collection System
replacementlrehabilitation of sanitary sewer manholes and gravity collection
lines.
TASK 2 -Conference with the City of Corpus Christi concerning the Sanitary
Sewer Manhole and Gravity Collection Line ReplacementlRehabilitation Project.
TASK 3 -Bid Services and Evaluation

FEES;
A. Fee for Basic Services Authorized. The City will pay the Engineer a lump sum
fee not to exceed $26,945.00 far providing services specified in Exhibit "A-1".
The fee will be full and total compensation for services and far all expenses
incurred in performing these services. Engineer will submit monthly statements
for basic services rendered. Each statement will be based an the project
percent completion at the time of billing. City will make prompt monthly
payments in response to Engineer's monthly statements.

VI. TERMINATION OF CONTRACT
The City may, at any time, with or without cause, terminate this contract upon seven
days written notice to the Engineer at the address specified below.
If termination occurs prior to the final completion of all work contemplated by this
contract, the Engineer wilt be paid compensation due for the services actually rendered
up tv the date of termination in accordance with the above-described schedule of fees
and in proportion to the amount of work done on such stages or phases as have been
authorized. Additionally, if termination occurs prior to completion of the Program,
reasonable termination expenses will be paid by the City based upon the Engineer's
record of termination expenses actually incurred.
VI1. ASSIGNABILITY
The Engineer wilE not assign, transfer or delegate any of its obligations or duties under
this contract to any other person without the prior written consent of the City, except far
routine duties delegated to personnel of the Engineer's staff. No part of the Engineer's
fee may be assigned in advance of receipt by the Engineer without written consent of
the City. The Gity will not pay the fees of expert or technical assistance and consultants
unless such employment, including the rate of compensation, has been approved in
writing by the City.
XI. CHANGES
The City Engineer or his designee may, at any time, modify the scope of the contract, or
authorize additional tasks or services be undertaken provided that no increase in the
total authorized fees yr expenses will be required. Any modification of the scope, tasks
ar services requiring an increase or decrease in the authorized fee or expenses will be
evidenced in writing as an amendment to this contract.
XII. AMENDMENTS
Amendments to this contract as to the scope of services, period of performance,
compensation, or any other mutually agreeable change, will be by amendment,
executed in writing by duly autharized representatives of the City and Engineer.
XIII. GOVERNING LAW
This contract is made and delivered in the State of Texas, and shall be construed and
enforced in accordance with the laws thereof.

DEFINITIONS
a. "Board member." A member of any board, convmissian, or committee appointed by the
City Council of the City of Corpus Christi, Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or
part-time basis, but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the form of sole proprietorship, as self-employed
person, partnership, corporation, joint stock company, joint venture, receivership or trust, and
