CONTRACT FOR ARCHITECTURALIENGINEERING SERVICES
The City of Corpus Christi, Texas, hereinafter called "City", and Bath Engineering Group, Inc.
hereinafter called "Consultant", hereby agree to the amendment of the contract approved August 8,
2008 by Motion 2008-206 as follows:
Section II. Scope of Services is amended by the addition of design phase, construction phase and
windstorm certification services for structural repairs to roof steel framing.
The Consultant will provide basic engineering services for structural engineering to:
determine existing conditions, evaluate the level of corrosion, present the findings and
recommended solutions for repair;
prepare and deliver drawings signed and sealed by a professional engineer for the repair of the roof
steel framing;
provide general notes and technical specifications far the repair; and
construction phase services far structural repairs to roof steel framing.
The Consultant will provide additional services in the farm of Windstorm Inspection and provide a
WPI-1 Certificate complying with Texas Department of insurance Windstorm requirements.
Section III. Fees Authorized is amended by the addition of fees far engineering structural repair
design, construction phase services and windstorm certification. Section III is amended to read:
III. FEES AUTHORIZED
The City will pay the Consultant a total not to exceed fee of $276,480.00. The fee consists of the
authorized original contract fee of $267,990 and an authorized Amendment No. 1 fee of $8,490.
This fee will be full and total compensation for all services provided and expenses incurred in
performing the tasks specified as basic, construction, and post-construction phase services
specified in Section II.
The table "Summary of Fees" shall be used when calculating the fee due for the proportion of
services completed. The City shall make prompt payments in response to Consultant's statements
for Professional Services.
Billing for services provided in Section II 1, 2, 3, and 5 will be based on the Consultant's estimate
of the percent of services complete at the time of billing. However, in no case will the billing
exceed 90% of the fee for each phase until the delivery of documents associated with each
phase has been reviewed and accepted by the City. Billing for services provided in Section 11.4
will be based on the amount of construction completed. Billing for services provided in Section
11:5 shall be payable upon delivery of the record drawings to the City Engineer. Billing for
services provided in Section 11.6 will be payable upon performance of inspections and delivery of
all materials to the City. Billing for services provided in Section 11.7 will be payable at 50% which
the design has been accepted, 40% when the system metering and rebate schedules have been
approved, and 10% at project closeout and meeting with ail central plant users and explaining in
detail the new billing method.
Consultant will submit monthly statements for work authorized by the City Engineer and performed
by the Consultant. The statement will be based upon Consultant's estimate and concurrence by the

City of the proportion of the total services actually completed at the time of billing. The City will
make prompt monthly payments in response to Consultant's monthly invoices.
All invoices shall be accompanied by a cover letter summarizing the fee in accordance with the
Summary Schedule of Fees. Invoices wilt be sequentially numbered for each project and state the
project name, The letter shall sta#e the number of the current invoice, the contrac# fee for each task,
the amoun# previously invoiced for each task, and the current amount due. Invoices will be
organized to accommoda#e funding sources. During the cons#ruction phase, the ArchitectlEngineer
will also submit a brief letterlmemo summarizing observations during the site visit, the work of the
contractor, construction progress for the billing period, and any pending items.

All other terms and conditions of the June 8, 2D04 contract, as amended, between the City and

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the
City Council of the City of Corpus Christi, Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or
part-time basis, but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the farm of sole proprietorship, as self-employed
person, partnership, corporation, }oint stock company, joint venture, receivership or trust, and
entities which far purposes of taxation are treated as non-profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City
Manager, Assistant City Managers, Department and Division Heads, and Municipal Court
Judges of the City of Corpus Christi, Texas.

g. "Consultant." Any parson or firm, such as engineers and architects, hired by the City of
Corpus Christi for the purpose of professional consultation and recommendation.
