This project falls under the direction of the SHSU PI identified ut bloclr 9 of fire cover page, hereinafter referred to as "Project Director". '1'he project is funded liy Printe Award No., Prime Sponsor and CFDA No, as identified in blocks 4 raid 5 of the cover page, SUBRECIPIENT is ready, able and willing to undertake a portion of said efforts. SUBRECIPIENT agrees to use its reasonable efforts to perform the researchlservices program as appended hereto anti incorporated as Appendix A. 2. TECHNICAL SUPERVISORIPRINCII'AL INVESTIGATOR. The researclt/services will be supervised by Subrecipient's PI/Project Director identified in bloclr l0 of the cover page as coordinated by the SHSU Project Director, If, for arty reason Sul7recipiettt's PI/Project Director is unable to continue to serve as such, and a successor acceptable to both SHSU attd the SUBRECIPIENT is not a~+ailable, this Agreement shall be terminated as provided in Article 8. 3, PERIOD OF PERFORMANCE, TIte researclt/set•vices shall be conducted during the period identiEed in Clock G of the cover page and hill be subject to extension only by mufual written agreeutent of the patties. PRICE AND PAYMENT. As compensation for the perfottttance of this Agreetuent, SHSU agrees to reimburse SUBRECIPIENT for actual costs incu#•red not to exceed the cast identified iii Clack 7 of the cover page. Payments shall be made to SUBRECIPIENT upon submission of monthly invoices prepared in sufficient detail to indicate clearly the nature of all expenses. Invoices shall be submitted to the address identified in black !3 of the covet page. If any of the provisions of this Agreement in the application thereof to any person ar circumstance, is rendered nr declared illegal far any reason, or shall be invalid or unenforceable, the remainder of this Agreement atrcl the application of such provision to other persons ar circ~.ttustances shall not be affected tltet•eby, but shall be enforced to the greatest extent pertnikted by applicable faro. 14. MISCELLANEOUS. This Agreement constitutes the entire agreement between the patties relative to the sitbject matter, and tt~ay only be modified or amended by a rrrritten agreement signed by bath parties, It shall be construed ui aecardatzce with the laws ofthe State of Texas. 15. DISPUTE RESOLUTION. SUBIZECIPIENT must use the dislxtte resolution process provided in Chapter 2260 of the Texas Government Code to attempt to t•esohre a dispute arising under this contract and such process is a required prerequisite to suit in accordance with Chapter 107, Texas Civil Practice and Remedies Cade. SUBRECII'IENT must sttbniit written notice of a claun of breach of contract under' this chapter to Dr. Fernando Gotnea, Texas State University System Vice Chancellot• and General Cowisei. ASSIGNMENT. FORCE iVIAJEURE.
