Dear Mr. Hyland:
Thank you for allowing RD3 Corporation dba Security 101 Houston the opportunity to present this
proposal for your consideration. This proposal is based on our discussions, meetings, site surveys,
and bid documents created by your organization.
Our company is uniquely qualified to provide the installation and service required for the above
referenced security system. Security 10 i has an established track record of installing and
maintaining similar systems as well as meeting strict time schedules and budget requirements.
Our engineering and project management staff have worked together with me to create this
proposal. This team will be prepared to deliver your installation in an organized and professional
manner. Our installation crews and service technicians will be uniformed and trained.
In addition, upon completion of the installation, our service department staff will be ready to
provide you with service utilizing our unique computerized dispatch system.
Finally, although most of the work to be done will be executed by other team members,l wiil be
committed to monitoring the process and making sure that your system meets or exceeds your
expectations.

General System description 1D1
This Quote is for the Conversion of the Existing CCure 800 Software to Software House CCure9000
latest platform software.
Customer is to provide alI Servers, Clients and Bodging Stations for this project.
This Quote includes SQL Express. It also includes a113 client workstation conversions to the CCure
900 software.
The Conversion will take 2 weeks and will be done during normal business hours.
Security101 will convert the data base and set up all the access levels.
Once the Data entry is complete, Security101 installation team will install the integration software
for the ONSS1. This Software is needed to contxol the cameras in the CCure System. Camera call ups
and programming far each door is included in this quote. Camera call ups are when the door position
switch (Door Contact) has a change in status, the PTZ camera that is programmed in the system will
turn to that door location. All pragrarnming is included in this quote.
Once all the data has been entered in the New Server, Securiry101 will then set time schedules, door
alarms, door names and set ill alarms need in the system. All access levels, schedules and alert levels
will also be programmed by Security 101.
Customer is to provide Security101 will a detailed list of cameras names and which doors will be
used for camera call ups.
This Quote also includes. ONE of the customers personal to Software House for CCure9000 training.
All Hotel,Airfare, Meals and any other cost will be provided by the customer.
Included in this Quote is 2 additional years for the price of one Software House Software Agreement.
Prior to the 3rd year expiration, Security101 will provide the customer with cost to continue the SSA
for an additional year. The Purchase of the CCure 9000 Software comes with one year SSA and for
this project Software House has extended that SSA to 3 years. Year 4 will be an additional charge.

General
a) Customer to make available adequate mounting space for all head end devices.
Mounting space requirements will be provided to Client upon award.
b) Any High voltage {greater than 48 VAC) requirements are not quoted, unless
specifically identified in the scope of work andlor the equipment list.
c) This installation will be done with Teflon plenum-rated wire where required ter low
voltage work, installed in free air, above ceilings, and in partition walls, and does not include
costs for asbestos related work.
d) Conduit is not included, unless specifically identified in the scope of work andlor the
equipment list.
Access Control
a) All Door(s) and associated door hardware are not included, unless specifically
identified in the scope of work andlor equipment list.
b} Coring of new or existing doors required for electrifed locking hardware is considered
the responsibility of others.
c) Modification of any new ar existing fire doors is not included, Additional charges may
apply if Security 101 is requested to perform such work.
d) Proper door alignment and mechanical operation is the responsibility of others.
e) Programming and configuration of your microprocessor andlor CPU is included,
excluding loading the database. It shall be the responsibility of the Customer to load the data
base which involves defining access levels, time zones, personnel data, programming maps,
defining alarm messages and instructions, along with the input of any user defined data.
Individual cardholder input and definition is also excluded. Unless listed in the Scope of
Work.
f} Access control cards are not included, unless specifically identified in the scope of work
andlor equipment list.
g} Access control system computer UPS is not included unless specifically identifed in
the scope of work andlor equipment list.
h) FIRE ALARM RELEASE - It the responsibility of the customer and the fire alarm
service provider for this site. Any permits required in accordance with the fire alarm system
or release shall be obtained by the fire alarm service provider.
CCTV
a} A dedicated circuit is recommended for the CCTV system, but not included.
b} Current and future lighting requirements are the responsibility of others.
c) Appropriate furniture or shelving for CCN recording equipment is not included, unless
specifically identified in the scope
of work andlor the equipment list.
Intrusion Alarm and Monitories
a) A separate alarm monitoring agreement will be required for alarm monitoring services.
b) All calf lists and contac# names are to be provided in writing.
Installation
a) All required installation documents are included.
b) Installation of all required equipment and ma#erials with on-site supervision of project is
included.
c) Labor quoted assumes normal eight (8) hour working days, excluding weekends,
holidays and overtime.
d) Idle time incurred by Security 101 employees and their subcontractors due to escorts,
clearances, inability to enter workspace, vehicle search, personnel search and other factors
beyond our control, will be invoiced at our current labor rates.
e) This proposal includes travel to and from the site to perform our stated scope of
work. Additional or duplicate site visits required due to factors beyond our control, will be
invoiced at our current labor rates.
fl Client to coordinate with local Security 101 staff to provide safe and timely
rlgh#-of-passage in the work area during cable run and system installation.
g) Client to provide and coordinate 110 VAC electrical service where needed.

h) A.II LAN/WAN connections, addressing and network functionality are the responsibility
of the Client.
i} Any telephone lines or LANNVAN connections must be installed and operational prior
to Security 101 commencing work. The local Security 101 representative will verify the
availability and functionality of all connections prior to starting wank.

Any changes in the understood scope of work will be communicated and approved in writing
(by an authorized Client representative}, prior to commencing work.

1. Limited Warran ~ Exclusions and Disclaimers.
A. To the extent not otherwise warranted pursuant to an applicable manufacturer`s warranty, RD3
Corporation dba Security 401 Houston (hereafter referenced as Security 101), warrants akl equipment and
installation labor rendered as part of the Work against defects in materials and labor for a period of twelve (12}
months (the Warranty Period) from the date of substantial completion of the installation; provided, however,
no warranty is made as to, and there is specifically excluded frgrr~ the warranty, any and al! expendable
supplies, equipment and parts, ar any portions of the Work which have been misused, abused, not used in the
manner intended, neglected, or damaged by an act of God or altered, modified, or manipulated in any manner
by Customer or a third party. Any warranty exclusion defect in thse installation during the Warranty Period will be
repaired or replaced at the option of Security 101; any shipping charges in connection with a repair or
replacement shall be the responsibility of Customer. The repair or replacement shall cansti#ute Customer's sole
remedy against Security 101, unless a defect in installation was due to the negligence or intentional misconduct
of Security 103 , its employees or agents.
B. Security 101, MAKES NO OTHER OR FURTHER WARRANTY WITH RESPECT TO
INSTALLATION LABOR, MATERIALS AND EQUIPMENT OR ANY OTHER PORTION OF THE WORK
OTHER THAN THE FOREGOING WARRANTY AND SPECIFICALLY DISCLAIMS ANY AND ALL OTHER
INARRANTlES, EXPRESSED OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY.
C. IN NO EVENT SHALL Security 101 BE LIABLE TO CUSTOMER OR ANY THIRD PARTY FOR
SPECIAL, INCIDENTAL, CONSEQUENT#AL, EXEMPLARY, OR PUNITIVE DAMAGES OR FOR LOST
PROFITS, LOST SALES, INJURY TO PERSON OR PROPERTY OR ANY OTHER CAUSE A5 A RESULT OF
A DEFECT IN LABOR, EQUIPMENT OR OTHER SUPPLII=S OR MATERIALS WITH RESPECT TO ANY
STEM FURNISHED UNDER THE AGREEMENT, MALFUNCTION OR NONFUNCTION OF ANY SYSTEM,
WRONGFUL PERFORMANCE OF OR FAILURE TO PERFORM ANY ACTS INCLUDt=D IN THE WORK,
TRANSPORTATION DELAYS OR BREACH OF WARRANTY unless the defect in installation was due to the
gross negligence or intentional misconduct of Security 101, its employees or agents.
D. Customer acknowledges that no warranty, representation, or statement by any representative of
Security 101, not stated herein shall be binding.
E. Customer agrees to give Security iD1 written notice of gray default hereunder and Security 101 shall
have the opportunity to cure any such default for 10 business days after receipt of such notice; if Security 10i
fails to cure such default within the aforesaid period, then Security 10i shall be deemed in default.
2. Limitation of Liabili
A. The parties understand and agree that: (a) the Work is intended to constitute or be part of a
security system designed to reduce risk of loss for the Customer; (b} Customer has selected, accepted and
approved the Work; (c) neither Security 101, nor any person engaged by Security 1D1, to per#orm any portion
of the Work shall be construed to be an insurer of the person or property of Customer, its employees, agents,
contractors, assigns, customers, invitees or any other person at the kocation(s) where the work is performed
(the "Location(s)"; and Security 1D1, MAKIFS NO GUARANTEE OR WARRANTY OF ANY KIND THAT THE
WORK (INCLUDING ANY MATERIALS AND EQUIPMI=NT SUPPLIED AS PART OF THE WORK) WILL
AVERT OR PREVENT OCCURRENCES OR CONSEQUENCES THEREFROM WHICH THE WORK iS
DESIGNI=D TO DETECT OR AVERT BUT SECURITY 101 L70ES WARRANT THRT ALL WORK WAS
PERFORMED IN A GOOD AND WORKMANLIKE MANNER.

3. Design Development Programming, Drawings, Ownershp, and Software Licenses}.
A. Design Development. Customer and Security 101 have together developed or will develop the design
and specifications for the Work. When Customer has accepted or approved the design and specifications, the
sole and final responsibility for the design and specifications shall he Cus#omer's. Security 101 shall have na
liability to Customer for any loss or damage claimed against or incurred by Customer or any employee, agent
or 4icensee of Customer because of any defect or alleged defect in the design or specifications or the failure of
the equipment or the Work #o pertorm as desired or anticipated by Customer.
B. Programming. Security system programming is an essential element of the systems operation
and performance. Customer acknowledges and agrees that security system programming is an ever-changing
process, and in significant part subject to Customer's day-to-day and other business operations and
parameters and the changes or modifications to #hem. Ta the extent required by the design and specifications
of the Work, Security 101, shall;
i. Load a configuration program that will allow Customers security
system to perform basic access control operation, door timers, lock timers and basic alarm #unctions: and
ii. Provide a total number of hours of personnel training regarding
Customer's Security system as specified in the Agreement; if a number of hours is not specifed, the total
number of hours of training shall not exceed fifteen {15). Personnel training may include training of operators,
administrators, or other personnel designated by Customer. Training subjects shall be dictated by Work
specifcations but may include password configuration, door identification, #imers, alarms and reports.
Additional training, programming or related consulting services provided by Security 101, at Customers request
shall be provided at the then current fee schedule.
C. Drawings.
i. To the extent required by the design and specifications of the
Work, Security 101, shall provide reasonable descriptions of the functional operation of the system(s) being
provided by the Work by furnishing riser diagram drawings.
ii. Security 101, may provide, at Customers request and at an above
contract cast, detail drawings utilizing industry standard electronic floor plans.
D. Ownership. Prior to completion of the Work, any drawings, specifications aid equipment lists
developed in connection with the design for the Work shall remain the property of Security 101, whether the
Work for which they were made is executed or not. Drawings, specifcations and equipment lists shall be
re#urned to Security 101, on demand at any time prior to substantial completion of the Work. Prior to substantial
completion of the Work, any drawings, specifications and equipment lists: {a) shall be considered confidential
information a.nd trade secrets of Security 101, unless they consti#ute information which is exempted or excluded
by law from confidential and trade secret status; (b) shall not be used by Customer on other projects ar
extensions of a project included within the Work, ar to obtain other bids, except by agreement in writing and
with appropriate compensation to Security 101 ;and (c) are not to be reproduced in whole or in part without
prior written consent of Security 101, unless required by law. Upoh substantial completion of the Wark and final
payment in full by Customer, ownership of drawings, specifications and equipment lists shall become
Customer's. Security 101 shall not disclose any such drawings to any third party without prior written approval
of the Customer's Director of Aviation,
E. Software License(s). Software required to operate systems are governed by the License
Agreement provided by the system manufacturers}.

4. Payment Terms
Customer shall issue payment thirty (34) days after invoice. Invoice shall not be issued until Work has been
finally accepted by the Cirector of Aviation after substantial completion as described in Section 5.
Under no circumstances may Customer make payments directly to any subcon#ractor, material supplier,
taborer, or any other person performing work or furnishing material under the Agreement without the prior
written consent of Security 101.
5. Service Plan
A. The equipment installed by Security 101 shall be covered 6y a Warranty Plan for a period of 12
months parts warranty, 12 months labor warranty following the date of substantiai completion of the
system.
l3. The system will be considered substantially completed a# the time which the customer receives
beneficial use of the system ar is able to receive beneficial use of the system, as determined by the
Customer and in agreement with Security 101.
C. The warranty plan will cover alt parts and labor during working hours {Monday-Friday from 8:30AM to
S:OOPM, Central Standard Time {excluding holidays). Service can be performed on weekends or after
hours at RD3 Corporation standard published rates.

By signature above the porkies each represent that they are authorized to sign and execute this binding
agreement. This acceptance indicates understanding of the complete proposal, including clarifica#ions,
general system description, design, programming, drawings, ownership and software licenses and the
Warranty Service Plan herein. This system proposal is intended to provide the client partial protec#ion of the
designated premises. Its design should be understood to represent a compromise between the costs,

INSURANCE REQUIREMENTS
CONTRACTOR'S LIABILITY INSURANCE
A. Contractor shall not commence work under this agreement until all insurance required
herein has been obtained and approved by the City's Risk Manager ar designee.
Contractor must not allow any subcontractor to commence work until all similar insurance
required of the subcontractor has been so obtained.
B. Contractor shall furnish to the Risk Manager or designee two (2) copies of Certificates of
[nsurance, showing the following minimum coverage by an insurance company(s)
acceptable to the Risk Manager or designee. The City must be named as an additional
insured for the General Liability policy, and a blanket waiver of subrogation in favor of the
City of Corpus Christi is required on all applicable policies.

C. In the event of accidents of any kind, Contractor shall furnish the Risk Manager with
copies of all reports of such accidents within ten (10) days of the accident.
II. ADDITIONAL REQUIREMENTS
A. Contractor must obtain workers' compensation coverage through a licensed
insurance company in accordance with Texas law. The contract for coverage
must be written on a policy and endorsements approved by the Texas
Department of Insurance. The coverage provided must be in amounts sufficient
to assure that all workers' compensation obligations incurred will be promptly
met.
B. Contractor's financial integrity is of interest to the City; therefore, subject to
Contractors right to maintain reasonable deductibles in such amounts as are
approved by the City, Contractor shall obtain and maintain in full force and effect
for the duration of this Contract, and any extension hereof, at Contractor's sole
expense, insurance coverage written on an occurrence basis, by companies
authorized and admitted to do business in the State of Texas and with an A.M.
Best's rating of no less than A-VII.
C. The City shall be entitled, upon request and without expense, to receive copies of
the policies, declarations page and all endorsements thereto as they apply to the
limits required by the City, and may require the deletion, revision, or modification
of particular policy terms, conditions, limitations or exclusions (except where
policy provisions are established by law or regulation binding upon either of the
parties hereto or the underwriter of any such policies). Contractor shall be
required to comply with any such requests and shall submit a copy of the
replacement certificate of insurance to City at the address provided below within
10 days of the requested change. Contractor shall pay any costs incurred
resulting from said changes. All notices under this Article shall be given to City at
the following address:

D. Contractor agrees that with respect to the above required insurance, all
insurance policies are to contain or be endorsed to contain the following required
provisions:
• Name the City and its officers, officials, employees, volunteers, and elected
representatives as additional insured by endorsement, as respects operations
and activities of, or on behalf of, the named insured performed under contract
with the City, with the exception of the workers' compensation and professional
liability polices;
• Provide for an endorsement that the "other insurance" clause shall not apply to
the City of Corpus Christi where the City is an additional insured shown on the
policy;
• Workers' compensation and employers' liability policies will provide a waiver of
subrogation in favor of the City; and
• Provide thirty (30) calendar days advance written notice directly to City of any
suspension, cancellation, non-renewal or material change in coverage, and not
less than ten (10) calendar days advance written notice for nonpayment of
premium.
E. Within five (5) calendar days of a suspension, cancellation, ar non-renewal of
coverage, Successful Bidder shall provide a replacement Certificate of Insurance
and applicable endorsements to City. City shall have the option to suspend
Contractor's performance should there be a lapse in coverage at any time during
this contract. Failure to provide and to maintain the required insurance shall
constitute a material breach of this contract.
F. In addition to any other remedies the City may have upon Contractor's fiailure to
provide and maintain any insurance or policy endorsements to the extent and
within the time herein required, the City shall have the right to order Contractor to
stop work hereunder, andlor withhold any payment(s) which become due to
Contractor hereunder until Contractor demonstrates compliance with the
requirements hereof.
G. Nothing herein contained shall be construed as limiting in any way the extent to
which Contractor may be held responsible far payments of damages to persons
or property resulting from Contractor's or its subcontractor's performance of the
work covered under this agreement.
H. It is agreed that Contractor's insurance shall be deemed primary and non-
contributory with respect to any insurance or self insurance carried by the City of
Corpus Christi for liability arising out of operations under this contract.
It is understood and agreed that the insurance required is in addition to and
separate from any other obligation contained in this contract.
