Statement of Work for Hoiiy PS EOC Fleet and Northwest Library Network Upgrades This Statement of Work ("SOW') is made effective November 23, 201D ("Effective Date"} by and between Calence, LLC dba Insight Networking ("Insight Networking"} and City of Corpus Christi {"CoCC" or "Customer") and is delivered pursuant and subject #o the terms and conditions of the Contract for Products and Related Services, DIR Contract No. DIR-SDD-1369 dated May 13, 2010 (the "Agreement") between Insight Networking and State of Texas Department of Infarmatian Resources {"DIR"}. This SOW will be incorporated by reference into the Agreement and become a part of the Agreement upon execution by both parties. Unless otherwise indicated, capitalized terms used herein that are defined in the Agreement will have the same meanings as in the Agreement. in the event of any conflict between this SOW and the Agreement, the Agreement will control. Objectives Insight Networking will meet the following Services objectives: • Design and implement switch upgrades for Holly PS, EOC, Fleet and Northwest Library locations. This proposed solution coincides with the direction of the network assessment (Phase I) performed for the City in February 2009. Standardization of the care switch gear amongst stratigic locations will allow the City to create a higher performance, mare flexible, fault tolerant, hierarchical design. This helps to devlop the physical framework that will support the City's advanced communications current and future needs. As part of this proposal, Cisco will also include $10,000 worth of learning credits. These may be redeemed with a large Cisco learning partner community. All rights and title to Copyright Materials and Trade Secret Materials shall belong to Insight Networking; subject to the license expressly granted in this SOW. All rights and title to Insight Networking Resources shall belong to Insight Networking, without any license with respect #hereto Customer or any third party. All rights not expressly granted by Insight Networking hereunder are reserved by Insight Networking. Subject to Customer's performance of its obligations under this SOW, including its payment obligations, Insight Networking hereby grants to Customer a nonexclusive, nontransferable, limited license {without the right to grant sublicenses}, to use, execute, copy and create derivative works of the Copyright Materials, and to use Trade Secret Materials: (i) solely for Customer's internal business purposes; (ii} not for the benefit of, or access by, any third party other than Customer's contractors who are subject to written agreements consistent with this SOW and who act solely for the benefit of Customer; and {iii) subject to alt other provisions of the Agreement and this SOW. For the purposes of this SOW: • "Insight Networking Resources" means all software, documentation, information and materials used by Insight Networking, or by Insight Networking's contrac#ors on behalf of Insight Networking, in Insight Networking's performance under this SOW. Insight Networking 5 Statement of Work No. 201011498-s1 Version 1 November 23, 2010 Statemenf of Work for HoIIy PS EOC Fleet and Norfhwesf Library Nefwork Upgrades • "Copyright Ma#erials" means all works of authorship recorded or copied in the Developed Works, and which may include designs, plans, blueprints, manuals, diagrams, activity reports, security assessments, and other written materials. • "Trade Secret Materials" means all non-public information that is provided to Customer under this SOW, and which may include patent applications, trade secrets, technical and non-technical data, business methods and models, drawings, processes, formulas, ideas, concepts, know-how, techniques, sketches, models, inventions, processes, algorithms, formulas, and including information regarding experiments, developments, designs and specifications. Assumptions and Requirements The following assumptions and requirements apply for this Services engagement: • Fleet switch integrationls must be compatible with VSS requirements to support dual uplinks. • Project estimates assume that CoCC will provide the Insight Networking team with the information needed to complete the review and planning phase at the start of the project (e.g., current network and inventory documentation}. • Project estimates assume the network is stable and no immediate triage/remediation efforts are required prior to the integration of the new network infrastructure. • CoCC will assist with the primary coordination and scheduling of internal departmentllnsight Networking meetings with CoCC support and management personnel. • CoCC will provide site contac#s for each CoCC location. Each such contact will provide insight Networking with sufficient detail regarding hislher site, and will coordinate or perform required onsite work, as reasonably requested by Insight Networking and CoCC IT, for the duration of the project. • Work estimates assume that CoCC's personnel can answer questions related to network facilities including rack space, power, cable plant and air conditioning. • Work estimates assume Insight Networking will be able to conduct network discovery scans on subnets affected by migration. • CoCC will provide network management information, where applicable (Syslog, NTP, SNMP, DNS, DFICP Scopes, etc.}. • CoCC will coordinate and facilitate communications with supporting carriers and Internet service providers (ISPs). • CoCC will provide their Cisco Customer ID and regional SE contact{s) to support advanced troubleshooting as deemed appropriate with the network infrastructure components. • Cabling plant (UTP and Fiber) management, administration and troubleshooting will be conducted by CoCC. • CoCC will provide primary support and administration of the network security infrastructure (firewalls, IDS, SPAN Ports, etc.). • CoCC will provide copies of technical manuals, as needed. • CoCC will be responsible for any server, workstation, application and printer IP address changes. • CoCC will be responsible for testing all required applications across the new network infrastructure. Insight Networking will modify the network infrastructure based on the results of the application tests. • CoCC will be responsible far the migration of users and servers from the existing network to the new network. Insight Networking will support the migration to ensure proper network functionality. Insight Networking 6 Statement of Work No. 2o10i 1098-s1 Version 1 November 23, 2010 Statement of Work for Ho!!y PS EOC Fleef and Northl~esf Library Network Upgrades • CoCC will facilitate and coordinate user acceptance activities (UAT) during the production validation of the migration phase. • CoCC is responsible for providing adequate power, ventilation, cabling, and rack space for the new equipment within the required project timelines. This equipment will run in parallel with the existing network infrastructure. • CoCC wi[I provide adequate staging facilities to store, burn-in, stage, and configure the new infrastructure. • CoCC and Insight Networking will develop an agreed upon deployment timeline. Any interruptions to this timeline may result in a change order to the lnsight Networking Implementation Services quote. • CoCC will provide a single point of contact for all approvals, communications, change control, change orders and other activities with CoCC userllT communities. • All software, hardware, network wiring, permits, licenses and rights of way necessary for the completion of this project will be acquired andlor installed by CoCC in a timeframe that allows lnsight Networking to complete or meet the project-specific milestones. • CoCC and its employees, contractors, and agents will: (a) cooperate with any reasonable request of Insight Networking, (b) provide input throughout the project and will review progress at review meetings requested by Insight Networking; and (c) provide Insight Networking with access to all of CoCC's information, documentation and technology, necessary for Insight Networking to perform the Services in accordance with this Statement of Work/Standalone Services Agreement, including a list of all Customer and third-party contacts necessary for Insight Networking to do so. Such cooperation, input, and access are critical to this project, and CoCC's representation at all review meetings is essential. CoCC will ensure that the Insight Networking project staff is given access to all necessary facilities and workspace, and is provided all furniture, supplies and equipment (telephones, faxes, LAN connectivity, printer access, dial-out modem lines, passwords, keys, etc.) required to successfully perform, troubleshoot, and complete the Services for the duration of the Services. In addition, CoCC will ensure tha# the work environment is free of hazardous materials and free from asbestos, and that all Insight Networking personnel are provided with all necessary safety equipment and training while on CoCC's or its customer's site. • CoCC is responsible for providing adequate and secure onsite storage for all deliveries. • CaCC is responsible for: (a) Back-up andlor data migration of existing data unless otherwise agreed to by Insight Networking; (b) Computer system and network designs; and (c) Component selection as it relates to the performance of the computer system andlor the network. All Services will be performed over a consecutive timeframe unless otherwise provided herein or agreed to by Insight Networking in writing. Insight Networking will schedule resources upon receipt and accep#ance of a fully executed Statement of WorklStandalone Services Agreement and a Purchase Order (to the extent required) from CoCC. Insight Networking will use commercially reasonable efforts to take into account CoCC's schedule, but in all events the performance of the Services is subject to the availability of Insight Networking personnel and resources, as determined by Insight Networking. Any cancellations or changes in a project schedule that are requested by CoCC and that do not proximately result from an act or omission by Insight Networking will be subject to a charge of 4 hours billed at the rate of $153 per hour. • Any onsite skills transfer that takes place during this project will not replace the manufacturer's formal system implementation and administration classes. • No formal user training is included in this scope of work. User training is available far an additional cost. • CoCC wi[I communicate any issues or concerns with respect to the Services or Developed Works in a timely manner. Insight Networking 7 Statement of Work No. 201011098-s1 Version 1 November 23, 2010 Statement of Work for Holly PS EOC Fleet and Northwest Library Network Upgrades • Any work performed around undocumented data flows will constitute addi#ional out-of--scope work. • Work estimates assume the Services will be completed within the duration stated in the Timeframes section below. Insight Networking is not responsible for delays or repeated tasks caused by factors outside Insight Networking's control. These factors include availability of Customer personnel, equipment and telecommunication provider services. CoCC will compensate Insight Networking for any out-of--scope work requested by CoCC on an hourly basis at Insight Networking's standard hourly rates (unless otherwise agreed to in writing by the parties). • Insight Networking has no obligation to, and will not, install, mount, affix, screw, or otherwise fasten any cable, hardware, or other product to any building or structure (inside or outside), and Insight Networking has no obligation to, and will not, run cable above, under, behind, or through any ceiling, floor, or wall of any building or structure. To the extent that any such services are required, such services will be performed by another person or entity engaged directly by CoCC, • These Services are subject to credit approval by Insight Networking. • This offer of Services will be good for 30 days. • Any changes to the scope andlar assumptions will require joint written approval. This may extend the duration of the engagement and/or require additional resources, resulting in additional cost to CoCC. Timeframes Insight Networking estimates that the Services described herein will be completed within 6 weeks after the s#art of the project. Fees Consulting Fees • EOCIFIeetlHoily - The value of the services for the EOC/FleetlHolly portion of the project is $50,254. but the services wil[ be provided to CoCC at no charge. • Northwest Library - The value of the services for the Northwest Library portion of the project is $21,460, but the services will be provided to CaCC for a fixed fee of $14,460. Pricing Assumptions • Consulting Fees pricing does not include any necessary hardwarelsoftware costs, and expenses are not reimbursable. • Expedited shipping, if applicable, is not included. • All prices are in U.S. dollars. • The work to be performed will be completed during normally scheduled working hours (8:00 A.nn. to 5:00 P.M. local time Monday through Friday), excluding Insight Networking observed holidays. Payment • City of Corpus Christi has informed Insight Networking that City of Corpus Christi will be procuring the Services through a lease (the "Lease") with Key Government Finance ("Lessor"). Accordingly, Lessor and City of Carpus Christi will be jointly responsible for the payment to Insight Networking S#a#ement of Work No. 201091498-s1 Version 1 November 23, 2010 Statement of Work for Holly PS ESC Fleet and Northwest Library Network Upgrades Insight Networking of all fees, expenses, and other amounts due under this Statement of Work. Insight Networking will invoice Key Government Finance monthly for all such fees, expenses, and amounts. Payment is due upon execution of the certificate of acceptance document (the "Certificate") in connection with the Lease. In the event that the Certificate is not executed within sixty (60} days of the completion of the Services, then Insight Networking will invoice City of Corpus Christi for all such fees, expenses, and other amounts. Payment is due upon receipt of invoice. Insight Networking shall be entitled to receive the amount due, plus interest thereon at the rate of 1.5% per month (or such lower rate as shall be the highest permissible contract rate under applicable law} on all amounts that are not paid on or before the date due. • City of Corpus Christi and Lessor shall be responsible for, and shall pay, all sales, use andlor other taxes (including international, federal, state, municipal or otherwise, but excluding any Insight Networking income, employee or revenue taxes) that are levied or imposed as a result of Insight Networking's performance of the Services, and shall promptly reimburse Insight Networking for any such taxes that Insight Networking is required to pay or collect. Change Management Insight Networking reserves the right to increase the fees and other amounts due to it hereunder in the event any of the assumptions or requirements set forth in this SOW are unperformed or incorrect, or if Customer requests Insight Networking to provide additional services outside the scope of Services. In any such event, Insight Networking will have no obligation to perform the affected Services or any additional services unless both parties have agreed, in writing, to the increased fees andlor the additional scope, as applicable, in the farm of an addendum to this SOW. Purchase Order Number: IN WITNESS WHEREOF, Customer and Insight Networking have executed this SOW effective as of the Effective Date. Customer, by signing below, expressly acknowledges and affirms that Customer has carefully read and agrees ko this entire SOW, and that this SOW is a binding agreemenk between Insight Networking and Customer.
