Box 9277, Corpus Christi, Nueces County, Texas 78469-9277 {City) acting through its duly authorized City Manager or Designee (Director of Engineering Services) and RVi Planning + Landscape Architecture + Graphic Design, a Texas corporation, (Landscape Architect- LA) hereby agree as follows: 1. SCOPE OF PROJECT Oso Creek I Oso Bay Area Park Master Plan fProiect No. 3380 -The objective of the Project is the design of a city interpretive 1 conservation nature park at Oso Creek 1 Oso Bay Park located near Holly Road and Wooldridge Road at Oso Bay in Corpus Christi. The park site is 162 acres owned by the City of Corpus Christi. The primary purpose of the project is to educate the public on the importance of coastal natural resources. The park will include an interpretive conservation center, parking lots, trails, interpretive and directional signage, wetland and habitat enhancements and viewing areas, teaching gardens, amphitheatre, picnic area, overlooks, pedestrian bridges / boardwalks, beach I swimming access, kayak /canoe launch, informa#ion kiosks, campgrounds, restrooms, bike racks and other amenities. The park will be a resource for area schools to be used for environmental programs. The park will be a site on the birding and paddling trails. Park development will employ green building practices and may seek LEED certification. The work included in this agreement shall include pre-design services, master planning and design and construction documents, bidding services and construction administration services for Phase 1 Trails as described in Attachment A. 2. SCOPE OF SERVICES The LA hereby agrees, at its own expense, to perFarm professional services necessary to prepare master plans and prepare plans specifications, and bid and contract documents. In addition, LA will provide monthly status updates (project progress ordelays, gantt charts presented with monthly invoices) and provide contract administration services, as described in Exhibit "A" to complete the project. Work will not begin on Additional Services until requested by the LA (provide breakdown of costs, schedules), and written authorization is provided by the Director of Engineering Services. 3. ORDER OF SERVICES The LA agrees to begin work on those authorized Basic Services for this contract upon receipt of the Notice to Proceed from the Director of Engineering Services. Work will not begin on any phase or any Additional Services until requested in writing by the LA and written authorization is provided by the Director of Engineering Services. The Director of Engineering Services may direct the LA to undertake additional services or tasks provided that no increase in fee is required. Services or tasks requiring an increase of fee will be mutually agreed and evidenced in writing as an amendment to this contract. LA shall notify the City of Corpus Christi within three {3} days of notice if tasks requested requires an additional fee. 4. INDEMNITY AND INSURANCE LA agrees to the mandatory contract indemnification and insurance requirements as set forth in Exhibi# "B". 5. FEE The City will pay the LA a fee, as described in Exhibit "A", for providing services authorized, a total fee not to exceed $264,180.00 {Two Hundred Si Four Thousand One Hundred Eighty Dollars and Zero Cents). Monthly invoices will be submitted in accordance with Exhibit "D". 6. TERMINATION OF CONTRACT The City may, at any time, with orwithout cause, terminate this contract upon seven days written notice to the LA at the address of record. In this event, the LA will be compensated for its services on all stages authorized based upon LA and City's estimate of the proportion of the total services actually completed at the time of termination. 7. LOCAL PARTICIPATION The City Council's stated policy is that City expenditures on contracts for professional services be of maximum benefit to the local economy has been waived for this project. The LA estimates that 50% of the work described herein will be performed by a labor force residing within the Corpus Christi Metropolitan Statistical Area (MSA). 8. ASSIGNABILITY The LA will not assign, transfer or delegate any of its obligations or duties in this contract to any other person without the prior written consent of the City, except for routine duties delegated to personnel of the LA staff. If the LA is a partnership, then in the event of the termination of the partnership, this contract will inure to the individual benefit of such partner or partners as the City may designate. No part of the LA fee may be assigned in advance of receipt by the LA without written consent of the City. OWNERSHIP OF DOCUMENTS All documents including contract documents.{plans and specifiications), record drawings, contractor's field data, and submittal data will be the sole property of the City, may not be used again by the LA without the express written consent of the Director of Engineering Services. However, the LA may use standard details that are not specific to this project. The City agrees that any modification of the plans will be evidenced on the plans, and be signed and sealed by a professional LA or consultant prior to re-use ofi modified plans. 10. DISCLOSURE OF INTEREST LA further agrees, in compliance with City of Corpus Christi Ordinance No. 17112, to complete, as part of this contract, the Disclosure of Interests form attached as Exhibit "C". SCOPE OF SERVICES A. BASIC SERVICES 1.1 The objective of the Project is the design of a city interpretive conservation nature park at Oso Creek/Oso Bay Park located near Holly Road and Woolridge Road at Oso Bay in Corpus Christi. The park site is 162 acres owned by the City of Corpus Christi as shown on Exhibit A-1. The primary purpose of the project is to educate the public on the importance of coastal natural resources, The park will include an interpretive conservation center, parking lots, trails, interpretive and directional signage, wetland and habitat enhancements and viewing areas, teaching gardens, amphitheatre, picnic area, overlooks, pedestrian bridges boardwalks, beach swimming access, kayak canoe launch, information kiosks, campgrounds, restrooms, bike racks and other amenities. The parks will be a resource for area schools to be used for environmental programs. The park will be a site on the birding and paddling trails. Park development will employ green building practices and may seek LEED certification. 1.2 The financial, physical, time and other parameters of the Project are: 1. Funding for the project comes from multiple sources including: a. City of Corpus Christi 2008 Bond funds--$2,700,000 b. Texas Parks and Wildlife Outdoor Recreation Grant--$500,000 {TPWD Project #48-001095} c. National Recreational Trails Fund--$200,000 (TPWD Project #RT0806) d. The City is currently pursuing additional grants and funding for the project. 2. The park may be developed in phases as determined by the Park Master Plan process. The Texas Parks and Wildlife grant and the National Recreation Trails grant have project completion deadlines of july 15, 2012 and August 31, 2012 respectively. Deadline extensions have not yet been requested. 3. Arts Funding: City has a 1 %a% funding requirement for arts and culture. 1.3 The Consultant shall include the subconsultant services of: 1. Archaeology Consultants, Inc.-Archeologist Additional Consultants will be identified as needed at the completion of the Master Plan Phase. 1.4 The Consultant shall rely on the service and information provided by the following consultant that shall be retained by the City: 7. Geotechnical Engineer MASTER PLAN PHASE 2.1 PRE-DESIGN AND SITE ANALYSIS SERVICES 1. Compile and review existing available site data and information from the City including: a. Boundary survey b. Topographic survey (land design - LIDAR data ) c. State land boundary survey d. Phase 1 Environmental survey e. Phase I I (maybe needed if there is a well site) f. Pipeline survey to the well (if the well is there) g. Master plans to review: i. Transportation plan ii. Drainage plan iii. Sewer plan iv. Water plan v. Area development plan vi. Oso Parkway Plan vii. Hike and bike trail plan - viii. Preliminary and final plats on adjacent private properties 2. Coordinate pre-design conference with Client and entire consultant team to discuss goals and objectives, project coordination, verify information and project schedule. 3. Conduct site visits to collect pertinent first-hand knowledge of the land, its condition, context, and adjacent land uses. 4. Texas Parks and Wildlife Department review f. TCEQ Stormwater Pollution Prevention Plan 5. Compile and review special studies described in B. Additional Services. 6. Prepare Site Analysis diagram to determine opportunities and constraints of the site and facilities existing conditions. 7. Review analysis with City staff and incorporate input. 2.2 PARK AND INTERPRETIVE CENTER PROGRAMMING SERVICES 1. Meet with City staff to identify project stakeholders, verify public input process, and review maintenance and operation issues. 2. Conduct stakeholder interviews meetings with 4-6 key individuals and up to 4 groups arranged by City staff. Stakeholder meetings to be grouped on no more than 3 days. 3. Prepare preliminary program and site use diagrams to be used as a basis for Project understanding in design workshop or open house, 4. Develop preliminary interpretive program exploring environmental education and wetland restoration themes and strategies. 5. Conduct interactive design workshop or open house to discuss stakeholder priorities, site issues and explore park and interpretive center design alternatives 6. Prepare on-line and media strategies to complement the public input process. 7. Based on community and City staff input, prepare written program describing interpretive center facility, outdoor recreation and environmental education opportunities and design character for the park. and interpretive center development. 8. Meetings for 2.~ and 2.2 with the City of Corpus Christi and public presentations are limited to 4 (excluding stakeholder interviews). Prepare Preliminary Conceptual Master Plan based on the park site analysis findings and interpretive center facility program. Support master plan with images and sketches to illustrate park and interpretive center character and environmental educational themes. Conceptual master plan will illustrate the following elements: a. Definition of major park and interpretive center facility functions and features including facilities, activity and outdoor use areas b. Existing site features to be preserved enhanced c. Views and screening d. Edge definition and treatment e. Entry, circulation, parking and service areas f. Site furnishings g. Environmental graphics h. Opportunities for art 2. Develop sustainable strategies to guide development of the park and interpretive center facility. Evaluate impacts of LEED ratings on project construction and live cycle costs. 3. Develop strategies for on-going maintenance and operation. 4 Review Preliminary Conceptual Master Plan and strategies with City staff and incorporate comments. S. Prepare estimates of probable costs and funding, phasing and implementation strategies. 6. Refine Conceptual Master Plan with all supporting documents including a defined Phase 1 for the project. Present at community forum. 7. Finalize Conceptual Master Plan package incorporating City staff and Community forum input and prepare final documents in report format (hard copies and CD} and large format rendered plan for presentation purposes. Final documents will include the overall site plan, enlarged plans of interpretive center facility and other special use areas, elevations and character sketches of interpretive center facility and park features including trails, bridges, boardwalks, environmental graphics and interpretive elements, site furnishing. 8. Present final Conceptual Master Plan including defined Phase 1-Trails and defined Phase 2 to Park's Board and City Council. 9. Meetings with the City of Corpus Christi and public presentations are limited to 4. Additional meetings and presentations will be considered extra services. Phase 1 of the project shall include trails, pedestrian bridges, overlook , signage, benches, and picnic tables as funded by the National Recreational Trails Fund Agreement and TPWD Outdoor Recreation Grant with a construction budget of approximately $650,000. 2. Determine additional base and environmental data such as additional biological survey for over-water project features (i.e. piers), geotechnical investigation and structural engineering required for the project. These services shall be considered additional service. 3. Based on the approved Conceptual Master Pian, the Consultant will prepare schematic design services for the Phase 1-Trails including; a. Schematic Design Plan -prepare schematic design studies including initial trail alignment, sections and elevations illustrating the general scope, scale and relationship of project elements including: i. Trails ii. Pedestrian bridges and overlooks iii. Site furnishings including directional signage, benches, and picnic tables b. Prepare opinion of probable cost in sufficient detail to allow City to make informed decisions about the budget and scope of the project. Opinions of probable costs are based on experience and judgment of the Consultant and are merely opinions. The Consultant does not warrant that actual costs will not vary from those opinions because among other things, the Consultant has no control over market conditions. c. Prepare complete Schematic Design Package for Phase 1--Trails including design studies and estimate of probable costs and submit to City for review and approval. Deliverables include two complete sets of design package documents. 3.2 DESIGN DEVELOPMENT PHASE {60% Submittal} 1. Based on the Schematic Design Package for Phase 1-Trails approved by the City the Consultant will prepare Design Development Drawings, Calculations and Outline Specifications for the project components. a. The Design Development Drawings and all subsequent phases shall be limited to those project components and construction budget approved by the City in the Schematic Design Phase. The Design Development Drawings shall include site plan (that will be used as the base plan for construction drawings), sections, elevations and typical details to fix and describe the size and character of the project components. c. Prepare refined studies detailing in terms of appearance, form, color and materials, specific project improvements that may be unique or of special interest to the City. 3. Prepare opinion of probable cost in sufficient detail to permit the City to make informed decisions, should adjustments in the project scope be required. 4. Review Process: the City staff will review progress with the Consultant on an as- needed basis throughout design development and the Consultant wil! make revision accordingly. 5. Deliverables: one {1) of complete drawings, calculations, and estimates of probable cost. 3.3 CONSTRUCTION CONTRACT DOCUMENT PHASE (90%_& 100% Submittals} 1. Based on the approved Design Development Documents by the City, the Consultant shall prepare Construction Contract Documents including: a. Plan, section, elevation, and typical detail drawings, that set forth in reasonable detail the requirements for construction of the project components, including depiction of their size, shape, dimensions, and locations; and b. Specifications that identify the materials, equipment, workmanship and quality standards (or performance criteria), for project components. 2. Prepare project description, bid proposal and technical specifications for insertion in the Project Manual prepared by City staff. 3. Confirm and update project schedule based upon Contract Document completion date, City review period and anticipated bid period. 4. Update estimate of probable cost based on final drawings and specifications prepared under same criteria used in the Design Development Phase. 5. Provide one (1) set of pre-final plans, specifications and bid documents (90% submittal electronic and full-size hard copies) and updated estimate of probable costs to the City Staff for review. Compile comments and incorporate any requirements into the documents. 6. Provide one (1) set of the final (100%) plans {unsealed and unstamped- electronic and full-size hard copies using City Standards as applicable) for review City's final review. Assimilate all final review comments (if any}. 8. Upon approval by the Director of Engineering Services, provide one (1) set of the final plans and contract documents (electronic and full-size hard copies using City Standards as applicable}suitable for reproduction. 9. Meetings with the City of Corpus Christi and presentations to the board for 3.1, 3.2 and 3.3 are limited to 5. Additional meetings and presentations to community groups will be considered extra services. 3.4 BIDDING PHASE ] . The City will administer the bidding process for the Project. The Consultant shall participate in a pre-bid conference with prospective bidders and shall assist the City by: a. Provide recommended pre-bid meeting agenda items b. Providing responses to bidders' design related questions; c. Correcting or clarifying the Construction Contract Documents; and d. Preparing any addenda for issuance to bidders. 2. Upon receipt of the bids, the Consultant, will attend the bid opening, assist the City in evaluating the bids, prepare bid tabulation, investigate the qualifications of the contractors and any proposed subcontractors, and make a recommendation. 3.5 CONSTRUCTION CONTRACT OBSERVATION PHASE 1. This Phase may commence with the award of the Construction Contract, which shall detail the work to be performed by the Contractor (the "Construction Work"). The Construction Contract Administration Phase shall terminate upon receipt of all closeout documentation and deliverable and certification of final payment of the Construction Contract by the City. The contracting plan will be based on a single general contractor (the "Contractor") and a single phase of construction. 2. The Consultant shall visit the site to the extent necessary to observe, document and report to the City whether the project is being constructed in general accordance with the contract documents. The total number of such City requested and periodic visits included in these Basic Services is 8. 3. The Consultant shall, as necessary, consult with the City. All instruction to, and contact with, the Contractor shall be through the City's designated representative. The Consultant shall have authority to act on behalf of the City only to the extent provided in the Construction Contract Documents unless otherwise notified in writing by the City. The Consultant shall render interpretations necessary for the proper execution or progress of the Construction Work with reasonable promptness upon receipt of a written request by the City, and shall render written decisions, within a reasonable time. 5. The Consultant shall not have control or charge of, and shall not be responsible for: construction means, methods, techniques, sequences or procedures; safety precautions and programs in connection with the Construction Work; acts or omission of the Contractor or Subcontractors of any tier or any other persons performing any of the Construction Work or failure of any of the aforementioned to carry out the Construction Work in accordance with the Construction Contract Documents. 6. The Consultant shall at all times have access to the Construction Work, whether the same is in the preparation stage or in progress. Interpretation and decisions of the Consultant shall be consistent with the intent of and reasonable inferable from the Construction Contract Documents and shall be in written and/or graphic form. The Consultant shall review or take other appropriate action upon receipt of the Contractor's submittal's including shop drawings, product data and samples. 7. The Consultant shall have the authority, with the concurrence of the City, to reject work that does not conform to the Construction Contract Documents. When, in the Consultant's reasonable opinion, it is necessary or advisable in order to implement the intent of the Construction Contract Documents, the Consultant shall, with the City's prior approval, have authority to require special inspection or testing of the Construction Work in accordance with the provisions for the Construction Contract Documents, whether or not such Construction Work has been fabricated, installed, or completed. 8. Upon determination by the City that the Construction Work has been substantially completed the Consultant will issue a Certificate of Substantial Completion. The Consultant will perform a site observation. As a result of this observation, the Consultant will prepare a punch list of the items needing correction. After the Contractor completes the required corrections, and notifies the Consultant, the Consultant will notify the City in writing that the Construction Work has been performed in general according to the plans and specifications. The City will accompany the Consultant and the Contractor on the final walkthrough to ensure that the Construction Work has been completed in accordance with the Contract Documents and to the satisfaction of the City, 9. The extent of the duties, responsibilities, and limitations of authority of the Consultant during the construction shall not be modified or extended without the prior written consent of the City and the Consultant. ADDITIONAL SERVICES 1 .1 SURVEYS AND STUDIES: The follow surveys and studies shall be prepared to support of the Master Plan, Phase 1-Trails and subsequent construction phases of the project. Additional studies and surveys may be indentified during the Master Plan Phase with scope and fees to be determined. 1. Wetlands Delineation Survey: use current methods of the U.S. Army Corps of Engineers (COE) and available aerial photography, soils data, topographic data, TAMU-CC historical tide data, etc. to identify wetlands on the subject property. The objective of the site survey will be to map and estimate the size of wetlands on the property that are subject to the jurisdiction of the COE. Prior to conducting field work, examine aerial photography, topographic maps and other information to determine the location of potential wetlands on the property. Also analyze historical tide data and Corps of Engineers decision documents to estimate the Annual High Tide Line (ARYL} and Mean High Water Line (MHWL). The AHTL is the upper limit of Corps Sec. 404 jurisdiction in tidal waters and the MHWL is the upper limit of jurisdiction for Sec. 10 in tidal waters. Conduct atwo-day field survey to delineate wetlands, the AHTL, and MHWL. The field work results will be used to prepare a map indicating the approximate location and size of wetlands. Prepare a brief report of findings which will include a summary of wetland issues, COE permit requirements, potential mitigation measures which may be available to compensate for wetland impacts that may occur due to development of the property and approximate costs associated with permitting and mitigation. Corps verification of the delineation is not included and if needed will be considered additional services. 2. Biological Survey including habitat mapping: During the wetlands delineation survey identify and map all distinct habitat types (e.g., sandflats, mudflats, tidal wetlands, non-tidal wetlands, brush communities, prairie communities, disturbed land, streams, etc). This mapping will include any endangered species habitat within the property (e.g., mudflats, dense brush, etc}. This information will provide baseline data for the necessary coordination with FWS regarding any possible endangered species issues related to the project. 3. Endangered Species Evaluation for TPWD Grant Requirements: Contact and Coordinate with USFWS-Ecological Field Services office to identify endangered species concerns, including the most recent wintering piping plover data in the area. Collect and analyze this data relative to habitat types identified on the property and determine an appropriate course of action to evaluate each species of concern. Coordinate with TPWD for the grant requirements. If additional work is required by the state agencies the consultant will submit a justification for the additional fees to be incurred. Archeological Survey including Texas Historical Commission permit application and clearance. (THC review of application may require changes in scope that may be considered additional services}. 5. Topographic Survey including research of existing utilities, establishing control points, preparing base map, field survey on minimum 50 foot grid, locate surface improvements, determine flowlines of manholes and inlets, prepare topographic survey and existing conditions map including 1' contours, drainage and floodplain locations, overlay zones or districts locations, easements, rights-- of--way and other existing improvements, location of wetlands boundary from biological survey and surveyed archeological sites. 6. Geotechnicai investigations-needs to be determined during the Master Plan Phase and shall be considered additional services. 7. Structural Engineering for Phase 1 Trails shall be determined during the Master Planning Phase if required shall considered additional services. 1.2 REGULATQRY PHASE i . Upon approval and authorization to proceed by the City, the Consultant shall prepare documents, including drawings and calculations related to project components, reasonable required for review by the following governmental authorities to comply with permitting requirements that are in effect on the date of this Agreement: a. City of Corpus Christi Development Permits b. Texas Parks and Wildlife Department Review c. Texas Department of Licensing and Regulation - Texas Accessibility Standards {TAS} d. Texas Commission for Environmental Quality (TCEQ) Stormwater Pollution Prevention Plan e. USACE Nationwide Permit (other USACE permits if required shall be considered additional services) 2. As request by the City, and as is reasonable necessary to assist the City in responding to permitting issues, the Consultant will participate in the permitting process with respect to the project design including: a. Evaluate and respond to governmental staff review and comments; b. Confer with governmental authorities with regard to project components to verify interpretation of ordinances, statues and regulations; c. Attend public hearings to address permitting issues; d. Meet with government authorities following permitting, to review construction procedures for project components. 3. Review with the City design modifications request by applicable governmental authorities as they apply to project components, and at City's direction, modify the project design accordingly for re-submission. Anything in this Agreement to the contrary notwithstanding, the City agrees that the Consultant's services and responsibilities in relation to any and all accessibility standards, guidelines and requirements set forth by local, state and/or federal authority are strictly limited to: a. Submitting the construction documents to the appropriate governmental authority (or its authorized agent} as required for review and approval prior to construction; and b. Modifying those portions of the construction documents that are specifically identified by such governmental authority (or its agent} during the pre= construction review as being in need of correction. 1.3 CHANGES IN SCOPE All services requested by the Client that are not specifically listed in the Basic Services of this Agreement shall be considered Additional Services. Additional Services shall be paid for by the Client as set forth in this Agreement, or, at the Consultant's option, under a separate Professional Services Agreement. Meetings, presentations and site visits beyond those outlined in the scope of services shall be considered extra services. C. SCHEDULE See attached Exhibit A-2 D. FEES 1.1 Fee for Basic Services. The City will pay the Consultant a fixed fee for providing al[ "Basic Services" authorized as per the table below. The fees for Basic Services will not exceed those identified and will be full and total compensation for all services outlined in Section A above, and for all expenses incurred in performing these services. In the event of accidents of any kind, the Consultant shall furnish the City wi#h copies of all reports of such accidents at the same time that the reports are forwarded to any other interested parties. 11. INDEMNIFICATION AND HOLD HARMLESS A. Consultant agrees to Indemnify, save harmless and defend the City of Corpus Christi, and its agents, servants, and employees, and each of them against and hold it and them harmless from any and all lawsuits, claims, demands, liabilities, losses and expenses, including court costs and attorneys' fees, for or on account of any injury to any person, or any death at any time resulting from such injury, or any damage to any property, which may arise or which may be alleged to have arisen out of or in connection with the work covered by this contract. The foregoing indemnity shall apply except if such injury, death or damage is caused by the sole or concurrent negligence of the City of Corpus Christi, its agents, servants, or employees or any other person indemnified hereunder. B. The Consultant shall obtain workers` compensation insurance coverage through a licensed insurance company or through self-insurance obtained in accordance with Texas law. If such coverage is obtained through a licensed insurance company, then the contract for coverage shall be written on a policy and endorsements approved by the Texas State Board of Insurance. If such coverage is provided through self-insurance, then within ten (10) calendar days after the date the City requests that the Consultant sign the contract documents, the Consultant shall provide the City with a copy of its certificate of authority to self-insure its workers' compensation coverage, as well as a letter, signed by the Consultant, stating that the certificate of authority to self-insure remains in effect and is not the subject of any revocation proceeding then pending before the Texas Workers' Compensation Commission. Further, if at any time before final acceptance of the Work by the City, such certificate of authority to self-insure is revoked or is made the subject of any proceeding which could result in revocation of the certificate, then the Consultant shall immediately provide written notice of such facts to the City, by certified mail, return receipt requested directed to: City of Corpus Christi, Department of Engineering Services, P. O. Box 9277, Corpus Christi, Texas 78469 -Attention: Contract Administrator.
