Inc. , a Texas corporation or partnership, " C S T" cti through It dul authorized representative who is (name), (Title), which agree as follows: 1. DECLARATIONS. "CITY" desires to engage "CONSULTANT" to provide services in connection with City's project, described as follow: Selena Auditorium Lighting Control Systems and Infrastructure — Construction Management/[nspection "PROJECT ". 2. SCOPE OF WORK. "CONSULTANT" shall provide services for the PROJECT in accordance with the accompanying Letter, Scope of Services and Fee attached as "Exhibit X. 3. INDEMNIFICATION AND HOLD HARMLESS. The Consultant agrees to indemnify, save harmless and defend the City of Corpus Christi, and its agents, servants, and employees as more fully set forth in Exhibit "B ". 4. FEE. The "CITY" agrees to pay the "CONSULTANT" for services provided in accordance with Exhibit "A ", Scope of Services and Fee under this AGREEMENT, an additional fee not to exceed $17,970.00 (in figures), ( Seventeen Thousand Nine Hundred Seventy and no /xx dollars) (in words) for a restated not to exceed fee of $71,230.00. Please refer to attached "Agreement for Consultant Services" dated .tune 8, 2010 for this project. Basic construction phase services included in this previously executed agreement will be rendered by Stridde, Callins & Associates, Inc. as previously agreed. For this reason, such services are not included within the amount of this proposal. A. Enhanced Construction Phase Engineering Services 1. Provide additional weekly / daily communication with the contractor as required during construction. 2. Provide weekly jobsite reviews of installations by the contractor. During such reviews we will assert every reasonable effort to enforce the contract document requirements and protect the related interests of City of Corpus Christi and American Bank Center. We will not perform continuous or exhaustive reviews of construction substantially beyond that which is typical to industry standards_ . Nor will we guaranty the performance of the contractor. 3. Attend weekly construction coordination meetings. Meetings are to be scheduled at the times of weekly jobsite reviews - 4. Provide bi- weekly reports of construction status 1 progress to the City of Corpus Christi. 5. An allowance in the amount of Three Thousand Four Hundred Dollars ($3,400.00) for two (2) additional construction phase site reviews for WJHW (theatrical systems consultant) is included within the amount of this proposal this allowance amount will be utilized if required and if approved by the City of Corpus Christi. Compensation We will provide the above enhanced construction phase engineering services for a fee of Seventeen Thousand Nine Hundred Seventy Dollars ($17,970.00) ($14,570.00 base + $3,400.00 allowance for WJHW). C. Exclusions The following item is specifically excluded from services to be rendered by this office. 1. Any and all services associated with hazardous materials identification, survey, and abatement. D. Additional Services If services are required in addition to services included in Part "A ", such services will be invoiced in accordance with the following schedule of hourly rates. Principal $165.00/hour Engineer, P.E. $110.001hour Engineer, E.I.T. $ 85.00/hour Designer $ 70.00 /hour CAD Technician $ 65.00 /hour Administrative Assistant $ 50.00 /hour We appreciate the opportunity to continue our service to the City of Corpus Christi. The foregoing indemnity shall apply except if such injury, death or damage is caused by the sole or concurrent negligence of the City of Corpus Christi, its agents, servants, or employees or any other person indemnified hereunder. A member of any board, commission, or committee appointed by the City Council of the City of Corpus Christi, Texas. b. "Economic benefit ". An action that is likely to affect an economic interest if it is likely to have an effect on that interest that is distinguishable from its effect on members of the public in general or a substantial segment thereof. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or part -time basis, but not as an independent contractor. d. "Firm." Any entity operated for economic gain, whether professional, industrial or commercial, and whether established to produce or deal with a product or service, including but not limited to, entities operated in the form of sole proprietorship, as self - employed person, partnership, corporation, joint stock company, joint venture, receivership or trust, and entities which for purposes of taxation are treated as non -profit organizations. e.
