TO CONTRACT FOR
PROFESSIONAL SERVICES
The City of Corpus Christi, Texas hereinafter called "CITY ", and FREESE AND NICHOLS, INC. hereinafter
called "CONSULTANT," agree to the following amendment to the Contract for Professional Services for
Packery Channel, Phase 2 -- Parking and Overlooks (Project No. 3400), as authorized and amended by:

In the original contract, Exhibit "A ", Section 1. Scope of Services, Part A. Basic Services, Item No. 2
Design Phase Services shall be modified to include the addition of the following scope as shown on the
attached Exhibit "A ".
In the original contract, Exhibit "A ", SECTION 3. FEES shall be modified as shown on the attached Exhibit
"B" for a total fee not to exceed $12,812.00 (Twelve _Thousand Eight Hundred Twelve Dollars and Zero
Cents), for a total restated fee not to exceed $190,945.00 (One Hundred Ninety„ Thousand Nine Hundred
Forty Five Dollars and Zero Cents).
All other terms and conditions of the February 10, 2009 contract and amendments between the City and
Consultant will remain in full force and effect.

Dear Mr. Anaya,
Enclosed please find a copy of our draft Amendment No. 3 for professional services for
the Packery Channel — Phase 2 project ( #3400). This amendment includes the
coordination with AEP to determine the implications and remdedy for improperly installed
lighting conduit in Phase 1 of the Packery Channel Project, revisions to the lighted
bollard design, and integration of the URS Engineering construction package for the
Packery Channel Revetment Repairs into the Parking and Overlooks construction
documents. The amendment request for this effort is $12,812.00.
Please note that our current contract includes Basic Services in the amount of
$146,549.00 and Additional Services of $31,584.00 for a total professional services fee
of $178,133.00. This Amendment includes Basic Services activities in the amount of
$12,812.00 for at total restated fee of $190,945.00.

TASK LIST
Basic Services;
Design Phase Services:
1) Coordinate with City of Corpus Christi and AEP to determine
implications and remedy of improperly installed lighting conduit on
Phase 1 of the Packery Channel Development.
2) Revise construction drawings in English units in 22" x 34" sheets, to
lengthen the space between lighted bollards to 100' on center from the
current 50' on center.
3) Integrate the construction drawings generated by URS Engineering for
the repairs to the Packery Channel Revetment.

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the
City Council of the City of Corpus Christi, Texas.
b. "Economic benefit ". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
c. `Employee." Any person employed by the City of Corpus Christi, Texas either on a full or
part-time basis, but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the form of sole proprietorship, as self - employed
person, partnership, corporation, joint stock company, joint venture, receivership or trust, and
entities which for purposes of taxation are treated as non - profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City
Manager, Assistant City Managers, Department and Division Heads, and Municipal Court
Judges of the City of Corpus Christi, Texas.
f. "Ownership Interest." Legal or equitable interest, whether actually or constructively held,
in a firm, including when such interest is held through an agent, trust, estate, or holding
entity. "Constructively held" refers to holdings or control established through voting trusts,

g. "Consultant." Any person or firm, such as engineers and architects, hired by the City of
Corpus Christi for the purpose of professional consultation and recommendation.
