The City of Corpus Christi, Texas hereinafter called "City ", and Freese and Nichols Inc.
hereinafter called "CONSULTANT ", agree to the following amendments to the Contract for
Professional Services for Staples Street (Bond Issue 2008) — Phase 1 from Saratoga to
Holly (Project No. 6494) and Phase 2 from Holly to Williams (Protect No. 6495) as
authorized by:

• In the original contract, Exhibit "A ", Section 1. SCOPE OF SERVICES, Section B. Additional
Services, 2. Right-of-Way--(ROW) Acquisition Survey shall be amended as follows:
➢ For revising the right -of -way description and area on Parcels 3, 4, 413, 11, 13 and
14 along the corridor of Staples Street, Phase 1 from Saratoga to Holly (Project
No. 6494).
In the original contract, Exhibit "A ", Section 1. SCOPE OF SERVICES, Section B. Additional
Services, 3. Topographic Survey shall be amended as follows:
➢ For conducting additional topographic survey in Mary Carroll Channel to extend
the proposed box culvert adjacent to the corridor of Staples Street, Phase 1 from
Saratoga to Holly (Project No. 6494).
In the original contract, Exhibit "A ", Section 1. SCOPE OF SERVICES, Section B. Additional
Services shall be amended to add the following task:
➢ 11. Roadway Re- alignment Revise and realign the roadway, remove the raised
median, narrow the traffic lane widths and sidewalk/bike path width in specified
locations, and make associated revisions to the contract documents for Staples
Street, Phase 1 from Saratoga to Holly (Project No. 6494).
• In the original contract, Exhibit "A ", Section 3. FEES shall be modified for a total fee not to
exceed $47.978.00 (Forty Seven Thousand Nine Hundr Seventv Eiaht Dollars and
Zero Cents) for a total restated fee not to exceed $1,852,920.00 One Million Eight
Hundred Fifty Two Thousand Nine Hundred Twenty Dollar and Zero Cents) as shown
in the attached Amendment No. 3, Exhibit "B."
All other terms and conditions of the June 9, 2009 contract between the City and Consultant will
remain in full force and effect.

Contract Amendment Request No. 3 (REVISED)
Dear Mr. Anaya:
The Corpus Christi City Council authorized a Contract for Professional Services with Freese
and Nichols, Inc. on June 9, 2009 (by M2009 -162) for the above referenced project.
FNI delivered the final signed and sealed design drawings and contract documents for
Staples Street Phase 1 from Saratoga to Holly to the City on August 16, 2010. Per our
meeting with City Engineering staff on March 21, 2011, FNI was directed to remove the
raised median and shift the alignment for this street on the north side of Saratoga
Boulevard, in order to avoid the need to acquire a 5.42 ft. strip ROW parcel from Saratoga
Plaza, LLC. Subsequently, FNI was also directed to revise the traffic lane widths and
sidewalk /bike path width and eliminate or reduce the ROW takings from three other parcels.
This realignment and other changes will necessitate revising the metes and bounds
descriptions for six parcels; revising 98 sheets of the drawings; and revising quantities,
opinion of probable construction costs and the bid proposal form.
The scope of services for these Additional Services will be in accordance with Exhibit 'A' and
Exhibit 'A-I' of our Contract for Professional Services.
Our proposed fee for these additional services is $47,978. We request approval of
Amendment No. 3 (attached) and authorization to proceed with these Additional Services.

FILING REQUIREMENTS
If a person who requests official action on a matter knows that the requested action will confer an
economic benefit on any City official or employee that is distinguishable from the effect that the
action will have on members of the public in general or a substantial segment thereof, you shall
disclose that fact in a signed writing to the City official, employee or body that has been
requested to act in the matter, unless the interest of the City official or employee in the matter is
apparent. The disclosure shall also be made in a signed writing filed with the City Secretary.

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the
City Council of the City of Corpus Christi, Texas.
b. "Economic benefit ". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
o, "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or
part-time basis, but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the form of sole proprietorship, as self - employed
person, partnership, corporation, joint stock company, joint venture, receivership or trust, and
entities which for purposes of taxation are treated as non - profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City
Manager, Assistant City Managers, Department and Division Heads, and Municipal Court
Judges of the City of Corpus Christi, Texas.
f. "Ownership Interest." Legal or equitable interest, whether actually or constructively held,
in a firm, including when such interest is held through an agent, trust, estate, or holding
entity. "Constructively held" refers to holdings or control established through voting trusts,
proxies, or special terms of venture or partnership agreements."
g. "Consultant." Any person or firm, such as engineers and architects, hired by the City of
Corpus Christi for the purpose of professional consultation and recommendation.
