TO CONTRACT FOR
PROFESSIONAL SERVICES
The City of Corpus Christi, Texas hereinafter called "CITY ", and CAROLLO ENGINEERS, P.C.,
hereinafter called "Engineer," agree to the following amendments to the Contract for
Professional Services for New Broadway Wastewater Treatment Plant [Project No. 7293], as
authorized and administratively amended by:

This contract is amended to reflect Engineer's name and corporate domicile change from
"Carollo Engineers, P.C., an Arizona corporation," to "Carollo Engineers, Inc., a Delaware
corporation."
The contract is also amended to include additional engineering services to complete
modifications to the UV Disinfection system and related structures at the New Broadway
Wastewater Treatment Plant, as shown in Exhibit "A ".
Section 3. FEES are amended to authorize an additional Fee for Amendment No. 5 services in
the amount of $48,750.00 for a revised restated total fee not to exceed $8,315,182.00.
All other terms and conditions of the December 1, 2006 contract and amendments between the
City and Engineer will remain in full force and effect.

Proposal to Provide Additional Engineering Services for Ultraviolet (UV) Disinfection
System
Dear Mr. Anaya:
This letter summarizes the additional engineering services to complete modifications to the UV
Disinfection System and related structures at the New Broadway Wastewater Treatment Plant
(NBWWTP) . As outlined in previous Carolto Engineers correspondence dated November 19,
2010 and January 10, 2011, the modifications are required to meet new effluent quality
requirements imposed by the Texas Commission on Environmental Quality (TCEQ). In order to
meet the new effluent requirements at the originally designed peak flow capacity of 41.5 mgd
and obtain a performance warranty from the UV system manufacturer, ITT- Wedeco, additional
UV equipment is required. This expansion of the UV Disinfection System requires mechanical,
structural, and electrical modifications to the UV structure and ECR -3 building.
At the City's direction, Carollo directed our structural and electrical subconsultants to proceed
with the design modifications in order to issue Request for Proposals (RFPs) to the Contractor.
To date we have finalized the RFP's, received quotes from the Contractor and provided a
recommendation to the City under separate cover.
These design activities have resulted in additional engineering services costs incurred by
Carollo, LNV Engineering, and Colwell and Associates. As compensation for these additional
engineering services, we are requesting an amendment to the NBWWTP contract in the amount
of $48, 750.

DEFINITIONS
a. `Board member." A member of any board, commission, or committee appointed by the
City Council of the City of Corpus Christi, Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or
part -time basis, but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the form of sole proprietorship, as self - employed
person, partnership, corporation, joint stock company, joint venture, receivership or trust, and
entities which for purposes of taxation are treated as non - profit organizations.
