H. Shackelford Inc. , a Texas corporation or partnership, "CONSULTANT ", acting through its duly authorized representative who is (name), vtcf p *A0V( Title), which agree as follows 1 . DECLARATIONS. "CITY" desires to engage "CONSULTANT" to provide services in connection with City's project, described as follow: Staples Street Phases 1 and 2 (Saratoga to Williams) Proiect Nos. 6494 and 6495 "PROJECT" 2. SCOPE OF WORK. "CONSULTANT" shall provide services for the PROJECT in accordance with the accompanying Letter, Scope of Services and Fee attached as "Exhibit X. 3. INDEMNIFICATION AND HOLD HARMLESS. The Consultant agrees to indemnify, save harmless and defend the City of Corpus Christi, and its agents, servants, and employees as more fully set forth in Exhibit "B ". 4. FEE. The "CITY" agrees to pay the "CONSULTANT" for services provided in accordance with Exhibit "A ", Scope of Services and Fee under this AGREEMENT, a total fee not to exceed $286,865.00 (in figures), ( Two Eighty Six Thousand Eight Hundred Sixty Five and noixx dollars (in words). M2012 -007 01/10/12 � INDEXED TASK LIST: The Scope of Services is to provide a full time inspection. services for the Staples Street Phases 1 & 2 Reconstruction from Saratoga to Williams (Project No. 649416495) Bond 2008: The scope of work includes Construction Management Services for: 1. Daily on -site inspection by a senior Construction Manager or Licensed P.E. for the project with reports; 2. Project Meeting participation to include Pre - Construction Award, Progress Meetings, Final Inspection, etc.; a. Conduct Progress Meetings b. Generate Meeting Agenda and Minutes 3. The City will pay the Engineer a lump sum fee not to exceed $ $296,865 through July 2013 and $95,290 through January 2014 for provided services specified in this contract. The fees will be full and total compensation for services and for all expenses incurred in performing these services. Consultant will submit monthly statements for services rendered. Each statement will be based on the project percent completion at the time of billing. City will make prompt mo t payments in response to Engineer's monthly statements. J r Shoemaker, P.E. EXHIBIT "A" Pa e1of1 Exhibit B Mandatory Requirements (Revised November, 2005) INDEMNIFICATION AND HOLD HARMLESS Consultant agrees to indemnify, save harmless and defend the City of Corpus Christi, and its agents, servants, and employees, and each of them against and hold it and them harmless from any and all lawsuits, claims, demands, liabilities, losses and expenses, including court costs and attorneys" fees, for or on account of any injury to any person, or any death at any time resulting from such injury, or any damage to any property, which may arise or which may be alleged to have arisen out of or in connection with the work covered by this contract. A member of any board, commission, or committee appointed by the City Council of the City of Corpus Christi, Texas. b. "Economic benefit ". An action that is likely to affect an economic interest if it is likely to have an effect on that interest that is distinguishable from its effect on members of the public in general or a substantial segment thereof. c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or part -time basis, but not as an independent contractor. d. "Firm." Any entity operated for economic gain, whether professional, industrial or commercial, and whether established to produce or deal with a product or service, including but not limited to, entities operated in the form of sole proprietorship, as self- employed person, partnership, corporation, joint stock company, joint venture, receivership or trust, and entities which for purposes of taxation are treated as non -profit organizations. e.
