DRAINAGE EASEMENT AGREEMENT THE STATE OF TEXAS § COUNTY OF NUECES § KNOW ALL MEN BY THESE PRESENTS: THIS DRAINAGE EASEMENT AGREEMENT (hereinafter "AGREEMENT ") is entered into between Brooke Tract, L.P., (hereinafter "GRANTOR ") whose address is 2013 E. Imperial Drive, Naples, Florida 34110 and the City of Corpus Christi, Texas, (hereinafter "GRANTEE or CITY "), a Texas home -rule municipality, duly incorporated under and by virtue of the laws of the State of Texas, of 1201 Leopard Street, Corpus Christi, Texas 78401, County of Nueces, State of Texas; WHEREAS, GRANTOR owned 153.48 acre tract of land, acquired by deed recorded under Clerk's File No. 2006008362, public records of Nueces County, Texas, of which he donated seven acres to CITY for the purpose of constructing a portion of the City of Corpus Christi Master Drainage Channel 27, a public storm water "drainage channel (hereinafter "CHANNEL 27 "), thus leaving GRANTOR 146.48. acres for development; WHEREAS the 146.48 acres referenced above has or shall be platted or replatted, and subdivided into the following parcels: • A 20.311 acre parcel for which the Planning Commission approved a final plat on December 8, 2010 for Zachary Kolda Elementary School (hereinafter "SCHOOL PARCEL ") see Exhibit "A" attached hereto and incorporated by reference; • A 10.00 acre parcel for which the Planning Commission approved a final plat on January 18, 2012 for Bay Area Fellowship Church (hereinafter "CHURCH PARCEL ") see Exhibit "S" attached hereto and incorporated by reference; • A 20.42 acre parcel for which the Planning Commission approved a preliminary plat on February 15, 2012, which includes public streets, for the Braselton Homes development of South Lake Cottages Subdivision (hereinafter "COTTAGES ") see Exhibit "C" attached hereto and incorporated by reference. Parties did not negotiate the sale or purchase of PRIVATE LAKE and GRANTOR is therefore sole owner of PRIVATE LAKE; WHEREAS, GRANTOR has advised GRANTEE that SCHOOL PARCEL and CHURCH PARCEL have or will enter into separate private agreements with GRANTOR to drain private storm water into PRIVATE LAKE; WHEREAS, GRANTOR has requested that the City Attorney's Office provide this AGREEMENT for the purpose of providing the easements necessary for the drainage of any and all surface water emanating from any public right of way or public drainage infrastructure located in or on the UNDEVELOPED PARCEL and the COTTAGES into GRANTOR'S PRIVATE LAKE, as said routing into PRIVATE LAKE will be more economical for GRANTOR than constructing a conveyance into Master Channel 27, as recommended by the City's Storm Water and Engineering Departments; NOW, THEREFORE, for and in consideration of the sum of Ten and no/100 Dollar ($10.00) and other good and valuable consideration by GRANTEE to GRANTOR, the receipt and sufficiency of which is hereby acknowledged, GRANTOR has granted, sold and conveyed and by these presents does hereby grant, sell and convey unto the GRANTEE subject to the terms, covenants and conditions hereof, and for and in consideration of the easement rights herein granted and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, GRANTOR AND GRANTEE do hereby covenant and agree as follows: A. GRANT OF DRAINAGE EASEMENTS EASEMENT ONE: For the purpose of draining public surface water for storm drainage from the COTTAGES into the PRIVATE LAKE, GRANTOR does hereby grant, sell and convey unto GRANTEE its successors and legal representatives the free and uninterrupted use, liberty, privilege and easement of going in, on, over, under, along or across a certain tract of land situated in Nueces County, Texas and being described as follows: See the Metes and Bounds property description attached and incorporated as Exhibit "E" for a 15.00 foot wide drainage easement out of Lots 29 and 30, Section 26, Flour Bluff and Encinal Farm and Garden Tracts, a map of which is recorded in Volume A, Pages 41 thru 43, Map Records of Nueces County, Texas. See the map attached and incorporated as Exhibit "F" showing the location of drainage easement. EASEMENT TWO: For the purpose of transmitting water from PRIVATE LAKE into CHANNEL 27, GRANTOR does hereby grant, sell and convey unto GRANTEE its successors and Drainage Easement Agreement Brook Tract, L.P. and City of Corpus Christi legal representatives the free and uninterrupted use, liberty, privilege and easement of going in, on, over, under, along or across a certain tract of land situated in Nueces County, Texas and being described as follows: See the Metes and Bounds property description attached and incorporated as Exhibit "G" for a 50.00 foot wide drainage easement out of Lot 19, Section 26, Flour Bluff and Encinal Farm and Garden Tracts, a map of which is recorded in Volume A, Pages 41 thru 43, Map Records of Nueces County, Texas. See the map attached and incorporated as Exhibit "H" showing the location of drainage easement. EASEMENT THREE: For the purpose of draining public surface water for storm drainage from any current or future public right of way or public drainage infrastructure located in the COTTAGES or the UNDEVELOPED PARCEL, GRANTOR does hereby grant, sell and convey unto GRANTEE its successors and legal representatives the perpetual and absolute right, privilege and easement to regularly, or at any time, or for any length of time, flow water into, on, across, through and beneath the surface water of PRIVATE LAKE, situated in Nueces County, Texas and being described as follows: See the map attached and incorporated as "Exhibit D" showing the location of PRIVATE LAKE. EASEMENT FOUR: If the PRIVATE LAKE condition shall ever be such that the PRIVATE LAKE cannot serve to receive and transmit into Channel 27 the public storm drainage water conveyed by easement into the PRIVATE LAKE, then, in such event, and for the purpose of transmitting public surface water from the COTTAGES or the UNDEVELOPED PARCEL into and across the PRIVATE LAKE to the outfall structure, GRANTOR does hereby grant, sell and convey unto GRANTEE its successors and legal representatives the free and uninterrupted use, liberty, privilege and easement of going in, on, over, under, along or across a certain tract of land situated in Nueces County, Texas and being described as follows: See the Metes and Bounds property description attached and incorporated as Exhibit "I" for a 15.00 foot wide drainage easement out of Lots 18, 19 and 29, Section 26, Flour Bluff and Encinal Farm and Garden Tracts, a map of which is recorded in Volume A, Pages 41 thru 43, Map Records of Nueces County, Texas. The easements described in Easement One, Easement Two, Easement Three, and Easement Four above are collectively referred to herein as "Drainage Easement Areas ". B. FUTURE DEVELOPMENT ON UNDEVELOPED PARCEL 1. If and when development occurs on the UNDEVELOPED PARCEL and there is cause to drain surface water for storm drainage from any public right of way or public drainage infrastructure located therein and into PRIVATE LAKE, drainage easements for the purpose of operating, maintaining, inspecting, repairing, replacing and removing any type of drainage ditch, pipe or other structure, in, on, over, under, along or across said UNDEVELOPED PARCEL for the purpose of draining surface water for public storm drainage, must be delineated on the development plat. 2. No additional drainage easement, however, will be required for the purpose of draining surface water for storm drainage from any public right of way or public drainage infrastructure located within the UNDEVELOPED PARCEL area with regard to PRIVATE LAKE, as Drainage Easement Three provides for the perpetual and absolute right, privilege and easement to regularly, or at any time, or for any length of time, flow water into, on, across, through and beneath the surface water of PRIVATE LAKE. C. RIGHTS RESERVED Grantor retains, reserves, and shall continue to enjoy the use of the Drainage Easement areas described herein for any and all purposes that do not interfere with and prevent GRANTEE's use of the easements. D. EXCLUSIVENESS OF DRAINAGE EASEMENT AREAS The Drainage Easement Areas granted by this conveyance are exclusive, and GRANTOR covenants not to convey any other easement or conflicting rights in the Drainage Easement Areas which prevents GRANTEE from using the Drainage Easement Areas. E. PROMPT AND GOOD FAITH ACTIONS The parties shall act promptly and in good faith in performing their duties or obligations under this Agreement. If this Agreement calls for review or inspections by the CITY, then the CITY's reviews or inspections must be completed thoroughly and promptly. F. MAINTENANCE 3. GRANTOR and GRANTEE acknowledge and agree that, with the exception of maintenance due to erosion around the drainage structures going into and out of the PRIVATE LAKE, CITY will maintain, once constructed, the conveyance structures within Easement One and Easement Two, which will become part of the CITY's storm water Drainage Easement Agreement Brook Tract, L.P. and City of Corpus Christi system which is subject an MS4 Permit, issued to the CITY by the Texas Commission on Environmental Quality (TCEQ), which authorizes the CITY, under certain conditions, to drain storm water runoff into the public into the waters of the United States. The parties acknowledge that the CITY's Storm Water infrastructure must be maintained in compliance with the CITY's MS4 Permit, TCEQ rules and regulations, and all Federal, State and local laws, including but not limited to the Clean Water Act. 2. GRANTOR and GRANTEE acknowledge and agree that GRANTOR is the owner of the PRIVATE LAKE and that GRANTOR is solely responsible for any and all maintenance of the PRIVATE LAKE. GRANTOR shall maintain PRIVATE LAKE to the degree necessary to allow for GRANTEE's use of the Drainage Easements granted herein. GRANTEE shall not be responsible for any maintenance of PRIVATE LAKE, including any maintenance due to soil erosion occurring around the drainage conveyance structures to be built by GRANTOR at the points where drainage flows into and out of the PRIVATE LAKE, and specifically including but not limited to the drainage conveyance structures located at Easement One and Easement Two. Except as specified in the preceding sentence, GRANTOR is under no obligation to maintain any of the public storm water drainage structures and facilities located on or about the Drainage Easement Areas, it being agreed that the GRANTEE shall be solely responsible for maintenance of said structures and facilities. 3. Under no circumstances may this Easement Agreement be interpreted to obligate or require GRANTEE to maintain the PRIVATE LAKE or perform any maintenance of any kind due to any soil erosion around the PRIVATE LAKE. 4. The parties acknowledge that the GRANTEE, the City of Corpus Christi, is a governmental entity responsible for the general health and public safety of the citizens of Corpus Christi. Except when GRANTEE determines there to be an emergency, if, after thirty (30) days written notice (which may be extended to sixty (60) days by mutual written agreement of the parties) to the GRANTOR listing with specificity and explanation any required maintenance Grantee asserts is required of Grantor under the terms of this Agreement ( "Maintenance Demand "), GRANTOR fails to perform their maintenance obligations to the extent required by this Agreement and the Maintenance Demand, the GRANTEE may perform such maintenance. Grantee shall charge Grantor for the actual, reasonable and necessary costs incurred. GRANTOR shall promptly reimburse the GRANTEE for said costs upon thirty days receipt of written notice of the itemized charges. GRANTOR shall attach to the itemized notice of charges all supporting documentation justifying said charges. The thirty (30) day payment period may be extended by mutual written agreement of the parties. If GRANTOR disagrees that the maintenance work performed by Grantee is properly reimbursable under this Agreement, Grantee may sue in state court for a judicial determination construing the responsibilities of the parties for performing such maintenance work under the terms of this Agreement. GRANTOR shall not be required by this Agreement reimburse GRANTEE for any maintenance beyond the maintenance required of the GRANTOR by this Agreement. �� -I Drainage Easement Agreement Brook Tract, L.P. and City of Corpus Christi 5. GRANTEE shall not, in any event whatsoever, have any liability for damage, loss, claims, demands and actions of any nature whatsoever, on account of personal injuries (including, without limitation, workers' compensation and death claims), or property loss or damage of any kind whatsoever (collectively referred to as "Claims "), which (1) arise out of activities on or in the private lake, and (2) are not the activities of GRANTEE. G. NOTICE Unless otherwise stated herein, any notice required or permitted to be given hereunder shall be in writing and sent by certified mail, return receipt requested. Any party shall, by notice to the other in accord with the provisions of this paragraph, specify any change in address or addressee for notice purposes. H. LAW AND JURISDICTION This easement shall be construed under and in accord with the laws of the State of Texas and all obligations of the parties created hereunder are performable in Nueces County, Texas, and all lawsuits pursuant hereto shall be brought in Nueces County. I. INDEMNITY GRANTOR SHALL FULLY INDEMNIFY, SAVE AND HOLD HARMLESS, AND DEFEND (WITH COUNSEL REASONABLY ACCEPTABLE TO CITY ATTORNEY) THE CITY OF CORPUS CHRISTI, ITS OFFICERS, EMPLOYEES, AND AGENTS ( "INDEMNITEES ") AGAINST ANY AND ALL LIABILITY, DAMAGE, LOSS, CLAIMS, DEMANDS, AND ACTIONS OF ANY NATURE WHATSOEVER ON ACCOUNT OF PERSONAL INJURIES (INCLUDING, WITHOUT LIMITATION OF THE FOREGOING, WORKERS' COMPENSATION AND DEATH CLAIMS), OR PROPERTY LOSS OR DAMAGE OF ANY KIND WHATSOEVER (COLLECTIVELY REFERRED TO AS "CLAIMS "), WHICH ARISE OUT OF (1) FLOODING OF ANY KIND DOWNSTREAM FROM THE PRIVATE LAKE, OR (2) CLAIMS ARISING OUT OF STRUCTURAL OR ENGINEERING DESIGN DEFECTS OR STRUCTURAL FAILURES OF THE OUTFALL STRUCTURE LOCATED ON DRAINAGE EASEMENT. HOWEVER, THIS INDEMNITY SHALL NOT APPLY TO CLAIMS WHICH ARE THE RESULT OF (1) THE CITY'S FAILURE TO PERFORM ITS MAINTENANCE OBLIGATIONS UNDER THIS AGREEMENT OR (2) ANY REDESIGN OR MODIFICATION THAT CHANGES THE APPROVED DESIGN OF THE STRUCTURES OR FACILITIES UNLESS APPROVED BY GRANTOR. INDEMNITEES AGREE TO COOPERATE FULLY AND IN GOOD FAITH WITH GRANTOR'S REASONABLE REQUESTS IN THE DEFENSE OF ANY INDEMNIFIED CLAIM. J. SEVERANCE If for any reason any section, paragraph, subdivision, clause, phrase, word or provision of this AGREEMENT shall be held invalid or unconstitutional by final judgment of a court of competent jurisdiction, it may not affect any other section, paragraph, subdivision, clause, phrase, word or provision of this AGREEMENT, for it is the definite intent of GRANTOR and GRANTEE that every section, paragraph, subdivision, clause, phrase, word or provision hereof be given full force and effect for its purpose. i , . COVENANT RUNNING WITH THE LAND This AGREEMENT is a covenant running with the land and must be recorded in the Official Public Records of Nueces County, Texas. L. EFFECTIVE DATE This AGREEMENT becomes effective and is binding upon and inures to the benefit of GRANTOR and GRANTEE, and their respective heirs, successors, and assigns from and after the date of execution by all parties. M. AUTHORITY The person signing this Agreement on behalf of the parties represents, warrants, and guarantees that they have authority to act on behalf of the party and make this AGREEMENT binding and enforceable by their signature. N. OUTFALL STRUCTURE GRANTOR and GRANTEE agree that the outfalil drainage structure referred to in EASEMENT TWO shall be constructed in accordance with the plans approved by the GRANTOR and GRANTEE, which approval shall not be unreasonably withheld. However, this structure shall not be required to be constructed until such time as any surface improvement located on the UNDEVELOPED PARCEL is installed at an elevation of eleven feet (11') or less. O. ASSIGNMENT This AGREEMENT is not assignable without the written consent of both parties; however, GRANTOR may assign this AGREEMENT to any future owner of PRIVATE LAKE including any homeowner association formed with the purpose of maintaining PRIVATE LAKE or any affiliated entity of Grantor. "Affiliated entity" shall mean any entity a majority of which is controlled by the current owners of GRANTOR. In the event GRANTOR assigns this AGREEMENT, their obligations under this AGREEMENT shall cease as of the date of the assignment as to all obligations occurring after that date. P. NO THIRD PARTY BENEFICIARIES This AGREEMENT is for the benefit of GRANTOR and GRANTEE only and is not intended in any way to benefit any parties which are not a party to this AGREEMENT.
