I 2 AGREEMENT FOR EARLY TERMINATION OF LEASE This agreement for early termination of the tower lease ( "Early Termination Agreement") is executed by and between South Texas Public Broadcasting Company ( "Lessor") and the City of Corpus Christi ( "Lessee'), acting through the Solid Waste Operations Department (formerly, Solid Waste Services Department). WHEREAS, Lessor is the owner and operator of one certain broadcast tower (the'Tower") and associated transmitter building (the "Building ") located at North Latitude 27° 39' 12," West Longitude 97 33' 55" in Nueces County, Texas; WHEREAS, Lessor and Lessee entered into a lease agreement on June 29, 2006 ( "Lease "), which was approved by the City's City Council by motion under document #2006 -289, in order for Lessee to utilize space on the Tower for the location of antennae and in the Building for the location of related equipment; WHEREAS, Lessee no longer has any need for use of the Tower and the Building, and pursuantto the 180 -day advance termination notice required underthe Lease, has requested to terminate the Lease; and WHEREAS, Lessor accepts this Early Termination Agreement in satisfaction of the early, written termination notice required under the Lease and further agrees to terminate the Lease with Lessee under the terms and conditions set out in this instrument. NOW, THEREFORE, the parties agree to the following terms and conditions: 1. Notice of Termination Lessor, upon execution of this Early Termination Agreement, accepts this instrument from Lessee in satisfaction of the Lease's requirement to provide Lessor with 180 -day advance written notice of Lease termination. Lessor acknowledges that no other form of written notice is necessary or required to effectuate termination of the Lease by Lessee. 2. Termination of Lease. The Lease terminates effective October 21, 2012 ("Lease Early Termination Date "), Lessee agrees to pay Lessor the sum of $600 per month as due under the Lease for occupancy through the month of August, 2012, and to pay Lessor the pro rata amount due for October during the first week of October, 2012, in accordance with the Lease. All of Lessee's equipment on the Tower and in the Building will be removed prior to or upon the Lease Early Termination Date. 3. Remaining _Conditions In consideration of Lessor's early termination of the Lease, Lessee agrees to remain responsible for maintaining the access gate and for the grass /weeds at the Lease location up to and through December 31, 2012. Notwithstanding the foregoing, Lessee shall be relieved from all liabilities under, or arising from or through, the Lease, specifically including the responsibility for the payment of insurance and other operating expenses, effective with the Lease Early Termination Date stated in part 2 above. 2012 -120 41311;ai 2o120403 So.
