TO CONTRACT FOR
PROFESSIONAL SERVICES
The City of Corpus Christi, Texas hereinafter called "City ", and Freese and Nichols. Inc.
hereinafter called "CONSULTANT", agree to the following amendments to the Contract for
Professional Services for Staples Street Bond Issue 2008 — Phase 1 from Saratoga to
Holly Prolect No. 6494 and Phase 2 from Holly to Williams Pro'ect No. 64951 as
authorized by:

• In the original contract, Exhibit "A ", Section 1. SCOPE OF SERVICES, Section B. Additional
Services, 7. Public Involvement Phase shall be amended to provide the City with additional
public involvement services as listed below. These methods ensure regularly scheduled
updates are provided to the public. The updates will provide the public an understanding of
upcoming changes /progress.
a. Monitor and provide bi- monthly updates to www.DriveStapies.com website (18
months)
b. Monitor and provide bi- monthly updates to DriveStaples twitter account (18
months)
c. Development of Quarterly project update mail outs and distribute mail outs to
Staples Street database of businesses and owners (5 mail outs total)
d. Provide additional stakeholder meeting support during project duration (8
meetings total)
• In the original contract, Exhibit "A", Section 3. FEES shall be modified for a total fee not to
exceed $37,533.00 (Thirty Seven Thousand Five Hundred Thirty Three Dollars and
Zero Cents) for a total restated fee not to exceed $1,939,208.00 One Million Nine
Hundred Thirty Nine Thousand Two Hundred Eight Dollars and Zero Cents) as shown
in the attached Amendment No. 5, Exhibit "B."
All other terms and conditions of the June 9, 2009 contract between the City and Consultant will
remain in full force and effect.

provides for the additional development of the Public Involvement Program for the Staples Street
project. The proposed activities outlined in this proposal will ensure regularly scheduled updates that
will provide the public an understanding of upcoming changes and progress. This proposal includes bi-
monthly monitoring and updating of the Drive Staples website, Staples Street twitter account and
development and distribution of quarterly mail -out information to businesses and owners.

DEFINITIONS
a. "Board member." A member of any board. commission. or committee appointed by the
City .Council of the City of Corpus Christi, Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
c. '`Employee." Any person employed by the City of Corpus Christi Texas either on a full. or
part -time basis, but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional. industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the forth of sole proprietorship, as self - employed
person, partnership, corporation, joint stock company, joint venture, receivership or trust, and
entities which for purposes of taxation are treated as non - profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City
Manager. Assistant City Managers, Department and Division Heads, and Mtniicipal Court
Judges of the City of Corpus Christi, Texas.
f. "Ownership Interest." Legal or equitable interest, whether actually or constructively held,
in a firm, including when such interest is held through an agent. trust, estate. or holding
entity. "Constructively held" refers to holdings or control established through voting trusts,
proxies. or special terms of venture or partnership agreements."
g. "Consultant. "Any person or firm, such as engineers and architects. hired by the.City of
Corpus Christi for the purpose of professional consultation and recommendation.
