TO CONTRACT FOR
PROFESSIONAL SERVICES
The City of Corpus Christi, Texas hereinafter called "City ", and Freese and Nichols. Inc.
hereinafter called "CONSULTANT", agree to the following amendments to the Contract for
Professional Services for Staples Street (Bond Issue 2008) — Phase 1 from Saratoga to
Holly (Project No. 6494) and Phase 2 from Holly to Williams (Project No. 6495) as
authorized by:

In the original contract, Exhibit "A ", Section 1. SCOPE OF SERVICES, Section A. Basic
Services, 3. Construction Phase shall be amended to provide the City with additional
Construction Phase services as listed below.
• Meetings to review revised phasing and schedule.
• Issue revised concrete pavement drawings.
• Value Engineering services and pipe bursting reviews for Phase 3.
• Revise 8" water line as part of Value Engineering in Phase 3.
• Additional submittal reviews (hi early strength concrete).
• Hazardous materials disposal process and coordination with Stripes.
• Revise construction drawings for NW corner of Holly and Staples.
• Revise water drawings to loop across Williams in Phases 1 and 2.
• Provide wastewater spot repairs to line between Curtis Clark and Holly.
• Structural Analysis for signal pole foundations at Williams.
• Final walk through and individual phase closeout for 24 phases.
In the original contract, Exhibit "A ", Section 1. SCOPE OF SERVICES, Section B.
Additional Services, 2. ROW Acquisition Survey shall be amended to provide the City with
additional ROW Acquisition Survey services as listed below.
• Revise survey Right -of -Way exhibit and metes and bounds for NW corner of Holly and
Staples.
In the original contract, Exhibit "A ", Section 3. FEES shall be modified for a total fee not to
exceed $38,434.00 (Thirty Eight Thousand Four Hundred Thirty Four Dollars and
Zero Cents) for a total restated fee not to exceed V1,977,642.00 (One Million Nine
Hundred Seventv Seven Thousand Six Hun _Forty Two Dollars and Zero Cents)
as shown in the attached Amendment No. 6, Exhibit "B.
All other terms and conditions of the June 9, 2009 contract between the City and Consultant will
remain in full force and effect.

c. " Ennployee." Any person employed by the City of Corpus Christi Texas either oil a full or
part -time basis, but not as an independent contractor.
"Finn." Any entity operated for economic gain, whether professional, industrial or
commercial, and whether established to produce or deal with to product or service, including
but not limited to, entities operated in the form of sole proprietorship, as self-employed
person, partnership, corporation, joint stork c joint venture, receivership or trust, and
entities which for purposes of taxation are treated as non- profit organi zations,
c. "Official." The Mayor, members of the City Council, City Manager. Deputy City
Manager, Assistant City Managers, Department and Division Heads, uncl Municipal Court
Judges of the City of Corpus Christi, Texas.
f. "Ownership Interest." Legal or equitable interest, whether ;actually or constructively held,
in a firm, including when such interest is held through an ageaat, trust, estate, or holding
entity. "Constructively held" refers to holdings or control established through voting trusts,
proxies, or special terms of venture or partnership agreements."
g. "Consultant." Any person or firm, such as engineers and architects, lured by the City of
Corpus Christi for the purpose of professional consultation and recotrameandation,
