Recitals
WHEREAS, the State Energy Conservation Office ( "SECO") of Agency and Grantee entered into
Contract No. CMI243, ( "Agreement') effective March 16, 2032, for services related to the Alternative
Fuels Initiative Program;
WHEREAS, Agency and Grantee desire to execute an Amendment No. I to amend the Agreement by
modifying the Statement of Services and to amend the Agreement by extending the term effective
September 1, 2012,
Agency and Grantee hereby agree as follows:
X. Amendrent Agreement
The terms set forth in this Amendment No. I shall be in addition to and construed together with the terms
of the Agreement.
The parties acknowledge that amendments are subject to the terms and conditions of the Agreement.
In the event of conflicting language between the Agreement and any prior Amendments, the language in
this Amendment No. 1 shall control as follows:
This Amendment extends the term of the .Agreement from August 31, 2012 to March 31,
2013.
2. A new revised Attachment A, "Statement of Services to be Performed" is hereby attached to
and incorporated into this Agreement and Amendment for all purposes.
Al l other provisions of the Agreement shall remain the same.
(I. Incorporation of Amendments .
Upon and after the date of execution of this Amendment No. 1 to the Agreement, all references to the
Agreement in that document and any related document shall mean the Agreement as modified by this
document and previous amendments. That Agreement shall consist of the original Agreement, together
with all documents incorporated therein, executed on or about, and this Amendment No. 1, together with
all documents incorporated herein. These documents shall constitute the entire agreement of the parties.

Except as provided in this Amendment No. 1, execution and delivery of this Amendment No. 1 shall not
amend, modify, or supplement any provision of, or constitute a consent to, or waiver of, any
noncompliance with the provisions of the original A' regiment and except as specifically provided in this
AmendmentNo. 1, the Agreement shall remain in full force and effect.

STATEMENT OF SERVICES TO BE PERFORMED
A. Grantee shall perform all of the services described in this Attachment A, or otherwise required by
this Agreement, ( "services "). These services include, but are not limited to, the furnishing of all
personnel and the procurement of all equipment, supplies, and other items necessary to provide
those services in compliance with this Agreement. Grantee shall provide all services in
accordance with the Standards of Performance established by Agency for these services, Grantee
shall review and implement Agency recommendations, as Agency adopts them from time to time,
so that the services may be expeditiously and satisfactorily completed. Grantee shall meet with
Agency at such times as Agency may reasonably request to discuss the progress of services and
any other matters that may arise in regard to this Agreement.
B. Grantee shall perform all of the following:
I . Purchase compressed natural gas (CNG) conversion kits and convert five (5) Ford F -150
Pick -up Trucks to CNG.

2. Purchase CNG conversion kits and convert four (4) Ford 11250 Passenger Vans to CNG.
3. Purchase CNG conversion kit and convert one (1) Ford F-3 50 Crew Cab Truck to CNG.
4. Lease Purchase five (5) CNG -OEM Peterbilt 365 Dump Trucks.

Grantee shall provide the following services during the period of this Agreement and all services reasonably
related to them, Agency may request additional records, information or reports related to the services
hereinafter described and funded by Agency pursuant to Attachment B, These services are as follows:
Deliverables and Milestones
1. Purchase compressed natural gas (CNG) conversion kits and
convert five (5) Ford F -150 Pick -up Trucks to CNG
2. Purchase CNG conversion kits and convert four (4) Ford E,250
Passenger Vans to CNG.
3. Purchase a CNG conversion kit and convert on (1) Ford F -350
Crew Cab Truck to CNG.
4. Lease Purchase five (5) CNG -OEM Peterbilt 365 Dump Trucks,
5. Complete and submit monthly progress reports.
6. Complete and submit a final narrative report.
